Pursuant to the provisions of section 610 of the Amex Company
Guide, Churchill Ventures Ltd. (AMEX: CHV) (the "Company") announced
that it had filed its annual report on Form 10-K, copies of which are
available on the Company's web site (www.churchillventures.com) and on
www.sec.gov, and that its filing included the customary going concern
qualification for special purpose acquisition corporations or blank
check companies by its outside auditors, as expected given the
Company's structure and its undertaking to promptly adopt a plan of
distribution of assets and initiate procedures for dissolution if the
Company does not complete a business combination within 18 months
after the consummation of its initial public offering (or within 24
months after the consummation of the offering if certain conditions
are met).
