Rentech Issues Statement Regarding Sherwood Investments Overseas Limited

LOS ANGELES--(Business Wire)--Rentech, Inc. (AMEX:RTK) confirmed today that it received an
additional letter from Sherwood Investments Overseas Limited as
described in a press release distributed by Sherwood on Tuesday,
December 18, 2007. The Board of Directors will consider the
unsolicited offer presented in Sherwood's letter in a manner
consistent with its fiduciary duties to the shareholders and the
corporation. The Board of Directors will respond in an appropriate
manner and at an appropriate time.
