Notice of Annual General Meeting & General Meeting

Pantheon Leisure plc, the AIM quoted company formed to acquire businesses in
the leisure sector, announces that the Annual General Meeting (`AGM') of the
Company will be held at the offices of Finers Stephens Innocent LLP at 180
Great Portland Street, London W1W 5QZ on 31 July 2009 at 10.00 a.m. Immediately
following the AGM, the Company will hold a General Meeting (`GM') in order to
seek authority for the cancellation of 120,000,000 deferred shares.

The Notice of AGM and a circular convening the GM has been posted to
shareholders and is available on the Company's website,
www.pantheonleisure.com.
