UniCredit SpA Signs Agreement for Disposal of 100% Share Capital of Sofipa SGR SpA
UniCredit SpA announced that it has signed an agreement for the disposal of 100% share capital of Sofipa SGR SpA (Sofipa) to Cuneo e Associati SpA and Mr. Paolo Zapparoli (the Buyers), shareholders of Synergo SGR SpA (Synergo). Sofipa is a private equity company with approximately EUR 300 million of assets under management. The transaction envisages the disposal of Sofipa at a price equal to the shareholders’ equity of Sofipa as of June 30, 2012. The closing is expected by the end of 2012, subject to the fulfillment of certain conditions, including the Buyers obtaining necessary approvals from the relevant authorities. UniCredit has been advised in the transaction by Clifford Chance. The Buyers have been advised by Legance and Studio Spadacini.
