WELLNET CORPORATION Announces Business and Capital Alliance with NANO Media Inc.; to Launch Takeover Bid for NANO Media Inc.

WELLNET CORPORATION announced that it has decided to form a business and capital alliance with NANO Media Inc. Through the business alliance, the two companies will collaborate in the e-commerce site business, the electronic certification business, as well as the development and operation of systems, among others. Through the capital alliance, WELLNET CORPORATION will launch a takeover bid for shares of WELLNET CORPORATION. WELLNET CORPORATION intends to acquire 39,000 shares of NANO Media at the price of JPY 26,000 per share during the period from June 8, 2011 to July 11, 2011. If WELLNET CORPORATION acquires as many shares as it plans, it will hold 65.10% voting rights in NANO Media. However, if WELLNET CORPORATION was not able to acquire at least 28,714 shares of NANO Media , NANO Media will cancel all the shares applied.
