Nissen Holdings Co., Ltd. Announces Business and Capital Alliance with UCC Holdings Co Ltd.

Nissen Holdings Co., Ltd. announced that it has decided to form a business and capital alliance with UCC Holdings Co Ltd. Through the business alliance, the two companies will collaborate in the wholesale of gift and life-related products business, as well as the beverage and food business. Through the capital alliance, Nissen Holdings will sell 12,626,000 shares of its common stock at the price of JPY 360 per share to UCC Holdings through a private placement, during the period from March 30, 2012 to April 27, 2012. Nissen Holdings will also issue 57,500 new shares of its common stock at the price of JPY 360 per share to UCC Holdings through a private placement during the period from March 30, 2012 to April 27, 2012. As a result, UCC Holdings will become the top shareholder of Nissen Holdings with a 20.00% stake.
