HAJIME CONSTRUCTION CO LTD, Iida Home Max Co Ltd, TOUEI HOUSING CORP, Tact Home Co Ltd, ARNEST ONE CORP and Id Home Co Ltd Announces Transition to Holding Company Structure

HAJIME CONSTRUCTION CO LTD, Iida Home Max Co Ltd, TOUEI HOUSING CORP, Tact Home Co Ltd, ARNEST ONE CORP and Id Home Co Ltd announced that the six companies will establish a holding company through joint share transfer, effective November 1, 2013. One share of HAJIME CONSTRUCTION’s stock will be exchanged for 3.14 shares of the holding company, one share of Iida Home’s stock will be exchanged for 1.00 shares of the holding company, one share of TOUEI HOUSING’s stock will be exchanged for 1.16 shares of the holding company, one share of Tact Home’s stock will be exchanged for 108 shares of the holding company, one share of ARNEST ONE’s stock will be exchanged for 1.16 shares of the holding company, and one share of Id Home’s stock will be exchanged for 2.62 shares of the holding company. As a result, the holding company will be listed on Tokyo Stock Exchange on November 1, 2013, while the six companies will be wholly owned subsidiaries of the holding company and will be delisted from stock exchanges on October 29, 2013.
