Abertis Infraestructuras SA Announces Reorganization and Integration of Obrascon Huarte Lain SA’s Obrascon Huarte Lain Brasil SA Operations; To Acquire Obrascon Huarte Lain SA’s Chilean Assets

Abertis Infraestructuras SA (Abertis) announced that it has reached an agreement with Obrascon Huarte Lain SA (OHL) to proceed with a general reorganization and integrate OHL’s Obrascon Huarte Lain Brasil SA (OHL Brasil) into Abertis’s operations. The reorganization will consist on a partial split of OHL’s OHL Concesiones SA, an entity which holds a 100% stake in Participes en Brasil SL, the majority shareholder of OHL Brasil with a 60% stake. The operation would involve the integration of OHL Concesiones SA’s split assets, including Participes en Brasil SL and SPI-Sociedade para Participacoes em Infraestrutura SA, into Abertis’s operations. In order to proceed with the reorganization, OHL will acquire a 10% stake in Abertis. Additionally, it was announced that under the same agreement, Abertis will acquire OHL’s Chilean assets for a total amount of approximately EUR 200 million. Other details were not disclosed.
