ACS Actividades de Construccion y Servicios SA to issue bonds exchangeable for Iberdrola shares-Reuters

ACS Actividades de Construccion y Servicios SA:Spanish builder ACS said it planned to issue a five-year bond of around 400 million euros ($556 million) that can be exchanged into shares of power company Iberdrola, in which it has a small stake-Reuters.ACS said the bonds would carry annual interest of between 1.25 percent and 2 percent, and would be exchangeable for around 63 million Iberdrola shares, equivalent to about 0.99 percent of the utility's capital.ACS added in a statement to Madrid's stock market regulator that it can also choose to hand over cash or a combination of Iberdrola shares and cash to bondholders.  Full Article

ACS Actividades de Construccion y Servicios SA:Says on Feb. 13 the period of negotiation over the free allotment rights corresponding to the second execution ended.The second execution of the scrip was approved at the general shareholders’ meeting on May 10, 2013 in order to implement an optional dividend system.Says the irrevocable commitment to purchasing rights assumed by ACS has been accepted by holders of 49.5 pct of the free allotment rights.Says it has determined the acquisition by ACS of 155,768,093 rights for a total gross amount of 69,472,569.48 euros.Says the definitive number of ordinary shares of a nominal value of 0.5 euro each to be issued in the second execution is 2,562,846.Says the nominal value of the capital increase corresponding to the second execution is 1,281,423 euro.The expected date for the shares to be admitted for trading on the stock market is Feb. 25, with trading commencing on Feb. 26.  Full Article
