Addtech AB's Addtech Life Science Acquires Norsk Analyse AS

Addtech AB announced that Addtech Life Science, a business area in the Addtech Group, has signed an agreement to acquire all shares outstanding in Norsk Analyse AS. The Norsk Analyse Group sells system solutions and analyzers for gas- and liquid analysis, and performs service and maintenance on delivered equipment. The group has a position as supplier of complete analyzer systems with own construction and production. Customers are mainly within the oil and gas- and process industries in the Nordic region. The group has their own sales companies in Norway, Sweden, Denmark, Finland, Trinidad/Tobago and Turkey. The Norsk Analyse Group has around 60 employees and sales of around NOK 120 million. The Norsk Analyse Group will become part of the Process Technology business unit which markets equipment for the process industry in Sweden, Denmark and Finland. The closing is estimated to take place in the beginning of January 2013 after approval is obtained from the appropriate authorities. The acquisition is estimated to have a marginally positive effect on Addtech AB's earnings per share during the 2012 financial year.  Full Article

Addtech AB Acquires Vallin Baltic AS and Vallin Baltic SIA

Addtech AB announced that the Company has as of November 30, 2012 signed an agreement to acquire all shares outstanding in Vallin Baltic AS and Vallin Baltic SIA. Vallin Baltic AS and Vallin Baltic SIA are technology trading companies, providing products for electrical installations with measure systems belonging to it as well as telecom equipment in the Baltic countries. Vallin Baltic AS is active in Estonia and Vallin Baltic SIA has operations in Latvia and Lithuania. Vallin Baltic AS and Vallin Baltic SIA will complement the Company's operations carried on within the business unit Energy Products. The Vallin Baltic companies has 20 employees and sales of approximately SEK 50 million. The closing is estimated to take place in the beginning of December 2012. The acquisition is estimated to have a marginally positive effect on the Company's earnings per share during the financial year 2012.  Full Article

Addtech AB announced that Addtech Life Science, a business area in the Addtech Group, has signed an agreement to acquire all shares outstanding in Active Care Sverup AB. Active Care offers medical technology products and related consumables. Active Care has eight employees and sales of approximately SEK 25 million. Within the health care segment the business area Addtech Life Science focuses on sales of reagents and diagnostics equipment in the Nordic region. Addtech AB announced the Company's business area Addtech Life Science's subsidiary Immuno Diagnostic Oy has signed an agreement to acquire all shares outstanding in Leica Nilomark Oy, which offers consumables and instruments to healthcare and medical research laboratories. It has ten employees and sales of approximately EUR 3 million. Addtech AB announced that Addtech Energy, a business area in the Addtech Group, has signed an agreement to acquire all shares outstanding in Necks Electric Holding AB. The Necks Electric-group is a supplier of complete systems for power transmission lines. The Necks Electric-group offers the electrical distribution market customized deliveries consisting of cost-efficient own produced products and traded products. The Necks Electric-group has subsidiaries in Sweden and Poland and also smaller operations in Norway and Finland. The Necks Electric-group complements Addtech's operations in the business unit Energy Supply. The Necks Electric-group has 175 employees and sales of approximately SEK 220 million. The closing is estimated to take place in the beginning of November 2012 after approval is obtained from the appropriate authorities.  Full Article
