BASF SE's BASF AS Completes Voluntary Offer for Pronova Biopharma ASA

Pronova Biopharma ASA announced that BASF SE's BASF AS has successfully completed the voluntary offer for Pronova BioPharma, Lysaker, Norway, which closed on January 31, 2013 with the payment of the offer price to Pronova shareholders. At the same time, 295,374,009 tendered shares were transferred to BASF AS. BASF AS now holds 295,374,009 shares in Pronova BioPharma, equaling 98.19% of the issued shares and votes of Pronova BioPharma. BASF AS intends to effect a compulsory acquisition (squeeze-out) of all issued shares of Pronova BioPharma that are not currently owned by BASF AS (the Minority Shares), in accordance with the Norwegian Public Limited Liability Companies Act section 4-25 and the Norwegian Securities Trading Act section 6-22 as soon as possible.
