Clean Diesel Technologies Inc and Pirelli & C. Ambiente SpA Agree to Dissolve Joint Venture

Clean Diesel Technologies, Inc announced that it has agreed with Pirelli & C. Ambiente SpA to voluntarily dissolve their joint venture, Eco Emission Enterprise Srl (E-Cube) , in accordance with their Joint Venture Agreement dated February 19, 2013. E-Cube was established as a joint venture to market and sell emissions control products for both gasoline and diesel applications in Europe and the CIS countries. The dissolution of E-Cube is expected to be completed as soon as practicable and CDTi plans to resume its operations in Europe in a similar manner as conducted prior to the joint venture.  Full Article

Clean Diesel Technologies Inc Announces Closing of Underwritten Public Offering of Common Stock and Warrants

Clean Diesel Technologies Inc announced that it has closed its previously announced offering of shares and warrants (the Offering). The Offering was fully subscribed and the underwriter partially exercised its over-allotment option. A total of 1,730,000 shares of common stock were sold at a price of $1.245 per share and warrants to purchase up to 865,000 shares were sold at a price per warrant of $0.01, including 130,000 shares and 65,000 warrants upon partial exercise of the underwriter's over-allotment option. The warrants have an exercise price of $1.25 per share, and are exercisable immediately for a period of five years. CDTi received net proceeds from the Offering of approximately $1.7 million after deducting discounts and commissions to the underwriter and estimated offering expenses. The Company intends to use the net proceeds from the offering for general corporate purposes, which may include working capital, general and administrative expenses, capital expenditures and implementation of its strategic priorities. Clean Diesel Technologies Inc Prices Underwritten Public Offering Of Common Stock and Warrants

Clean Diesel Technologies Inc announced that the pricing of its previously announced underwritten public offering with gross proceeds to the Company expected to be approximately Two million, before deducting underwriting discounts and commissions and other estimated offering expenses payable by the Company. The public offering is expected to close on or about July 3, 2013, subject to the satisfaction of customary closing conditions. The Company anticipates using the net proceeds from the public offering for working capital and other general corporate purposes. The public offering consists of 1,600,000 shares of common stock at a per share price of $1.245 and warrants to purchase 800,000 shares of common stock at a per warrant price of $0.005 with an exercise price of $1.25 per share. The Company has also granted to the underwriter a 30-day option to acquire up to an additional 240,000 shares of common stock and/or up to an additional 120,000 warrants to cover overallotments in connection with the offering. Clean Diesel Technologies Inc announced that it has commenced a registered public offering of shares of its common stock and warrants to purchase shares of common stock pursuant to its existing shelf registration statement, subject to market and other conditions. The Company also intends to grant the underwriter of the public offering an option to purchase additional shares and/or warrants to cover over-allotments, if any, exercisable for 30 days. Pirelli & C. Ambiente and Clean Diesel Technologies Inc Form JV To Market And Sell Emission Control Products In Europe And CIS Countries

Pirelli & C. Ambiente SpA and Clean Diesel Technologies Inc announced the signing of an agreement to form a joint venture company to market and sell emissions control products for both gasoline and diesel applications in Europe and the CIS countries. The new joint venture company, Eco Emission Enterprise Srl, will be located in Milan, Italy, and is expected to begin operations in March 2013.Through the joint venture, CDTi and Pirelli aim to consolidate their leadership in supplying solutions to control polluting emissions for the on-road and off-road heavy and light duty markets, both in the Original Equipment and After Market segments. In addition, the two companies intend to enhance the synergies deriving from the joint venture through eventual joint initiatives. The agreement entails the supply to the joint venture of silicon carbide substrates by Pirelli & C. Eco Technology RO (Romania) and emission control solutions by CDTi. Eco Emission Enterprise Srl, which will have an international management team, will operate as the commercial arm for both partners on the European market.  Full Article

Clean Diesel Technologies Inc Receives EPA Verification For Purifilter EGR

Clean Diesel Technologies Inc announced that it has received verification from the Environmental Protection Agency (EPA) for its Purifilter EGR emission reduction system. The uniquely designed Purifilter EGR, featuring CDTi's proprietary MPC technology, is a passively-regenerating diesel particulate filter that provides exceptional filtration and regeneration efficiency for the removal of particulate matter. The Purifilter EGR product addresses exhaust gas recirculation (EGR) equipped heavy duty trucks currently subject to EPA retrofit requirements in the United States, excluding California. CDTi is well underway in a full verification process with the California Air Resources Board (CARB) for verification in California. Purifilter EGR is currently being sold and installed in California under an Executive Order pursuant to an After-Market Add-on Parts Exemption issued by CARB pending issuance of full and final verification.  Full Article
