Comcast Corporation:Says Boards of Directors have approved a definitive agreement for Time Warner Cable to merge with Comcast.Says the agreement is a friendly, stock-for-stock transaction in which Comcast will acquire 100 percent of Time Warner Cable's 284.9 mln shares outstanding for shares of CMCSA amounting to about $45.2 bln in equity value.Says each Time Warner Cable share will be exchanged for 2.875 shares of CMCSA, equal to Time Warner Cable shareholders owning about 23 pct of Comcast's common stock, with a value to Time Warner Cable shareholders of about $158.82 per share based on the last closing price of Comcast shares.Says transaction will generate about $1.5 bln in operating efficiencies and will be accretive to Comcast's free cash flow per share while preserving balance sheet strength.Says merger will also be tax free to Time Warner Cable shareholders.  Full Article

Comcast Corp eyes Time Warner Cable's East Coast markets - Reuters

Comcast Corp:Says it is in talks with Charter about a possible deal to acquire parts of Time Warner Cable - Reuters.According to a person familiar with the matter said it would be interested in an agreement that gives Comcast the New York market and parts of New England.The Comcast is interested in acquiring Time Warner Cable's New York City market since it already has operations in neighboring Connecticut and New Jersey, the person added.In one scenario being discussed between the two companies, Charter would first acquire Time Warner Cable, and then later sell off markets to Comcast to generate cash.The timing of an agreement between Comcast and Charter was not yet known and talks could fall apart at any time, the person cautioned.The company was unlikely to make a bid for all of Time Warner at $150 or $160 per share, the person added.Says Charter offered to buy Time Warner Cable for $132.50 per share, or $37.3 billion based on shares outstanding.Says Time Warner Cable rejected that bid as too low and said it would consider a deal at $160 per share.  Full Article

Comcast announced that it is partnering with Minneapolis-based CoCo coworking and collaborative space to provide dedicated one-gigabit fiber network connectivity to CoCo's growing entrepreneurial community, including its downtown location in the historic Minneapolis Grain Exchange and a new Uptown site that opens today. The Comcast partnership gives CoCo members access to an entirely new level of Internet experience, once only available to larger businesses. The Comcast one-gigabit fiber connection is hundreds of times faster than outdated legacy technology and is symmetrical to provide equally fast upstream feeds, allowing the kind of bandwidth necessary to meet the demanding applications.  Full Article

Comcast Corp To Bid For Houston Sports Network If Court Forces Sale-Reuters

Reuters reported that Comcast Corp is prepared to bid if it can force a sale of the financially troubled, regional-sports network that carries the games of the Houston Astros baseball team and the Houston Rockets, the city's basketball team, court papers show. Affiliates of Comcast, which owns NBCUniversal, on September 27, 2013 filed for involuntary bankruptcy against Houston Regional Sports Network LP, and said in court papers the network should be put up for sale for the benefit of creditors. Comcast believes the network's assets have meaningful value, and would be prepared to make a bid to acquire either the network (under a plan of reorganization) or substantially all of its assets. The network has been locked in a dispute with cable and satellite television providers over how much it should receive per subscriber, which has limited the network's reach. Comcast, which loaned the network $100 million through an affiliate, also said it was prepared to provide the financing necessary to keep the network operating until the bankruptcy could be resolved. Creditors can put a company into bankruptcy involuntarily if they can prove the debtor is not paying its bills. The Company generally has about 20 days to respond to the filing.  Full Article

Comcast Corp's Comcast Cable and Time Warner Cable announced that the formation of a joint venture, called the RDK Management, LLC, that will manage the Reference Design Kit (RDK) software being used in set-top boxes. The new company will be responsible for the RDK licensing, community support and training, as well as code management. Comcast will contribute RDK components into the new entity, including the RDK code and specifications, related intellectual property rights and associated contracts, including all of the current RDK licenses which will be transitioned to the RDK Management, LLC.  Full Article
