Spansion Inc Issues Q2 2013 Guidance Below Analysts' Estimates
Spansion Inc announced that for the second quarter of 2013, it expects U.S. GAAP net sales in the range of $200 million to $220 million, GAAP diluted net income per share of ($0.10) to ($0.03) and non-GAAP diluted EPS to be in the range of $0.16 and $0.23. Fujitsu Ltd to Sell Microcontroller and Analog Device Business to Spansion Inc. and Other Spansion Companies
Fujitsu Ltd announced that a subsidiary Fujitsu Semiconductor Limited (FSL) has decided to enter into a definitive agreement to sell its microcontroller and analog business to California-based Spansion LLC and affiliates (including Spansion Inc.). In accordance with the agreement, FSL's microcontroller and analog business in Japan, together with the microcontroller and analog business in Japan operated by Fujitsu VLSI Limited and Fujitsu Microelectronics Solutions Limited, which are subsidiaries of FSL, will first be absorbed by Fujitsu Ltd. Fujitsu will transfer the business into a new company to be established by FSL, and then all of the shares in the new company will be transferred to one of Spansion subsidiaries in Japan, Nihon Spansion Limited. The assets of the microcontroller and analog business outside Japan, as well as FSL's intellectual property and product inventory related to the microcontroller and analog business, will be transferred to Spansion. The sales price of microcontroller and analog business is approximately USD 110 million and the sales price of related inventory is approximately USD 65 million. Full Article
Fujitsu Ltd In Talks To Sell Car Chip Business To Spansion Inc-Reuters
Reuters reported that Fujitsu Ltd is in late-stage talks to sell its microcontroller chip business to Spansion Inc. Terms of the deal, which will include Fujitsu's microcontroller design and development business as well as a Japanese plant, could not be obtained. A Fujitsu spokesman said nothing had been decided with regards to its microcontroller chip business. The news was also reported by Japanese media, including the Nikkei business daily. Full Article

Spansion Inc. And SK Hynix Announce Strategic NAND Alliance
Spansion Inc. and SK Hynix announced an alliance to deliver Spansion SLC NAND products at the 4x, 3x, and 2x nodes to the embedded market. The first Spansion SLC NAND products resulting from this alliance will be available beginning in the second quarter of 2012. As part of the relationship, the companies will enter into a patent cross-licensing agreement.
