Ecorodovias Infraestrutura e Logistica SA Announces Tecondi Complex Corporate Restructuring

Ecorodovias Infraestrutura e Logistica SA (EcoRodovias) announced that together with Ecoporto Holding SA (Ecoporto) on November 27, 2012 the Board of Directors and shareholders of the involved companies (as mentioned below) approved the corporate restructuring involving companies of the Tecondi Complex composed of Tecondi -Terminal para Conteineres da Margem Direita SA, Termares Terminais Maritimos Especializados Ltda and Termlog Transporte e Logistica Ltda, companies indirectly controlled by the Company. The restructuring will be done through the incorporation of CFF Participacoes Ltda and Ecoporto by Aba Porto Participacoes SA, the direct parent of companies of the Tecondi Complex which, in the next step, will be split up and incorporated by companies members of the Tecondi Complex which after that, will be directly controlled by the Company.
