Ergycapital ends merger agreement with Green Utility after due diligence

Ergycapital SpA : Said on Friday that, in relation to the merger agreement signed with Green Utility on May 9 [nFWN1860E0], after due diligence, deviations of more than 5 percent were found in the values taken into consideration in the agreement to determine the exchange ratio of the merger . Such deviations would result in an increase in the percentage of the stake of Ergycapital . The agreement ceases as of Sept. 30 due to the expiration of exclusivity period .The parties will verify in good faith the possibility to reach new agreements.  Full Article

Ergycapital signs binding agreement to merge with Green Utility

Ergycapital SpA : Signs binding agreement to merge with Green Utility SpA, a company operating in the renewable energy sector . To propose capital increase of up to 8.2 million euros ($9.35 million) at the price per share of 0.060 euro . Expects that its controlling shareholder KME Partecipazioni SpA will subscribe part of the capital increase for at least 4 million euros . Says KME Partecipazioni SpA is not part of this binding agreement and that has not committed yet to subscribing to part of the capital increase . As a result of the operation, the current controlling shareholder of Green Utility will be the controlling shareholder of new combined entity .The parties have agreed to an exchange ratio according to which Green Utility shareholders should own 57 percent of the combined entity if the capital increase were to be subscribed only by KME Partecipazioni for 4 million euros.  Full Article
