Enel SpA approves reorganization of group operations in Iberia and Latin America and new organization structure

Enel SpA:Says the Board examined and approved the plan for the reorganization of Group operations in Iberia and Latin America as well as the new organization structure set by the Chief Executive Officer.Says wholly-owned Spanish Enel Energy Europe SL will submit a proposal for the acquisition of 60.62 pct stake held directly and indirectly by Endesa in the Chilean company Enersis SA, parent company for the operations in Latin America.Says the stakes to be acquired are 20.30 pct of Enersis held directly by Endesa, and 100 pct of Endesa Latinoamerica SA, which in turn holds 40.32 pct of Enersis.Says shareholders of Endesa will be asked to approve the distribution of an extraordinary cash dividend which will be paid subject to the closing of the same acquisition.Says the dividend amount to be distributed will be at least equal to the consideration received by Endesa for the sale of Enersis interest.Says the phases of the reorganization described above are expected to be completed during the last quarter of 2014.  Full Article

Enel SpA:Announces possible sales by the Enel Group including its generation assets in Slovakia and its distribution and sales assets in Romania.As regards Slovakia, the holdings involved in the sale programme include the 66 pct stake in Slovenske Elektrarne a.s. (held by Enel through Enel Produzione SpA).Says Slovenske Elektrarne owns power stations with a total installed capacity of 5,700 MW, with a balanced generation mix comprising nuclear, hydroelectric and conventional thermal facilities.In Romania, the sale would involve the 64.4 pct stake in Enel Distributie Muntenia SA and Enel Energie Muntenia SA.As well as the 51 pct stake in Enel Distributie Banat SA, Enel Distributie Dobrogea SA and Enel Energie SA, and the 100 pct interest in the services company Enel Romania Srl (held by Enel through Enel Investment Holding BV).Says the Board of Directors reserved to examine and assess offers from potential buyers in the coming months as part of the sale process for the companies held by the Enel Group in Slovakia and Romania.  Full Article

Enel SpA:Says in Mexico City, Fulvio Conti CEO of Enel and Jose Luis Fernandez Zayas, Executive Director of the Instituto de Investigaciones Electricas, the Mexican electricity research body, signed a Memorandum of Understanding aimed at cooperation in geothermal generation as well as smart grids.Says through this agreement Enel and its counterpart will cooperate to exchange information and experiences in the smart grids and geothermal generation by means of pilot projects, training programmes and technology transfers in the respective areas of interests.  Full Article
