Fidelity National Financial Inc (FNF) and J Alexander's Corp announced the completion of the merger of FNF's indirect wholly owned subsidiary, New Athena Merger Sub Inc (Merger Sub), with and into J. Alexander's. At the effective time of the merger, each share of J. Alexander`s common stock outstanding immediately prior to the effective time of the merger that was not accepted for payment pursuant to Merger Sub`s tender offer for J. Alexander`s common stock (other than shares held by J. Alexander`s or Merger Sub, which shares were cancelled without any conversion) converted into the right to receive the same $14.50 per share in cash, without interest and less any applicable withholding taxes, that was paid in the tender offer.  Full Article

Fidelity National Financial Inc And J. Alexander’s Corporation Agrees On Increased Offer Price Of $14.50 Per Share

Fidelity National Financial Inc and J. Alexander's Corporation announced an amendment to the Amended and Restated Agreement and Plan of Merger, dated July 30, 2012, by and among J. Alexander’s, Fidelity National Financial, Inc. and certain affiliates of Fidelity. Pursuant to the amendment, Fidelity agreed to increase its offer price from $13.00 per share to $14.50 per share and will extend the offer for at least 10 business days until September 19, 2012. In connection with the increased offer, J. Alexander’s agreed to increase the termination fee payable by J. Alexander’s to Fidelity in certain circumstances under the merger agreement from $2,159,725 to $3,800,000. The amendment to the merger agreement has been unanimously approved by the J. Alexander’s board of directors and that the Company’s Board recommends that J. Alexander’s shareholders tender their shares into Fidelity's tender offer.  Full Article

Fidelity National Financial Inc Closes Issuance Of $400 Million of 5.50% Notes Due September 1, 2022

Fidelity National Financial Inc announced that it has closed its issuance of $400 million of its 5.50% Notes due September 1, 2022, through joint book-running managers Merrill Lynch, Pierce, Fenner & Smith Incorporated, Barclays Capital Inc., J.P. Morgan Securities LLC and Wells Fargo Securities, LLC. The notes were priced at 99.513% of their principal amount to yield 5.564% per annum. The notes will pay interest semi-annually on the 1st of March and September, beginning March 1, 2013, and mature on September 1, 2022. Jefferies & Company, Inc., Stephens Inc., Dowling & Partners Securities, LLC and Keefe, Bruyette & Woods, Inc. acted as co-managers. On September 28, 2012, FNF will use the net proceeds of the issuance of the notes to fund the repayment of the $236.5 million aggregate principal amount outstanding of FNF's 5.25% unsecured notes, which have a stated maturity of March 2013. FNF will use the remainder of the net proceeds of the issuance of the notes for general corporate purposes.  Full Article

Fidelity National Financial, Inc. announced the commencement of an all cash tender offer through its indirect wholly-owned subsidiary, New Athena Merger Sub, Inc. (New Athena), for all of the outstanding shares of common stock of J. Alexander's Corporation (J. Alexander's) for $13.00 per share, net to the seller in cash, without interest and less any required withholding taxes. The tender offer is being made pursuant to an Offer to Purchase, dated August 6, 2012, and in connection with the previously announced Amended and Restated Agreement and Plan of Merger, dated July 30, 2012, among FNF, Fidelity Newport Holdings, LLC (for the limited purposes set forth therein), American Blue Ribbon Holdings, Inc. (for the limited purposes set forth therein), Athena Merger Sub, Inc. (for the limited purposes set forth therein), New Athena and J. Alexander's. The tender offer is scheduled to expire at New York City time, on September 5, 2012, unless the tender offer is extended. The closing of the tender offer is conditioned on the tender of a number of J. Alexander's shares that represents at least a majority of the total number of J.
