Gilla Inc:Closed its acquisition of all of the issued and outstanding shares of E Liquid Wholesale, Inc for $1.125 million.Company paid to the vendors $225,000 in cash and issued three tranches of promissory notes, each having a face value of $300,000 and due 4, 9 and 18 months from the closing date.Cash portion of the Purchase Price was financed through a secured promissory note for CDN$300,000 issued to an existing institutional investor of the Company.  Full Article

Gilla amends LOI to acquire E-Liquid Manufacturer

Gilla Inc:Further to its news release of March 23, it has signed amendments to its letter of intent to acquire all of the issued and outstanding shares of a Florida based e-liquids manufacturer.Pursuant to the LOI amendment, the company is to pay to the vendors $1.2 mln in total consideration as a combination of cash and promissory notes.On closing, the Company would pay to the vendors $300,000 in cash and issue three tranches of promissory notes, each tranche having a face value of $300,000 and due 4, 9 and 18 months from the closing date.  Full Article
