Intesa Sanpaolo SpA Approves Mergers and Demergers of Group Companies

Intesa Sanpaolo SpA announced that the Management Board of the Company, in its meeting of June 19, 2012, approved the plan for the merger by incorporation of Banco Emiliano Romagnolo SpA and Finanziaria BTB SpA (companies owned by the merging company with over 99% of the capital) into Intesa Sanpaolo, the plan for the merger by incorporation of SEP Servizi e Progetti ScpA (a company which, effective before the completion of the transaction, will be wholly owned by Intesa Sanpaolo) into Intesa Sanpaolo and the plan for the merger by incorporation of Intesa Investimenti SpA (an Intesa Sanpaolo wholly-owned company) into Intesa Sanpaolo SpA as well as the related Explanatory Reports. The Management Board, in the same meeting, approved the plan for the partial demerger of Cassa di Risparmio di Firenze SpA (a company which, effective before the finalization of the transaction, shall be owned by Intesa Sanpaolo with over 90% of the capital) in favor of Intesa Sanpaolo, Cassa di Risparmio del Veneto SpA and Cassa di Risparmio in Bologna SpA. On July 3, 2012, the Management Board approved the plan for the full demerger of Banca Infrastrutture Innovazione e Sviluppo SpA (an Intesa Sanpaolo wholly-owned company) in favor of Intesa Sanpaolo and Leasint SpA.
