Ja Solar Holdings Co Ltd To Supply 70 MW Of Modules To Shanghai CSET In China

Ja Solar Holdings Co Ltd announced that it has signed two agreements to supply a total of 70 MW of high-efficiency polycrystalline solar modules to Shanghai CSET Co., Ltd., a photovoltaic (PV) system integrator focused on the planning, design and operation of solar PV stations, for two commercial rooftop projects in China. According to the agreements, 20 MW of modules will be delivered in December 2013, and 50 MW will be delivered in the first quarter of 2014. Ja Solar Holdings Co Ltd To Supply 96 MW Of Modules To China Power Investment For Projects In China's Qinghai Province

Ja Solar Holdings Co Ltd announced that it will supply 96 MW of solar modules to CPI Huanghe Hydropower Development Co., Ltd., a wholly-owned subsidiary of China Power Investment Corporation (CPI), for use on two solar projects in China's Qinghai Province. Delivery of the modules has already commenced and will be completed later this month. The two projects are located in Gonghe County in Qinghai's Hainan Autonomous Prefecture, and have a capacity of 320 MW and 200 MW, respectively.  Full Article

Ja Solar Holdings Co Ltd Announces USD96 Million Registered Direct Offering

JA Solar Holdings Co., Ltd announced that it has entered into a Securities Purchase Agreement with a single institutional investor to issue securities in a registered direct offering that will result in gross proceeds to the Company of up to USD96 million, before deducting the placement agent fees and estimated offering expenses. This amount does not take into account any proceeds from the Series B Warrant (as defined below), which is not exercisable for one year following the date of issuance. Under the terms of the Securities Purchase Agreement, the Company has agreed to sell an aggregate of 15,228,425 ordinary shares, USD0.0001 par value per share, of the Company, represented by 3,045,685 American Depositary Shares, at a price of USD7.88 per ADS, which is 94% of the volume-weighted average price of the Company's ADSs on August 13, 2013. The closing of the offering is expected to take place on or about August 16, 2013. The estimated net proceeds to the Company at the offering (without giving effect to any exercise of the Warrants), after deducting placement agent commissions and other estimated offering expenses payable by the Company, are expected to be approximately USD21.1 million. The Company intends to use the net proceeds from this offering and the proceeds of any exercise of the Warrants for general corporate purposes. Barclays acted as the exclusive placement agent in connection with this offering.  Full Article

JA Solar Holdings Co. Ltd announced that JA Solar and Jinglong Group, a related party of JA Solar, have secured a RMB550 million credit facility from the Bank of Communications of China. Of the credit facility, RMB250 million (USD40.8 million) will be available to JA Solar and RMB300 million (USD48.9 million) will be available to Jinglong Group. Ja Solar Holdings Co Ltd's JA Solar Hong Kong Limited Enters Into Share Transfer Agreement With AU Optronics Corp.'s M.SETEK Co., Ltd.

Ja Solar Holdings Co Ltd announced that it entered into a share transfer agreement (the Agreement) on July 23, 2012 with M.SETEK Co., Ltd. (M.SETEK), a polysilicon and solar wafer manufacturer in Japan controlled by AU Optronics Corp. Pursuant to the Agreement, M.SETEK will transfer its 65% equity interest in Hebei Ningjin Songgong Semiconductor Co., Ltd. (Ningjin Songgong) to JA Solar Hong Kong Limited (JA Hong Kong), a wholly-owned subsidiary of the Company, for RMB247.0 million (USD38.9 million). The parties expect to complete the share transfer by the end of this year. Under the framework agreement, M.SETEK agreed to: use the dividends distributed by Ningjin Songgong to repay part of the prepayments; transfer its 65% equity interest in Ningjin Songgong to the Company at an appraisal price, which will be used to offset part of the remaining unused prepayments; and continue to deliver polysilicon to fully utilize the remaining unused prepayments, if any. Upon the consummation of the share transfer, Ningjin Songgong will be 65% owned by JA Hong Kong, 32.7% beneficially owned by Mr. Baofang Jin, executive chairman of the board of directors of JA Solar and general manager of Ningjin Songgong, and 2.3% beneficially owned by several third-party individuals.  Full Article
