Matas A/S Publishes Prospectus in Relation to IPO
Matas A/S announced that the Company has published Prospectus in relation with its Initial Public Offering on NASDAQ OMX Copenhagen of up to 21,271,185 shares of DKK 2.50 nominal value each. Svenska M Holding 1 AB (Svenska M Holding 1) and Materialisternes Invest ApS (Materialisternes Invest and together with Svenska M Holding 1, the Selling Shareholders) are offering between 16,307,908 and 21,271,185 shares (the Offer Shares) on a pro rata basis based on their existing shareholding in the Company. As of the date of this document, the Company’s share capital amounts to a nominal value of DKK 101,949,510 divided into 40,779,804 Shares with a nominal value of DKK 2.50 each, each of which is fully paid. The Offering consists of an initial public offering to retail and institutional investors in Denmark (the Danish Offering); a private placement in the United States only to persons who are qualified institutional buyers or QIBs; and private placements to institutional investors in the rest of the world (together with the private placement contemplated above, the International Offering). The Selling Shareholders have granted the Joint Global Coordinators, on behalf of the Managers, an option to purchase up to 3,190,677 additional Shares at the Offer Price. The offer price at which the Offer Shares will be sold is expected to be between DKK 100 and DKK 120 per share and will be determined through a book-building process.
