Novozymes A/S:Teams up with Monsanto Company to provide sustainable bioagricultural solutions.Says the companies establish The BioAg Alliance to discover, develop and sell microbial solutions that enable farmers worldwide to increase crop yields with less input.Says the parties will maintain independent and complementary internal and external discovery research programs to identify microbial targets with the potential to help farmers.Says Novozymes will be responsible for production and supply of the microbial solutions to Monsanto, building on its knowledge within fermentation.Says Monsanto will serve as the lead for field testing, registration and commercialization of all alliance products.Says the companies will co-manage the alliance and co-fund research and development efforts.Says Monsanto will pay Novozymes an aggregate upfront payment of $300 million net in recognition of Novozymes' ongoing business and microbial capabilities, and for Novozymes to supply alliance products.Says marketing responsibility for Novozymes' current product portfolio in agricultural biologicals will be transferred to Monsanto along with much of the Novozymes commercial organization currently responsible for that work.Says the agreement is subject to the approval of the relevant national antitrust authorities to the extent required.Says the alliance is expected to close in early 2014.  Full Article

Monsanto Co reaffirmed its fiscal 2014, it expects double-digit gross profit growth, margin expansion and mid-to-high teens EBITDA growth and earnings per share (EPS) of $5.00 to $5.20 after $0.14 of acquisition related dilution. The Company reported EBITDA of $4.075 billion in fiscal 2013. According to I/B/E/S Estimates, analysts are expecting the Company to report EBITDA of $4.716 billion for fiscal 2014.  Full Article

Monsanto Co Announces $1 Billion Debt Issue

Monsanto Co announced a $1 billion public debt offering, with $400 million in 3-year bonds, $300 million in 5-year bonds and $300 million in 30-year bonds. The 3-year floating rate notes will bear interest at a rate equal to three month LIBOR, reset quarterly, plus 0.20%. These notes mature on November 7, 2016 with a first interest payment date of February 7, 2014. The 5-year notes will be issued at 99.861% and bear interest at 1.85%, resulting in a yield of 1.879%. These notes mature on November 15, 2018 with a first interest payment date of May 15, 2014. The 30-year notes will be issued at 99.951% and bear interest at 4.65%, resulting in a yield of 4.653%. These notes mature on November 15, 2043 with a first interest payment date of May 15, 2014. The company intends to use the net proceeds received from the sale of the notes, together with available cash, to repay commercial paper issued to finance the acquisition of The Climate Corporation, and for other general corporate purposes.  Full Article
