Oracle Corp Announces Proposed Investment Grade Euro-Denominated Notes Offering
Oracle Corporation announced that it plans to commence, subject to market and other conditions, a public offering of Euro-denominated senior notes. The principal amounts, interest rates, maturity dates and other terms of the notes will be determined at the time of pricing of the offering. Oracle intends to use the net proceeds from the offering for general corporate purposes, which may include stock repurchases, payment of cash dividends on its common stock and future acquisitions. The Associated Press reported that Oracle Corp is still having trouble closing enough business software deals to keep Wall Street happy. The quarterly results announced June 20, 2013 could escalate investors' fears about Oracle's ability to adapt to the changing demands of its customers. Businesses and government agencies are increasingly buying software through monthly or annual subscriptions that enable employees to access applications on any machine with an Internet connection. This "cloud computing" approach is a shift from Oracle's traditional approach of licensing software that is installed on individual computers kept on the premises of its customers. The Company also announced that for the first quarter of 2014, it expects earnings to be in the range from $0.56 to $0.59 per share. Oracle Corp To Move Listing To Big Board From Nasdaq In Coup For NYSE-Reuters
Reuters reported that Oracle Corp said on June 20, 2013 it was moving its stock listing to the New York Stock Exchange from Nasdaq OMX Group's main U.S. exchange, a coup for NYSE Euronext. Oracle, which has a market capitalization of around $160.6 billion. Oracle expects to begin trading on the NYSE on July 15, 2013 and in the meantime will continue to trade on the Nasdaq. Full Article

Oracle Corp reported in its Form 8-K that its Board of Directors has declared a cash dividend of $0.12 per share of outstanding common stock payable on August 2, 2013, to stockholders of record as of the close of business on July 12, 2013. Oracle also announced that its Board of Directors authorized the repurchase of up to an additional $12.0 billion of common stock under its existing share repurchase program in future quarters. Oracle Corp Secures Judgment Against ServiceKey And Its CEO, Angela Vines
Oracle Corp announced that on June 11, 2013, United States District Judge Saundra Brown Armstrongentered judgment in Oracle's favor against defendants ServiceKey, LLC and its CEO, Angela Vines, on Oracle's claims against ServiceKey and Vines for copyright infringement, violation of the Computer Fraud and Abuse and Lanham Acts, fraud, intentional interference with prospective economic relations and unfair competition. The judgment reflects ServiceKey's and Vines' admission to liabilityon Oracle's claims. ServiceKey and Vines, among other things, admitted that they illegally and without authorization downloaded, copied and distributed Oracle's copyrighted Solaris Operating System, including Solaris software updates and patches, falsely advertised their ability to provide the copyrighted Oracle Solaris patches to customers, and illegally trafficked in passwords to Oracle's customer support website. As part of the judgment against Service Key and Vines, the Courtissued an injunction that prohibits the defendants from engaging in a wide range of conduct that had led to Oracle's lawsuit. The Court's injunction mandates that ServiceKey and Vines may not "give, receive, sell or otherwise provide to anyone any Oracle/Sun software and/or support materials, including any updates, bug fixes, patches, media kits or other proprietary software support materials, and including any patches, bug fixes or updates to the Solaris Operating System." Dell Inc Expands Alliance With Oracle Corp-DJ
Dow Jones reported that Dell Inc unveiled an expanded global alliance with Oracle Corp. in which the companies will offer business products that combine Dell's hardware and Oracle's software. Oracle Corp announced that for the fourth quarter of 2013, it expects total revenue growth on a GAAP and non-GAAP basis is expected to range from negative 1% to positive 4% in constant dollars and US dollars. Non-GAAP EPS is expected to be somewhere between $0.85 and $0.91, both US dollars and in constant dollars. And GAAP EPS is expected to be somewhere between $0.72 to $0.78, in both US and constant dollars. Acme Packet Inc announced that it has entered into an agreement to be acquired by Oracle for $29.25 per share in cash representing a fully diluted equity value of $2.1 billion.
