Petrotec AG Increases Share Capital; IC Green Energy Ltd. Obligates to Acquire Additional New Shares Of Petrotec AG
Petrotec AG announced that it resolved to increase the registered share capital of the Company by up to EUR 8,181,247.00 million by issuing up to 8,181,247 new ordinary bearer shares without par value against contributions in cash and in kind, corresponding to 50% of the current registered share capital, by way of a complete use of authorized capital. The subscription ratio is 2:1. The subscription price is EUR 1.00 per new share. IC Green Energy Ltd. has entered into an obligation, inter alia, towards the Company to acquire such new shares in the oversubscription process at the subscription price, that are not acquired by other shareholders due to their exercise of subscription rights. IC Green Energy Ltd. and the Company have entered into a contribution agreement on the subject of the contribution in kind of IC Green Energy Ltd. on November 13, 2011. The contribution in kind serves the purpose of reducing the Company's financial debt and thus increasing its equity ratio. The new shares are to be admitted to trading on the Regulated Market and the sub-section of the Regulated Market with further post-admission obligations (Prime Standard) of the Frankfurt Stock Exchange without publication of a prospectus.
