Ruecker AG to Merge with ATON Engineering AG

Ruecker AG announced that it confirms its transfer request issued on May 3, 2013 requesting that the shareholders' meeting of the Company resolve on the transfer of the shares of the other shareholders to ATON Engineering AG against cash compensation of EUR 16.23 per share. The Company furthermore confirmed its intention to enter into a merger agreement effecting a merger of Ruecker AG with ATON Engineering AG that is accompanied by the exclusion of the minority shareholders.ATON Engineering AG continues to hold more than 90% of the share capital of Ruecker AG. The management board of Ruecker AG intends to enter into the merger agreement between ATON Engineering AG on June 28, 2013.
