Royal Bank of Canada:Says that as a result of strong investor demand for its previously announced domestic public offering of Non-Cumulative, 5-Year Rate Reset Preferred Shares Series BD, the size of the offering has been increased to 24 mln shares.Gross proceeds of the offering will now be $600 mln.Offering will be underwritten by a syndicate led by RBC Capital Markets. The expected closing date is Jan. 30, 2015.Net proceeds from this transaction will be used for general business purposes.  Full Article

City National Corp to be acquired by Royal Bank of Canada

City National Corp:Says a definitive agreement by which Royal Bank of Canada will acquire all outstanding shares of City National Corp.Total consideration is valued at about $5.4 billion at announcement, or about $93.80 per City National share, comprised of a mix of cash and common stock, based on RBC's closing stock price on Jan. 21.The agreement has been approved by the boards of both companies.Following completion of this transaction, Goldsmith will remain Chairman and CEO of City National, and he also will be responsible for RBC's U.S. Wealth Management unit.Closing is expected before the end of calendar 2015.Bank of America Merrill Lynch and Sandler O'Neill + Partners, L.P. served as financial advisors to City National.Wachtell, Lipton, Rosen & Katz served as legal advisor to City National. RBC Capital Markets, LLC and J.P. Canada's RBC and BMO move to cut prime rates
