Dresser-Rand signs agreement to sell to Siemens

Dresser-Rand Group Inc:Announces that it has entered into a definitive merger agreement with Siemens under which Siemens will acquire all of the outstanding shares of Dresser-Rand common stock for $83.00 per share in cash.Says the transaction is valued at about $7.6 billion, including the assumption of debt.Says the price represents a premium of 37.4 pct over Dresser-Rand's closing share price of $60.42 on July 16, the day before speculation in the press appeared regarding interest in Dresser-Rand.Says additional per share cash consideration of $0.55 shall be applied on the first day of each month starting March 1, 2015, until the closing occurs.Says transaction is expected to close in the summer of 2015.Morgan Stanley & Co. LLC and Zaoui & Co. acted as financial advisors to Dresser-Rand. Wachtell, Lipton, Rosen & Katz, and Gibson, Dunn & Crutcher LLP, served as legal counsel to Dresser-Rand.  Full Article

Cerner Corp:Says that the U.S. Federal Trade Commission granted early termination of waiting period under Hart-Scott-Rodino (HSR) Antitrust Improvements Act of 1976, as amended.In connection with the company's purchase of assets of Siemens AG's health information technology business unit, Siemens Health Services, for $1.3 billion in cash.Early termination of HSR waiting period satisfies one of conditions to closing of pending acquisition.Transaction remains subject to other customary closing conditions and is still expected to close in first quarter of 2015.  Full Article

Siemens AG secures contract to install eHighway system

Siemens AG:Says it has been selected by South Coast Air Quality Management District (SCAQMD) to install eHighway system in proximity of Ports of Los Angeles and Long Beach.Siemens eHighway is electrification of select highway lanes via catenary system which supplies trucks with electric power, similar to how modern day trolleys or streetcars are powered on many city streets, while still offering same flexibility as diesel trucks.A two-way, one-mile mile catenary system will be installed by Siemens and system will be demonstrated with different battery-electric and hybrid trucks.Expected result is lower fossil fuel consumption, substantially reduced smog-forming, toxic and CO2 emissions, and lower operating costs.Siemens and Volvo Group, via its subsidiary Mack Trucks brand, are developing demonstration vehicle for project.Siemens also is supplying current collectors, technology that allows trucks to connect and disconnect from the catenary system at any speed, to local California truck integrators whose vehicles will also be part of the demonstration.  Full Article
