Sunkar Resources Plc Announces Issue of Shares to Sun Avenue Partners Corporation

Sunkar Resources Plc announced that the Committee for Control and Supervision over Financial Markets and Financial Organizations of the National Bank of the Republic of Kazakhstan has granted permission for the issue of, in aggregate, 174,476,283 new ordinary shares of 0.1 pence each in the capital of the Company (the New Shares) to Sun Avenue Partners Corporation (SAPC). The total number of ordinary shares in the Company in issue, on completion of the issuance of the New Shares, will be 341,110,357. Prior to the issue of the New Shares to SAPC, 34,895,257 New Shares (representing 20% of the New Shares intended to be issued to SAPC) will be offered on the Kazakhstan Stock Exchange (KASE) on February 13, 2013 pursuant to a specialized auction. The auction will be undertaken by Jazz Capital JSC, a Kazakhstan based brokerage firm, which is acting as financial adviser, market maker and broker to the Company with regard to the KASE process, in accordance with the securities regulations of Kazakhstan.
