Seagate Technology PLC to acquire Xyratex Ltd

Seagate Technology PLC:Says it will acquire all outstanding shares of Xyratex in an all-cash transaction valued at $13.25 per share, or a total of about $374 mln.Says the consideration represents a premium of about 27 pct per share over Xyratex's stock price at the close of trading on Dec. 20.Says the transaction is currently expected to close in mid-calendar year 2014.Says Allen & Company LLC served as financial advisor and Wilson Sonsini Goodrich & Rosati served as primary legal advisor and Credit Suisse served as financial advisor and Latham & Watkins LLP served as legal advisor to Xyratex.  Full Article

Seagate Technology PLC Announces Pricing And Increased Size Of Senior Unsecured Notes Offering

Seagate Technology plc announced that it has increased the size of its previously announced offering of $500 million aggregate principal amount of senior notes due 2018 (the "Notes") to $800 million. The Notes were priced at 100% of the aggregate principal amount and will bear interest at a rate of 3.75% per annum. The Notes will be issued by Seagate HDD Cayman, an indirect wholly-owned subsidiary of Seagate Technology plc, and guaranteed by Seagate Technology plc. The Notes are being sold in a private placement to qualified institutional buyers pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the "Securities Act"). The sale of the Notes is expected to close on November 5, 2013, subject to customary closing conditions. Seagate estimates that the net proceeds from the offering will be approximately $791 million after deducting underwriting discounts and estimated offering expenses.  Full Article

Seagate Technology plc announced that it intends, subject to market and other conditions, to offer up to $500 million aggregate principal amount of senior notes in a private placement. The Notes are expected to be issued by Seagate HDD Cayman, an indirect wholly-owned subsidiary of Seagate Technology plc, and guaranteed by Seagate Technology plc. Seagate intends to use the net proceeds from the offering of the Notes for general corporate purposes, which may include, but are not limited to, the retirement of a portion of its outstanding indebtedness, capital expenditures and other investments in the business.  Full Article

Seagate Technology PLC reported in its Form 8-K that on October 28, 2013, Seagate Technology plc (Company) issued a press release announcing that, effective as of October 23, 2013, William D. Mosley, who served as Executive Vice President, Operations, was named President, Operations and Technology, with responsibility for the Company’s global hard drive, heads and media manufacturing operations, as well as global research and development; and Albert A. “Rocky” Pimentel, who served as Executive Vice President, Chief Sales and Marketing Officer, was named President, Global Markets and Customers, with responsibility for the Company’s global customer engagement, sales and sales operations, product line management, marketing and retail activities. As a result of these promotions, Stephen Luczo’s title has changed from Chairman, President and Chief Executive Officer (CEO) to Chairman and Chief Executive Officer (CEO). Each of Messrs. Seagate Technology PLC Approves Quarterly Cash Dividend

Seagate Technology PLC announced that the Board of Directors has approved an increase in the quarterly cash dividend of $0.05 from $0.38 per share in the previous quarter to $0.43 per share this quarter, an increase of approximately 13%.
