Suparna Gold Corp announced that it has completed its previously announced arm's length acquisition of Orion Resources N.V. (Orion), a company incorporated under the laws of Suriname and wholly owned by Kapelka Exploration Inc. (Kapelka). In accordance with the terms of a share acquisition agreement dated May 6, 2011, as amended, the Company acquired 80% of the issued and outstanding voting shares of Orion from Kapelka in consideration for the issuance to Kapelka of 10,000,000 common shares of Suparna; and a cash payment to Kapelka in the amount of $500,000. Suparna Gold Corp Completes $10 Million Financing
Suparna Gold Corp announced that it has it completed its previously announced private placement of units (Unit). Suparna issued a total of 33,333,334 Units at a price $0.30 per Unit for gross proceeds of $10,000,000.20. Each Unit is comprised of one common share in the capital of the Company (Common Share) and one-half of one common share purchase warrant (Warrant). Each whole Warrant entitles the holder to purchase one Common Share at any time within 12 months of the date of issuance at a price of $0.50 per Common Share. Suparna intends to use the net proceeds of this private placement, in part, to complete its previously announced acquisition (Transaction) of up to 100% of the voting shares of Orion Resources N.V. (Orion), a company incorporated under the laws of Suriname. The proceeds of the private placement will remain in escrow until the Transaction is completed, which is expected to occur this week. Northern Rand Resource Corp announced that it has changed its name to Suparna Gold Corp. The Company has also changed its stock trading symbol on the TSX Venture Exchange to SUG. The Company will commence trading under its new name and trading symbol at the opening of trading on June 9, 2011.
