Telecom Italia SpA:Says it executed amended agreements for the sale of interest in Telecom Argentina.Says the total aggregate consideration and payments contemplated by the agreement for the sale of the entire shareholding remains unchanged at $960 million.Says, of such amount, $113.7 million has already been received since Nov. 2013 and a further $215.7 million is expected to be received on the first closing by the end of Oct.Says the sale of the 51 pct controlling interest in Sofora and receipt of the remaining consideration is expected within the next two and one-half years, subject to Argentinean regulatory clearance.Says guarantees of performance by Fintech secured by pledge of collateral with a value of $600.6 million.Says in the meantime no material change in the corporate governance of the Argentinean companies.  Full Article

Telecom Italia SpA:Says the Board has conferred powers on the management to evaluate and define with Fintech possible amendments to the sale process of the Group's entire controlling stake in Telecom Argentina SA.The sale was previously agreed in the contract signed on Nov. 13, 2013.The negotiations will follow a term sheet setting out certain principles to manage the delay in obtaining required regulatory approvals, including certain guarantees for the company.Says, in the meantime, as proposed by Fintech, the agreement entered into last year will remain in force until Oct. 24.  Full Article

Vivendi SA:Receives two binding offers for wholly-owned subsidiary GVT in Brazil, one from Telecom Italia and another from Telefonica.Says the Telecom Italia offer represents a total enterprise value of 7 billion Euro.Says it includes a part in cash (1.7 billion Euro), a part in Telecom Italia shares(16 pct of share capital and 21.7 pct of voting rights) and and a part in TIM Brasil shares (15 pct).Says the offer expires on Sept. 10.Says Telefonica offer, received last Aug. 4, represents a total enterprise value of 7.450 billion Euro.Says it includes a part in cash, 4.663 billion Euro as well as a part in Telefonica Brasil shares, 12 pct of which about one third can be exchanged at Vivendi's discretion for 5.7 pct of the share capital and 8.3 pct of the voting rights in Telecom Italia.Says this offer expires on Aug. 29.Says the two financial offers also include proposals for content partnerships.Examines the two offers and will decide what actions to take as a result.  Full Article

Telecom Italia SpA:Acknowledges the rejection by the Lazio Regional Administrative Court of its appeal to cancel the ruling by the Autorita Garante per la Concorrenza e il Mercato (Italian Competition and Market Authority).The ruling imposed in May 2013 a monetary sanction for more than 103 million euros for alleged abuses of dominant position in the access service market.Says Telecom Italia intends to reaffirm that its behavior was correct with regards to equality of access to the network for alternative Operators.Says it believes that the administrative judge of first instance did not adequately consider the numerous and detailed reasons presented in the company’s appeal.Says Telecom Italia intends to continue its action to obtain recognition of the legality of its conduct towards its competitors, and will shortly appeal to the Council of State against the TAR's decision.  Full Article
