Tyson Foods Inc Acquires Assets Of California Food Company

Tyson Foods Inc announced that it has acquired assets of Circle Foods, LLC, a producer of frozen and refrigerated handheld Mexican foods, uncooked tortillas and Indian flatbreads, from Claridge. California-based Circle Foods has been in business for 25 years and is known for branded products that include NUEVO GRILLE and TORTILLALAND handheld Mexican products, TORTILLALAND uncooked tortillas and ROTILAND Indian flatbreads. The company, which operates a plant in San Diego, also produces private label products for various customers. Terms of the acquisition, which was completed June 1, were not disclosed. Tyson Foods does not plan any operational changes and intends to keep the existing Circle Foods management and production team in place to grow the business. The operation currently has approximately 600 full-time employees.  Full Article

Tyson Foods Inc announced that the Board of Directors have declared a special dividend of $0.10 per share on Class A common stock and $0.09 per share on Class B common stock. Additionally, the Board increased the quarterly dividend previously declared on August 3, 2012, to $0.05 per share on Class A common stock and $0.045 per share on Class B common stock. Both the special dividend and the increased quarterly dividend are payable on December 14, 2012, to shareholders of record at the close of business on November 30, 2012. Tyson Foods Inc Would Pay $950,000 In Deal To Settle Case-AP

Associated press reported that Tyson Foods Inc. would pay $950,000 under the proposed settlement of a class-action lawsuit covering 1,200 workers at a Council Bluffs meat processing plant who claimed wage violations, but most of the money would go to lawyers. Court documents filed show Tyson Foods reached the tentative agreement with workers' attorneys, and both sides are seeking a judge's approval. The deal would reimburse plaintiffs' lawyers $340,000 for out-of-pocket costs and award $309,000 in attorneys' fees. Current and former workers dating back to 2006 could claim payments from a $271,000 pot, based on factors such as how much they worked and their specific jobs.  Full Article
