Name Description

Robert Sloan

Dr. Robert B. Sloan, Jr. is Non-Executive Independent Chairman of the Board of Citizens Inc. He is President and Chief Executive Officer, Houston Baptist University from 2006 to present; Chancellor, Baylor University, 2005 to 2006; President and Chief Executive Officer, Baylor University from 1995 to 2005.

Kay Osbourn

Ms. Kay E. Osbourn serve as President, Chief Corporate Officer of the Company. She was Interim Chief Executive Officer of the Company. She was Chief Financial Officer, Treasurer of the Company. She was Executive Vice President of Citizens Inc. She joined the company as Vice President, Internal Audit, in April 2008. On March 23, 2009, she became our Vice President, Treasurer and Chief Financial Officer, and was appointed Executive Vice President in January 2010. Prior to joining us, she worked at National Western Life Insurance Company, where she had held various positions since 1992, including Senior Accountant, Assistant Controller, Vice President-Controller and Assistant Treasurer. During a break in service from 1996—1999, she served as Vice President of Salem’s Inc., a family-owned business.

Geoffrey Kolander

Mr. Geoffrey M. Kolander serves as Chief Executive Officer of the Company. He was Senior Vice President, Chief Legal Officer, Corporate Strategy of the Company. He was Executive Vice President, General Counsel and Corporate Secretary of Citizens Inc. He joined the company in 2006 as Vice President and General Counsel of the Company, and was appointed Corporate Secretary in 2007 and Executive Vice President in January 2010. Prior to that, Mr. Kolander served as General Counsel of Tejas Industries and an attorney at the Underwood Law Firm. Mr. Kolander is a licensed attorney in Colorado, New York and Texas. Mr. Kolander received a BBA from Texas A&M University’s Mays School of Business and a Doctorate of Jurisprudence from the University of Houston Law Center.

David Jorgensen

Mr. David S. Jorgensen is Chief Financial Officer, Vice President, Treasurer of the Company. Prior to his appointment with Citizens, Mr. Jorgensen served as Senior Vice President, Controller AIG Life and Retirement and has extensive experience in the insurance industry.

Terry Festervand

Ms. Terry Festervand is Chief Operating Officer of the Company. Ms. Festervand joins Citizens with over 18 years of insurance experience at American International Group, Inc. (“AIG”) in various capacities. During the last five years, she served at AIG Life and Retirement, first as Senior Vice President and Treasurer and later as Senior Vice President, Accounting Operations. Earlier in her career at AIG, she was the Director of Global Sarbanes Oxley (“SOX”) Compliance (AIG Corporate, New York) and led the development and implementation of a SOX compliance program throughout AIG’s worldwide operations. Ms. Festervand brings Citizens’ team expertise in coordinating publicly traded company responsibilities with insurance operations, having been an Executive Vice President, Chief Financial Officer at AIG (Advisor Group, Atlanta).

Jeff Conklin

Mr. Jeff Conklin serves as Chief Accounting Officer of the Company. Mr. Conklin was most recently Vice President of Special Projects at American International Group, Inc. (“AIG”), Life & Retirement, Houston, and prior to that Director and then Vice President of Financial Reporting at AIG. His career at AIG spanned 13 years. Mr. Conklin joins Citizens with over 25 years of life insurance and financial reporting experience, having worked at Zurich Life and Jackson National Life prior to joining AIG. He joins a growing but experienced C-level Citizens team, which most recently included the addition of Terry Festervand, Citizens’ COO, who led the development and implementation of a SOX compliance program throughout AIG’s worldwide operations, prior to joining Citizens. In addition to financial reporting, Mr. Conklin brings Citizens expertise in budgeting, financial analysis and implementing strategic accounting initiatives.

Dottie Riley

Mrs. Dottie S. Riley is Vice President - Employee Relations and Director of Citizens Inc. She has been Director, Vice President, Employee Relations; various positions within the Company since 1997, including the Personnel Department and Vice President, Administrative Services. Previously, Mrs. Riley was employed by University Savings Bank / Nations Bank in Austin, Texas from 1972 to 1991, where she served as Vice President for several years.

Christopher Claus

Mr. Christopher (Chris) W. Claus is Director of the Company. He had a 20 year career as an executive at USAA of San Antonio, Texas. From 2013 – 2014, Mr. Claus served as Executive Vice President of USAA’s Enterprise Advice Group. Prior to that, Mr. Claus served as President of USAA’s Financial Advice and Solutions Group from 2007 to 2013. From 2001 to 2006, Mr. Claus served as President of USAA’s Insurance Management Company. He also concurrently serves as Lead Director and on the Audit Committee of TrueCar (NASDAQ:TRUE), a digital automotive marketplace.

J.D. Davis

Mr. J.D. (Chip) Davis is Director of the Company. He has a 40-year insurance career with National Farm Life Insurance Company (“NFLIC”) of Ft. Worth, Texas. During his career, Mr. Davis served as President, CEO and Chairman of NFLIC’s board of directors.

Frank Keating

Mr. Frank Keating is Director of the company. He is a partner at the law firm of Holland & Knight, LLP. Gov. Keating has held significant leadership positions in both the public and private sectors. In addition to serving as Governor of Oklahoma, his impressive career includes serving as CEO of the American Bankers Association and prior to that President and CEO of the American Council of Life Insurers, the trade association for the life insurance and retirement security industry. He also has served as assistant secretary of the Treasury and associate attorney general under President Ronald Reagan. He was later general counsel and acting deputy secretary for the Department of Housing and Urban Development (HUD) under President George H.W. Bush. During his tenure at the Treasury Department and HUD, he worked on significant issues affecting the banking, insurance and the financial services industries. His law enforcement career included serving as the U.S. attorney for the Northern District of Oklahoma and as an FBI agent.

Harold Riley

Mr. Harold E. Riley is Director, Chairman Emeritus of the Board of the Company. He was Chairman of the Board, Chief Executive Officer of Citizens Inc. He has been responsible for the acquisition of more than 30 life insurance companies and designed marketing programs that have produced millions of dollars of guaranteed cash value whole life insurance. He is our founder and Trustee of the Harold E. Riley Trust, the sole Class B “controlling shareholder.” He started our Company (through a predecessor company) with $2.5 million of personal funds and has built it to over $1 billion of admitted and non-admitted assets and close to $5 billion of insurance in force. His foresight and industry experience are the reasons our Company has successfully maneuvered recent economic downturns. Mr. Riley’s leadership and intimate knowledge of our unique corporate structure and our operations, provide our Board with industry-specific experience, expertise and leadership.

Gerald Shields

Mr. Gerald W. Shields serves as Director of the Company. Mr. Shields joins Citizens’ Board of Directors with over 37 years of technology experience, including significant life insurance experience as the Senior Vice President and Chief Information Officer of AFLAC, Inc., a leading provider of supplemental insurance. During the last five years, Mr. Shields has served as Director of the IT practice at RE Nolan, a management-consulting firm that caters to the insurance, health care, technology, and banking industries. He also currently serves as the Chief Information Officer of FirstCare Health Plans, a provider of comprehensive health care services to health maintenance organization (HMO) subscribers that also owns Southwest Life & Health Insurance Company which offers the FirstCare PPO and life insurance products. Mr. Shields brings Citizens’ board expertise in technology, cybersecurity and insurance operating systems, having significant experience directing these areas throughout his career.

E. Dean Gage

Dr. E. Dean Gage is an Independent Director of Citizens Inc. He is Retired and private oil and gas investments, 2009 to present; Executive Director and Bridges Endowed Chair, Center for Executive Leadership in Veterinary Medicine, and Associate Dean for Professional Programs, College of Veterinary Medicine, Texas A&M University, College Station, Texas, 2001 to 2009; President and CEO of Men’s Leadership Ministries, Dallas, Texas, 1996 to 2001; Executive Director of Center for Executive Leadership, Mays School of Business, Texas A&M University, College Station, Texas, 1994 to 1996; President, Texas A&M University, College Station, Texas, 1993 to 1994; Executive Vice President and Provost, Texas A&M University, College Station, Texas, 1989 to 1993

Terry Maness

Dr. Terry S. Maness is an Independent Director of Citizens Inc., since February 16, 2011. He is a Dean of Baylor University’s Hankamer School of Business since 1997; Acting Dean, Baylor University, 1996 to 1997; owner of Business Value Consultants, 1989 to present; previously served as Associate Dean for Undergraduate Programs and as Chairman of the Department of Finance, Insurance and Real Estate, Baylor University.

Steven Shelton

Mr. Steven F. Shelton is an Independent Director of Citizens Inc. He is Rancher/Farmer from 1974 to present, Director, First Centennial Corporation, from January to October 1989 and August 1990 to 1992. Principal owner of Prairie Wind Energy, a wind energy development company formed in 2004; Owner and president of Five S, Inc., a farming and ranching corporation formed in 1986; Secretary/Treasurer of Prowers County Soil Conservation Board; Judicial Nominating Board for Fifteenth Judicial District of Colorado.
