Thomas Winmill

Mr. Thomas B. Winmill, Esq. is Chairman of the Board, President, Chief Executive Officer, and Chief Legal Officer of Dividend and Income Fund. He is Chairman of the Board, President, Chief Executive Officer, and Chief Legal Officer of Foxby Corp. and Midas Series Trust (together with Dividend and Income Fund, the “Fund Complex”). He is Chairman, President, Chief Executive Officer, and Chief Legal Officer of Bexil Advisers LLC, the Fund’s investment manager, and Midas Management Corporation (registered investment advisers, collectively, the "Advisers"), Bexil Securities LLC and Midas Securities Group, Inc. (registered broker-dealers, collectively, the "Broker-Dealers"), Bexil Corporation (a holding company) (“Bexil”) and Winmill & Co. Incorporated (a holding company) (“Winco”). He is a Director of Global Self Storage, Inc. (a self storage real estate investment trust) ("Self"). He is Chairman, President, Chief Executive Officer, and Chief Legal Officer of Bexil American Mortgage Inc. He is Chairman of the Investment Policy Committee of each of the Advisers (the "IPCs"), and he is a portfolio manager of Foxby Corp., Midas Fund, and Midas Magic. He is a member of the New York State Bar and the SEC Rules Committee and Principal Underwriters Working Group of the Investment Company Institute. He is the brother of Mark C. Winmill and father of William Winmill.

He is Assistant Secretary, Assistant General Counsel and Assistant Chief Compliance Officer of Winco, Self, and Tuxis. He is a member of the New York State Bar and the Chief Compliance Officer Committee, the Advertising Compliance Advisory Committee, and the Risk Advisory and Transfer Agent Advisory Committee of the Investment Company Institute. Previously, he was an attorney in private practice focusing on regulatory, compliance, and other general corporate matters relating to the structure, formation, and operation of investment funds and investment advisers.

Heidi Keating

Ms. Heidi Keating is a Vice President of Dividend and Income Fund. She is a Vice President of the other investment companies in the Fund Complex, the Advisers, Bexil, Self, Tuxis, and Winco. She is a member of the IPCs.

Mark Winmill

Mr. Mark C. Winmill is a Vice President of Dividend and Income Fund. He is a Vice President of the other investment companies in the Fund Complex and the Advisers. He is a member of the IPCs. He is Chairman, President, and Chief Executive Officer of Self and Tuxis. He is Executive Vice President of Winco and a principal of Midas Securities Group, Inc. He is the brother of Thomas B. Winmill and uncle of William Winmill.

William Winmill

Mr. William Winmill is a Vice President of Dividend and Income Fund. He is a Vice President of the other investment companies in the Fund Complex, the Advisers, Bexil, Self, Tuxis, and Winco. He is a member of the IPCs, and he is a portfolio manager of Dividend and Income Fund and Foxby Corp. He is the son of Thomas Winmill and nephew of Mark Winmill.

Donald Klimoski

Mr. Donald Klimoski II is Assistant Secretary, Assistant General Counsel, and Assistant Chief Compliance Officer of Dividend and Income Fund. He is also Assistant Secretary, Assistant General Counsel, and Assistant Chief Compliance Officer of the other investment companies in the Fund Complex, the Advisers, the Broker-Dealers, and Bexil. He is Secretary, General Counsel and Chief Compliance Officer of Winco, Self and Tuxis. He is a member of the New York, New Jersey and Patent Bars and the Compliance Advisory Committee of the Investment Company Institute. Previously, he served as Associate General Counsel of Commvault Systems, Inc. Prior to that, he was an associate at Sullivan & Cromwell LLP, where his practice focused on mergers and acquisitions, securities laws, corporate governance, intellectual property and related matters. He also served as a law clerk to the Honorable Freda L. Wolfson of the United States District Court of New Jersey.

Bruce Huber

Mr. Bruce B. Huber, CLU, ChFC, MSFS is Independent Trustee of Dividend and Income Fund. Retired. He is a former Financial Representative with New England Financial, specializing in financial, estate, and insurance matters. He is a member of the Board, emeritus, of the Millbrook School, and a member of the Endowment Board of the Community YMCA of Red Bank, NJ.

Jon Tomasson

Mr. Jon Tomasson is Independent Trustee of the company. Since 2002, serves as the Chief Executive Officer of Vinland Capital Investments, LLC, a real estate investment company that he founded. Prior to starting Vínland, he was a principal with Cardinal Capital Partners, a leading investor in single-tenant net-leased property, and served as a Vice President at Citigroup in the Global Real Estate Equity and Structured Finance group, part of the Real Estate Investment Bank, with both transactional and various management responsibilities.

Peter Werner

Mr. Peter K. Werner is Independent Trustee of Dividend and Income Fund. Since 1996, he has taught, directed, and coached many programs at The Governor's Academy of Byfield, MA. Currently, he teaches economics and history at the Governor's Academy. Previously, he held the position of Vice President in the Fixed Income Departments of Lehman Brothers and First Boston. His responsibilities included trading sovereign debt instruments, currency arbitrage, syndication, medium term note trading, and money market trading.
