Kamaruddin Bin Taib

Datuk Kamaruddin Bin Taib serves as Independent Non-Executive Chairman of the Board of GHL Systems Berhad since September 1, 2012. He served as Independent Non-Executive Director from April 26, 2012 until September 1, 2012. He is currently the Executive Chairman of Germanischer Lloyd GLM Sdn. Bhd. A leading technical service provider for the Oil and Gas Industry. He holds a Bachelor of Science degree in Mathematics from the University of Salford, United Kingdom. He started his career in 1980 with a leading Merchant Bank in Malaysia. Subsequently, he served as a Director of several private Companies and Companies listed on Bursa Malaysia. Apart from his vast experience of serving on the Board of Companies Listed on Bursa Malaysia, his experience also included serving on the Board of Companies listed on the Stock Exchange of India, as well as those listed on the Nasdaq (U.S.A.). Throughout his tenure on the Board of Companies, he has had significant experience in merchant banking, corporate finance, mergers and acquisitions. He is an Independent and Non-Executive Director of IRIS Corporation Berhad, a company listed on Bursa Malaysia. Currently, he is as an Independent & Non-Executive Chairman of Alkhair International Islamic Bank Berhad, an Independent & Non- Executive Director of Great Eastern Assurance (Malaysia) Berhad, as well as an Independent & Non-Executive Chairman of Great Eastern Takaful Berhad.

Kah Chern Leong

Mr. Leong Kah Chern (Danny) has been Group Chief Executive Officer at GHL Systems Berhad since December 1, 2016. He holds Bachelor of Arts (majoring in Accounting and Financial Management) in 1994. He has 2nd Class Upper Honours at University of Essex, United Kingdom and A Levels 5As (Pure Mathematics, Pure Statistics, Law, Accounting and Mathematics Statistics) 1990 at Sunway College, Malaysia. Mr Leong Kah Chern joined e-pay (M) Sdn Bhd ("e-pay"), a wholly-owned subsidiary of EPY Capital Holdings Ltd which in turn is a wholly-owned subsidiary of the Company in 2010 as the Chief Operating Officer, bringing in new talent and ideas to position e-pay as the largest mobile prepaid reload network provider in Malaysia. He was subsequently promoted to the role of Chief Executive Officer ("CEO") for the Malaysia business in January 2012 to spearhead the aggressive and regional growth of the Company. With GHL Systems Bhd acquisition of e-pay in 2014, Danny assumed the role of CEO for GHL Malaysia, leading both the GHL Malaysia as well as the e-pay businesses. He was tasked to merge the operations of both the entities while developing and executing strategies to increase GHL presence in Malaysia through payment services provided by both the businesses. In June 2015, he assumed the leadership role of GHL Groups Strategic Planning unit to focus on defining the groups strategy as well as implementing them. He was also tasked to oversee the GHL Thailand business as well as start up the GHL Indonesia business in March 2016.

Wee Hian Loh

Mr. Loh Wee Hian serves as Executive Vice Chairman of the Board at GHL Systems Berhad since September 1, 2012. He served as Executive Chairman of the Board from March 3, 2011 to September 1, 2012, Non-Independent Non-Executive Chairman of the Board from January 18, 2011 to March 3, 2011, and Non-Independent Non-Executive Director from December 28, 2010 to January 18, 2011. He has a strong background in the telecommunications industry where he formed Telemas Corporation Sdn Bhd in 1989, a mobile phone retailer and master distributor for Ericsson. He then co-founded e-pay (M) Sdn Bhd in 1999 and was the Managing Director responsible for strategic planning and financial performance of the company. Under his leadership, e-pay (M) Sdn Bhd became one of the leading electronic top-up processors in the South East Asia region and the leading processor in Malaysia. He listed e-pay Asia Limited on the Australian Stock Exchange (ASX) in 2006, where he is also the Executive Chairman. He is one of the founding members of Young Entrepreneurs Organization Malaysia Chapter, a global, non-profit educational organization for business owners. In 2006, he was selected as the winner for Ernst & Young Entrepreneur of The Year Malaysia 2006 Award under the Technology Category.

Wai Peng Kam

Ms. Kam Wai Peng has been Chief Financial Officer at GHL Systems Berhad since April 1, 2016. Her qualifications include 1995 - Association of Chartered Certified Accountants (ACCA) - Tunku Abdul Rahman College and 1991 - Diploma in Commerce (Financial Accounting) - Tunku Abdul Rahman College. Her experience includes: 2013 - 2016 Chief Financial Officer and General Manager of Corporate Services, Malaysia - Petronas ICT Sdn Bhd; 2007 - 2013 Chief Financial Officer, Malaysia - Transmile Group Berhad; 1994 - April 2007 Chief Financial Officer - VADS Berhad; and 1991 - 1994 Audit Senior, Malaysia - Messrs Kassim Chan & Co.

Chih Ming Yap

Mr. Yap Chih Ming has been Chief Operating Officer of GHL Systems Berhad since June 1, 2015. He was its Interim Chief Financial Officer from December 31, 2015 to April 1, 2016. Mr. Yap Chih Ming is a member of Malaysian Institute of Accountants and an Associate member of the Chartered Institute of Management Accountants, United Kingdom. Mr Yap Chih Ming joined e-pay (M) Sdn Bhd in 1999 as Head of the Finance Department. He was made Director of Finance in 2006 and was appointed as Chief Financial Officer ("CFO") of e-pay Asia Limited in July 2007. He is a Chartered Accountant with considerable experience in Merger and Acquisition and Joint Venture transactions both in Malaysia and offshore as well as in depth knowledge of South-East Asian accounting practices. He was previously Head of Accounts at Telemas Corporation Sdn. Bhd., a leading mobile phone distributor based in Malaysia. He was appointed as a Group CFO of GHL Systems Berhad ("GHL") on 2 July 2012.

Ali Zaynalabidin Haeri Mazanderani

Mr. Ali Zaynalabidin Haeri Mazanderani serves as Non-Independent Non-Executive Director of the Company. He holds BCom(Hons) degree in Economics from the University of Pretoria, a Masters in Economics from Oxford University, a Masters in Economic History from the London School of Economics, and an MBA from INSEAD. Ali Zaynalabidin Haeri Mazanderani ("Ali") is a Director at Actis Stark (Mauritius) Limited ("Actis") having joined in 2010. Actis is a leading investor in growth markets, delivering consistent competitive returns, responsibly. It has a growing portfolio of investments across Asia, Africa and Latin America and has raised over US$12bn since inception. Actis is one of the leading investors in growth market payments. Ali is the sector lead for financial technology investments. He leads the origination efforts in the sector, and has been instrumental in several transactions including the investments in EMPH, PayCorp, Upstream, Compuscan, DLP Payments and GHL Systems Berhad. He has been a Non-Executive Director of several companies including Upstream Systems, Compuscan, PayCorp Investments and DLP Payments. Before Actis, Ali was Lead Strategy Consultant for First National Bank based in Johannesburg. Prior to that, he advised private equity and corporate clients for OC&C Strategy Consultants in London.

Hossameldin Abdelhamid Mohamed Aboumoussa

Mr. Hossameldin Abdelhamid Mohamed Aboumoussa serves as Non-Independent Non-Executive Director of the Company. Hossameldin Abdelhamid Mohamed Aboumoussa ("Hossam") holds an MBA from the University of Oxford and a BA in business and finance from the American University in Cairo and is a CFA Charter holder. Hossam is a Partner at Actis Stark (Mauritius) Limited ("Actis"). Hossam has 18 years of experience in private equity. He joined Actis in 2006 and is based in Actis Cairo office, He is responsible for origination, execution and managing investments in North Africa and the Financial Services sector across Actis markets. During this period Hossam has played leading roles in some of Actis significant transactions including the Commercial International Bank (CIB); a leading bank in Egypt and one of the largest companies listed on the Egyptian Stock Exchange, Emerging Markets Payments Holdings (EMPH); a leading payments company in Africa and the Middle East offering accounts processing, merchant acquiring and ATM switching across the region, and Integrated Diagnostic Holdings Plc (IDH); a London Stock Exchange listed company being the largest fully integrated private-sector provider of medical diagnostics in Egypt, Jordan and Sudan. Prior to Actis, Hossam worked at CIIC and EFG-Hermes Private Equity; the leading regional private equity investors. Hossam has held a number of Non-Executive Director roles on various Board of Directors and Boards Committees including the Board of Directors of Emerging Markets Payments Holdings (EMPH) Mauritius, a leading payments company in Africa and the Middle East; where he also served on the Remuneration and Risk and Audit Committees. He also served as a Director on the Boards of EMPHs subsidiaries in Egypt and Jordan. Hossam is also an Observer of the Board of Directors of Integrated Diagnostics Holdings (IDH), which is listed on the London Stock Exchange.

Seow Kee Fong

Mr. Fong Seow Kee serves as Senior Independent Non-Executive Director at GHL Systems Berhad since September 1, 2012. He served as Independent Non-Executive Director from December 28, 2010 to September 1, 2012. He holds a BA (Hons) Economics & Social Studies from University of Manchester, England, is a Fellow of the Institute of Chartered Accountants in England & Wales and a member of the Malaysian Institute of Accountants. He has over 30 years experience in the finance industry, primarily in investment banking and private equity. After completing his articleship with Ernst & Young, UK in 1983, he worked with several leading investment banks in Malaysia, Hong Kong and Singapore where he advised companies on a variety of corporate finance transactions including M&A, Fund Raising and Corporate Restructuring. In 1992, he joined a US venture capital firm in Singapore where he managed a pan-Asian venture capital fund investing in the US and across Asia. In 2000, he co-founded iSpring Capital Group, a Malaysia based advisory and venture capital fund manager. Since returning to Malaysia in 1996, he has been active in the development of the venture capital and private equity in Malaysia. During that time, he has been involved in the Malaysia Venture Capital & Private Equity Association in various capacities and was Chairman from 2008 to 2010. He has also been invited to sit on various government working committees to provide Industry Feedback on regulatory policies.
