Name Description

Jay Schottenstein

Mr. Jay L. Schottenstein is Executive Chairman of the Board, Chief Executive Officer of the Company. Prior thereto, Mr. Schottenstein served as our Executive Chairman, Interim Chief Executive Officer from January 2014 to December 2015. He has also served as our Chairman and its predecessors since March 1992. He served as our Chief Executive Officer from March 1992 until December 2002 and prior to that time, he served as a Vice President and Director of our predecessors since 1980. He has also served as Chairman of the Board and Chief Executive Officer of Schottenstein Stores Corporation (“SSC”) since March 1992 and as President since 2001. Prior thereto, Mr. Schottenstein served as Vice Chairman of SSC from 1986 to 1992. He has been a Director of SSC since 1982. Mr. Schottenstein also served as Chief Executive Officer from March 2005 to April 2009 and as Chairman of the Board since March 2005 of DSW Inc., a company traded on the New York Stock Exchange. He has also served as an officer and director of various other entities owned or controlled by members of his family since 1976.

Charles Kessler

Mr. Charles F. Kessler is Global Brand President – American Eagle Outfitters since January 2015. Prior thereto, he served as our Executive Vice President, Chief Merchandising and Design Officer – American Eagle Outfitters from February 2014 to January 2015. Prior to joining us, Mr. Kessler served as Chief Merchandising Officer at Urban Outfitters, Inc. from October 2011 to November 2013 and as Senior Vice President, Corporate Merchandising at Coach, Inc. from July 2010 to October 2011. Prior to that time, Mr. Kessler held various positions with Abercrombie & Fitch Co. from 1994 to 2010, including Executive Vice President, Female Merchandising from 2008 to 2010.

Robert Madore

Mr. Robert L. Madore has been appointed as Principal Financial Officer, Chief Financial Officer, Executive Vice President of the Company., effective October 28, 2016. Madore served as the Chief Financial Officer of Ralph Lauren Corporation from April 2015 to September 2016. Prior to that role, he held a number of key financial and operational roles at the Ralph Lauren Corporation, including Senior Vice President of Corporate Finance from December 2010 to March 2015, and Senior Vice President of Operations and Chief Financial Officer of its retail division from 2004 to December 2010. Before joining Ralph Lauren, Bob was Chief Financial Officer for New York & Company from 2003 to 2004, and served as Chief Operating Officer and Chief Financial Officer of FutureBrand, a division of McCann Erickson, from 2001 to 2003. Before that, he held various executive management positions at Nine West Group, Inc. from 1995 through 2000. Bob began his career in 1987 at Deloitte & Touche until 1995, and holds a Bachelor of Science in Accounting and Economics from Southern Connecticut State University. He is a certified public accountant.

Jennifer Foyle

Ms. Jennifer M. Foyle is Global Brand President — aerie, a subsidiary company of American Eagle Outfitters Inc. Prior thereto, Ms. Foyle served as Executive Vice President, Chief Merchandising Officer – Aerie from February 2014 to January 2015 and Senior Vice President, Chief Merchandising Officer – Aerie from August 2010 to February 2014. Prior to joining us, Ms. Foyle was President of Calypso St. Barth from 2009 to 2010. In addition, she held various positions at J. Crew Group, Inc., including Chief Merchandising Officer, from 2003 to 2009.

Michael Rempell

Mr. Michael R. Rempell is Chief Operations Officer, Executive Vice President of American Eagle Outfitters Inc., since June 2012. Prior thereto, he served as our Executive Vice President and Chief Operating Officer, New York Design Center, from April 2009 to June 2012, as Senior Vice President and Chief Supply Chain Officer from May 2006 to April 2009, and in various other positions since joining us in February 2000.

Kyle Andrew

Ms. Kyle Andrew is Executive Vice President, Chief Marketing Officer of the Company. effective, June 6, 2016. She has been spent developing innovative marketing strategies and plans for leading global brands. In 2008, Kyle joined Kate Spade LLC as head of Global Brand Marketing. In this role, Kyle led the global brand strategy and played a central role in the re-positioning of the Kate Spade brand from a $100 million handbag company to a billion dollar global lifestyle brand. Based on this success, Kyle was asked to lead the development and launch of a new brand, Kate Spade Saturday. Prior to that, Kyle held the position of SVP, Marketing for Kenneth Cole Productions and was VP, Gap Marketing from 2002 to 2007, where she was responsible for a number of successful brand initiatives and breakthrough advertising campaigns.

Peter Horvath

Mr. Peter Z. Horvath is Chief Global Commercial and Administrative Officer of the company. He served as CEO and Chairman of Mission Essential Personnel, LLC, a provider of intelligence and insight to the U.S. Departments of Defense, State, Homeland Security and the Intelligence Community, from January 2012 to June 2015. Prior to this, he served as EVP and Chief Operating Officer of Victoria's Secret Stores, Limited Brands from July 2008 to December 2010. From January 2005 to June 2008, Peter was President of DSW, Inc. From 1985 to 2004, he held a variety of positions at Limited Brands, including CFO, Apparel Merchandising from 1997 to 2004 and SVP, Merchandise Planning and Allocation from 2002 to 2004. Early in his career, Peter worked at Bristol Myers, Inc. and W.R. Grace and Co. Retail Group.

Michael Jesselson

Mr. Michael G. Jesselson is Lead Independent Director of American Eagle Outfitters Inc., since November 1997. Mr. Jesselson has served as President of Jesselson Capital Corporation, a private investment corporation headquartered in New York City, since 1994. He also serves on the Board of Directors of a number of nonprofit institutions. Mr. Jesselson is a graduate of New York University.

Thomas Ketteler

Mr. Thomas R. Ketteler is Independent Director of American Eagle Outfitters Inc., since February 2011. Prior to his retirement from SSC, a private company, in 2005, Mr. Ketteler served as Chief Operating Officer since 1995, as Executive Vice President of Finance and Treasurer from 1981, and as a director since 1985. Prior to SSC, he was a partner in the firm of Alexander Grant and Company, Certified Public Accountants. Mr. Ketteler currently provides consulting services to SSC and served as a consultant to the Company's Board from 2003 until June 2010. He holds a BA in Accounting from Thomas More College and is a Certified Public Accountant.

Cary McMillan

Mr. Cary D. McMillan is Independent Director of American Eagle Outfitters Inc., since June 2007. Mr. McMillan has served as Chief Executive Officer of True Partners Consulting, LLC, a professional services firm providing tax and other financial services, since December 2005. From October 2001 to April 2004, he was the Chief Executive Officer of Sara Lee Branded Apparel. Mr. McMillan served as Executive Vice President of Sara Lee Corporation, a branded consumer packaged goods company, from January 2000 to April 2004. From November 1999 to December 2001, he served as Chief Financial and Administrative Officer of Sara Lee Corporation. Prior thereto, Mr. McMillan served as an audit partner with Arthur Andersen LLP. He holds a BS from the University of Illinois and is a Certified Public Accountant.

Janice Page

Ms. Janice E. Page is Independent Director of American Eagle Outfitters Inc. since June 2004. Prior to her retirement in 1997, Ms. Page spent 27 years in apparel retailing holding numerous merchandising, marketing and operating positions with Sears Roebuck & Company, including Group Vice President from 1992 to 1997. While at Sears Roebuck & Company, Ms. Page oversaw men's, women's and children's apparel as well as athletic footwear and accessories among other responsibilities. She holds a BA from Pennsylvania State University.

David Sable

Mr. David M. Sable is an Independent Director of American Eagle Outfitters Inc., since June 2013. Mr. Sable has served as Global Chief Executive Officer of Y&R, one of the world's largest marketing communications agencies (consisting of Y&R Advertising, VML, Bravo and Iconmobile) and a member of UK-based WPP Group, since February 2011. Prior to that time, he served at Wunderman, Inc., a leading customer relationship manager and digital unit of WPP Group, as Vice Chairman and Chief Operating Officer from August 2000 to February 2011. Mr. Sable was a Founding Partner and served as Executive Vice President and Chief Marketing Officer of Genesis Direct, Inc. from June 1996 to September 2000. He attended New York University and Hunter College. Mr. Sable also serves as the Chair of the United Nations Children's Fund (UNICEF) New York Philanthropic Advisory Board and is a member of the Board of the United Negro College Fund (UNCF).

Noel Spiegel

Mr. Noel Joseph Spiegel is Independent Director of American Eagle Outfitters, Inc. since June 2011. Mr. Spiegel was a partner at Deloitte & Touche, LLP, where he practiced from September 1969 until his retirement in May 2010. In his over 40 year career at Deloitte, he served in numerous management positions, including as Deputy Managing Partner, member of the Executive Committee, Managing Partner of Deloitte's Transaction Assurance practice, Global Offerings and IFRS practice and Technology, Media and Telecommunications practice (Northeast Region), and as Partner-in-Charge of Audit Operations in Deloitte's New York Office. Mr. Spiegel holds a BS from Long Island University and attended the Advanced Management Program at Harvard Business School.
