Name Description

Gary Augusta

Mr. Gary M. Augusta serves as the Executive Chairman of the Board of Apollo Medical Holdings, Inc. In addition to Board responsibilities, Mr. Augusta focuses for us on capital raising and corporate development. Mr. Augusta also serves as President of SpaGus Ventures LLC and SpaGus Capital Partners, growth funds that have invested in healthcare and technology companies since January 2010. From March 2004 to December 2009, Mr. Augusta was President and CEO of OCTANe, an innovation development company. From June 1994 to March 2000, he was a Consultant and Principal for AT Kearney, a leading consulting firm. From March 2001 to January 2004 he served as Corporate Development and M&A Officer for Fluor Inc., a Fortune 500 company. He earned a BS in Mechanical Engineering from the University of Rhode Island and a Master of Science and Management (MSM) from Georgia Tech. Mr. Augusta’s qualifications to serve on our Board of Directors includes his more than 20 years of experience as an executive focused on private equity, growth strategy and operations, corporate development and M&A.

Warren Hosseinion

Dr. Warren Hosseinion, M.D., is Chief Executive Officer, Secretary, Director of Apollo Medical Holdings, Inc. Dr. Hosseinion co-founded ApolloMed Hospitalists in Los Angeles with Dr. Adrian Vazquez. Dr. Hosseinion received his medical degree from Georgetown University. Dr. Hosseinion's qualifications to serve on our Board of Directors include his position as our chief executive officer since the inception of the Company, his background as co-founder of the Company and leading physician within the medical community in Los Angeles. In addition, Dr. Hosseinion is currently a practicing hospitalist physician and brings to our Board of Directors and our Company a depth of understanding of physician culture and strong knowledge of the healthcare market.

Mihir Shah

Mr. Mihir Shah CPA is Chief Financial Officer of the Company. He is a seasoned healthcare executive with over 10 years of experience in the healthcare services sector. His expertise includes leadership in finance roles within the managed care, post-acute care and hospice/palliative care sector, as well as operational efficiency and technology implementation initiatives. He has an established track record of improving financial reporting, reducing overhead, improving organizational workflow and implementing automated processes. He joined ApolloMed as a consultant inMarch 2016. Prior to joining ApolloMed, he was CFO of Unitek Information Systems, a private equity-backed company that offers nursing, allied health and information technology training programs. At Unitek, he established a new finance team, implemented a new financial reporting system and developed a new budgeting process. Prior to this, from 2013 to 2015, Mr. Shah was Vice President and Controller of Health Essentials, LLC ("HES"), a private equity-backed healthcare organization that has been providing post-acute care and hospice/palliative care services to the frail and elderly population inCaliforniasince 1996. At HES, he redesigned the finance departmental infrastructure, including treasury, financial reporting, audit, payroll, revenue cycle and forecasting. Prior to this, from 2005 to 2013, he was Vice President of Finance and Analytics at Arcadian Health Plan, a venture-backed Medicare Advantage HMO with 64,000 members in 15 states and revenue of$640 million. Arcadian was acquired by Humana in August 2011. At Arcadian, he developed medical cost projections/targets, implemented operating and performance metrics to drive cost efficiency, and established a new system to estimate IBNR. Mr. Shah is a Certified Public Accountant and received a Master of Commerce-Cost Accounting from Gujarat University in Ahmedabad,India.

Adrian Vazquez

Dr. Adrian Vazquez, M.D., serves as the Chief Medical Officer of the Apollo Medical Holdings, Inc. He was Chairman of the Board, President of Apollo Medical Holdings Inc., effective December 9, 2011. Dr. Vazquez co-founded ApolloMed Hospitalists in 2001, and he has served as President and Chairman of AMH since June 2001. He received his B.S. in biology from the University of California, Irvine, his medical degree from the UC Irvine School of Medicine and his residency in internal medicine from the Los Angeles County-University of Southern California Medical Center. He is a Diplomate of the American Board of Internal Medicine.

Thomas Lam

Dr. Thomas Lam , M.D is Director of the Company. Dr. Lam is currently Chief Executive Officer of Network Medical Management, Inc. ("NMM") and Chief Financial Officer of Allied Pacific of California IPA ("APC"). Founded in 1994 and headquartered in Alhambra, California , NMM is a leading physician-led Management Services Organization ("MSO") that delivers comprehensive healthcare management services to a client base consisting of health plans, independent practice associations (IPAs), hospitals, physicians and other health care networks. NMM currently is responsible for coordinating the care for over 600,000 covered patients in Southern, Central and Northern California through a network of over 12 IPAs with over 4500 contracted physicians. APC, founded in 1992, and its affiliated medical groups are one of the largest independent physician associations in California , with an enrollment of over 500,000 patients under capitation. Dr. Lam has been on the Governing Board of Garfield Medical Center in Monterey Park, CA since 2010. He was the recipient of the Corporate Citizen of the Year Award by the Board of Directors of the East Los Angeles College Foundation in April 2014 , and was also the recipient of the Heart of the Community Award by the Board of Directors of the YMCA West San Gabriel Valley chapter in February 2015. Dr. Lam is a board certified gastroenterologist who received internal medicine and gastroenterology training from New York Medical College and Georgetown University School of Medicine

Mark Fawcett

Mr. Mark Fawcett is Independent Director of Apollo Medical Holdings, Inc. Mr. Fawcett is currently a Senior Vice President and Treasurer of Fresenius Medical Care, which he joined in 2002. As Treasurer, Mark raises capital in the bank, bond and equity-linked markets. He is also integral in mergers and acquisitions, foreign exchange and interest rate risk management. In the U.S., Mark manages all Treasury functions from cash management to joint ventures and project finance. Prior to Fresenius, Mark was Director in Corporate Finance at BankBoston (acquired by Fleet and then by Bank of America), joining in 1997. Activities included capital raising, mergers and acquisitions, derivatives and all ancillary banking activities, including cash management, shareholder services, trust and custody. Mr. Fawcett entered corporate banking with Bank of New York in 1993 and rose through various positions of responsibility. Prior to corporate banking, he was an investment banker with Merrill Lynch in New York and London. His role in investment banking began in 1988 and focused mainly on capital raising in public and private markets as well as mergers and acquisitions. Mr. Fawcett graduated with a B.A. in psychology from Wesleyan University and an MBA from Columbia Business School with a dual concentration in finance and management.

Suresh Nihalani

Mr. Suresh Nihalani is Independent Director of Apollo Medical Holdings, Inc. Mr. Nihalani has served as a business consultant and advisor since 2008, and is currently involved with many early stage ventures in the area of cloud computing, data centers, next generation storage and 4G backhaul wireless radios, assisting them in technology direction, business development and strategic business planning. Mr. Nihalani was President and CEO of ClearMesh Network from 2005 to 2007. He also co-founded Nevis Networks, where he served as CEO from 2002 through 2005. From 1996 to 2001, he co-founded and served as CEO of Accelerated Networks. Prior to that he co-founded ACT Networks where he held various executive level positions. Mr. Nihalani holds a BS in Electrical Engineering from ITT Bombay and MSEE and MBA degrees from the Florida Institute of Technology. Mr. Nihalani’s qualifications to serve on our Board of Directors include over 35 years of corporate experience working as a senior executive and director with both public and private organizations.

David Schmidt

Mr. David G. Schmidt is Independent Director of Apollo Medical Holdings, Inc., effective May 22, 2013. He has served since January 2011 as Principal of Schmidt & Associates, a consultancy practice that focuses on strategic planning and implementation in the healthcare industry. From August 2002 to December 2010, he served as the CEO and Member of the Board of SCAN Health Plan, the tenth largest Medicare Advantage plan in the country. From 2000 to 2002 he served as CEO of Medicheck, a firm that provided Internet-based financial service management to healthcare organizations, which was sold to Passport Health Communications. He served on Passport’s Board from 2002 to 2006. From 1992 to 1998 he was the Senior Vice President of Sales and Customer Services for Care America/Blue Shield Health Plan and Regional Vice President for FHP Healthcare. He received a BA in Economics from UCLA and a MBA from The Anderson School of Management at UCLA. Prior to his healthcare experience he held senior management roles in manufacturing companies including Avery Denninson. He also serves on the board of Beacon Healthcare Systems and was a founding board member of the SCAN Foundation, a 501(c)(3) corporation focused on long term care in the United States. Mr. Schmidt’s qualifications to serve as a member of the Company’s Board of Directors include his 20 years of experience working as a senior executive in the healthcare industry.

Edward Schreck

Mr. Edward Schreck is Independent Director of the Apollo Medical Holdings, Inc. Mr. Schreck was retired. From 2006 to 2008 he served as a consultant for the Legacy Health System, based in Portland, Oregon, which operates six hospitals, a research institute, and a network of clinics. From 1998 to 2006, he served as an executive with Tenet Healthcare including as CEO of USC’s Private Practice Hospitals, Regional Vice President of Operations for Los Angeles-area hospitals, and finally as Senior Vice President. From 1973 to 1988 he served with St. Joseph Health System, as CEO of Santa Rosa General Hospital and Senior Vice President of Santa Rosa Memorial Hospital. Schreck also served as the CEO of the Eden Township District Hospitals from 1992 to1998, and CEO of Delta Memorial Hospital from 1988 to 1992. He holds a BA degree from UCLA and Doctorate from USC. Mr. Schreck’s qualifications to serve on our Board of Directors include over 30 years of corporate experience working as a senior executive in the healthcare industry.
