Peter Gundy |
Mr. Peter V. Gundy is Non-Executive Independent Chairman of the Board of Verde Potash PLC. He was Chairman of Neo Material Technologies Inc. (“Neo”) a TSX-listed mineral technologies company. Mr. Gundy was Neo’s founder as well as President and Chief Executive Officer from 1992 to 2006. He resigned as Chairman of Neo in 2008. From start-up in 1992, Neo Material Technologies became the global producer in its sector. Prior thereto, he had been a Vice-President of Brascan Inc., having been involved with the company’s investments in Brazil. He was also Executive Vice President, Finance of the Potash Corporation of Saskatchewan Limited at its inception and played a role in its establishment. This company went on to become the world’s global producer of potash fertilizer. Mr. Gundy has also held the position of Chairman of Renaissance Securities Inc., a Canadian securities dealer. Mr. Gundy graduated from the London School of Economics with a Masters of Science in Economics degree, from McGill University with a Bachelor of Civil Law degree, and from the University of Western Ontario with a Bachelor of Arts degree. Mr Gundy was also awarded certification as a director by the Institute of Corporate Directors. He is currently a director and co-owner of Veritprop Ltd. in Toronto. |
Cristiano Veloso |
Mr. Cristiano Veloso is President, Chief Executive Officer, Director of Verde Potash PLC. Mr. Veloso founded Verde Potash in 2005 and has since led its development. During 2004, Mr. Veloso was employed with Eastland Medical Systems Plc working on financing and regulatory issues. From 2000 to 2003, he was employed by Banco do Brasil S.A. in its International Business Development Department, and prior to that, in the Corporate Branch. During 1999, Mr. Veloso worked at Companhia Energetica de Minas Gerais S.A. (CEMIG), a South American energy and gas company. Mr. Veloso is fluent in four languages and was awarded scholarships by the German Academic Exchange Service (DAAD) and the British Council (U.K.). Mr. Veloso is a qualified solicitor and a member of the Brazilian Bar Association. Mr. Veloso holds a Business Management diploma from Escola Tecnica de Formaçao/SEBRAE, Brazil, a Bachelor of Laws, Universidade Federal de Minais Gerais, Brazil, and a Master of Laws (International Business and Commercial Law) from the University of East Anglia, United Kingdom. |
Milson Mundim |
Mr. Milson Mundim has been appointed as Chief Financial Officer of Verde Potash PLC with effect from August 22, 2012. Mr. Mundim joins the company bringing experience in project finance. He has been responsible for recently structuring a $400-million (U.S.) debt package as CFO of Hidrovias do Brasil S/A (an integrated waterway logistic operator in Brazil), including notable international financing partners (International Finance Corporation, IDB, CAF, DEG, CDB) and local development banks (such as BNDES and BASA). Previously, as CFO of Kinross Gold Corp.'s Brazilian subisdiary, Mr. Mundim led the financial structuring of the $600-million (U.S.) expansion of the Paracatu mine from 150,000 ounces per year to 500,000 ounces per year. The task included the implementation of tax strategies, capital controls, working capital financing and energy-cost-hedging strategies. As Vale's general manager of business and strategy planning, and project valuation, in its energy division, Mr. Mundim managed the company's power procurement of $1-billion (U.S.) per year (5 per cent of Brazil's consumption), an operational budget of $33-million (U.S.) and a total portfolio of new opportunities appraised at $2-billion (U.S.). As the investment officer of IFC's carbon finance unit in Washington, Mr. Mundim was responsible for investment in renewable energy projects with carbon credits under the Clean Development Mechanism in Brazil and South America, as well as India, China and Central Europe, where the focus was on small power plants, wind, biomass and landfill gas. In his career, that also includes experiences with Suez Energy International and Deutsche Bank, Mr. Mundim has been involved in the structuring of more than $1.5-billion (U.S.) in project finance, mostly in the power and logistics sectors. Mr. Mundim completed his MBA in corporate finance at Thunderbird, the American Graduate School of International Management, graduating with distinction, and a bachelor of economics at UFMG (University Federal de Minas Gerais). |
Pedro Ladeira |
Mr. Pedro Ladeira is Chief Operating Officer of Verde Potash PLC., since December 23, 2011. Mr. Ladeira previously held the position of Operations Director at Cementos Minetti (“Cementos”). He was responsible for their two main factories from January 2007 to August 2010 and managed over 600 employees. Cementos is one of the cement producers in Argentina and part of Holcim Group, one of the world’s cement producers. In his career, Mr. Ladeira was responsible for the construction and start-up of two cement plants with a cumulative capacity of 2.5 million tonnes per annum. From 1997 to 2006 Mr. Ladeira worked for Holcim in Brazil, holding different positions including Process and Production Manager where he developed project development, pyrometallurgy and alternative fuels usage. |
Jaret Anderson |
Mr. Jaret Anderson has been appointed as Vice President - Corporate Development of Verde Potash Plc., effective 09 October 2012. Prior to joining Verde, Mr. Anderson was a Research Analyst covering the fertilizer and chemicals sectors at Mackie Research Capital Corp. and Salman Partners Inc. He had also spent seven years at UBS Securities Canada covering Canadian paper and forest companies, as well as the chemical and fertilizer industries. Mr. Anderson was rated No.1 for earnings estimate accuracy by Starmine in 2006 and rated No.2 for the quality of his reports in 2005. Over the past year he was ranked No.1 on the Bloomberg Absolute Return Rank (BARR) for four of six stocks under coverage. Mr. Anderson received a Bachelor of Commerce, with Honours, from the University of British Columbia, and was awarded the CFA designation in 2000. |
Jeddiah Richardson |
Mr. Jeddiah Kurt Richardson is Executive Director of Verde Potash PLC. He resigned as Vice President - Corporate Development of the Company, effective 09 October 2012. Mr. Richardson is Principal Partner of Javelin Partners, a Toronto based Corporate Advisory boutique firm. Mr. Richardson was full-time Vice President of Corporate Development for 2 years before starting Javelin in October 2010 while continuing to work part-time for the Company. Prior to joining Verde Potash, Mr. Richardson was a mining analyst with Cormark Securities, focusing on precious metals as part of an 8 year career in mining research with Cormark/Sprott Securities (5 years) and RBC Capital Markets (3 years), covering precious and base metal equities capitalization. Mr. Richardson also worked as a mining engineer with Alcan Aluminium in Jamaica Bauxite operations. Mr. Richardson holds a Bachelor of Applied Science degree in Mining Engineering from the University of Toronto, Canada. Mr. Richardson is also a director of Great Quest Metals, a venture listed exploration company with phosphate prospects in Mali, West Africa, Albion Petroleum Limited and is a corporate advisor to a number of listed and private resource companies. |

Mr. Tim Slater has been appointed as Company Secretary of Verde Potash PLC. Mr. Slater is the Managing Director of Harmer Slater Chartered Accountants in the United Kingdom, and has been in the preparation of all of the Company’s financial statements and audit materials since 2007. Mr. Slater has acted as Finance Director for a range of companies in the UK. He resigned as Chief Financial Officer of te Company with effect from August 22, 2012. |
Henrique Cavalcanti |
Dr. Henrique Brandao Cavalcanti is Non-Executive Independent Director of Verde Potash PLC. Dr. Cavalcanti has represented Brazil as President of the WHO’s Intergovernmental Forum on Chemical Safety since 2000. Formerly, he was Chair of the Commission on Sustainable Development (“CSD”) during its Third Session in 1995. Dr. Cavalcanti graduated in civil engineering from McGill University, Canada, beginning his career as an engineer and becoming partner of ECOTEC- Economia e Rngenharia Industrial S.A. (1959-1964). Involvement with the Brazilian federal government led to positions as Deputy Minister of Mines & Energy (1967-69) and Deputy Minister of the Interior (1969-1974). At this time Dr. Cavalcanti began his involvement in international environmental diplomacy as a delegate to the UN Conference on the Human Environment (1972) and the World Population Conference (1974). Roles in industry have included: Managing Director of electric power utilities in Southern Brazil (1965-67), assistant to the President of ELETROBRAS (1975), Chairman and CEO of the Brazilian Steel Corporation (1978-1985), Managing Director of the International Environmental Bureau in Geneva (1986-89), and Director for Environment of the CAEMI Group (1990-93). Other appointments currently held include: membership of the Brazilian Metals Association; the Brazilian Standards Association; the National Independent Commission on Oceans; and the Commission on Sustainable Consumption (Oxford University), as well as Board Member of the Brazilian Municipal Administration Institute, the FUNATURA Foundation, and the Iwokrama International Centre for Rain Forest Conservation and Development (Guyana). He is also trustee of the LASPAU program at Harvard University, Director of the Marine Stewardship Council (UK), and Senior Adviser to the Global Environment Facility. |
Getulio Fonseca |
Mr. Getulio Lamartine de Paula Fonseca is Non-Executive Independent Director of Verde Potash PLC. Mr. Fonseca is a senior economist with over 40 years of government and consulting experience in the Brazilian resource, electrical and power generation sectors, and served as Deputy Minister of the Environment (Brazil) in 1994. Since 1990, Mr. Fonseca has been employed by GL Consultoria Ltd. as consultant to the Brazilian resource, electric and power generation industries. In that role, Mr. Fonseca has assisted businesses such as Bank of Montréal, Samarco Minerção S.A., Klabin S.A., Alcoa Inc., KLM Aerocarto B.V., Construtora Norberto Odebrecht S.A., Acesita S.A. and Dow Corning Company with projects in Brazil. From 1985 to 1990, Mr. Fonseca was the General Director of the National Department of Power and Water Supply (DNAEE) at the Brazilian Ministry of Mining and Power Supply, and from 1979 to 1984, was the Executive-Secretary of the Industrial Development Council at the Brazilian Industry and Commerce Ministry. For various periods between 1972 and 1979, Mr. Fonseca was the Associate Secretary for the Minas Gerais State Industry, Commerce and Tourism Secretariat, and also served as the Co-ordinator of the Economic Advisory Team to the Minas Gerais State Finance Secretariat. From 1971 to 1972, he was employed with the Minas Gerais state Industrial Development Institute, and the office of the Industry, Commerce and Tourism Superintendant. From 1966 to 1971, Mr. Fonseca held positions with Companhia Energetica de Minas Gerais S.A. (CEMIG). Mr. Fonseca holds a degree in economics from the Faculdade de Ciêcias Econômicas da Universidade de Minas Gerais. |
Richard Garnett |
Dr. Richard Herbert Train Garnett is Non-Executive Independent Director of Verde Potash PLC. He has experience in the mining industry with 50 years spent working with a wide range of minerals in jurisdictions from Canada, South Africa, and South East Asia to Brazil. He has held senior positions with Rio Tinto, Anglo American, Hudson Bay Mining and Diamond Fields Resources, where he was instrumental in the early recognition and exploration of the Voisey’s Bay nickel deposit. A mining engineer by training (Royal School of Mines, London), he also holds a PhD. in Economic Geology from London University and a Master of Business Administration from Cranfield University, England. |
Renato Gomes |
Mr. Renato Gomes is Non-Executive Independent Director of Verde Potash PLC. Mr. Gomes is currently the President and CEO of Atlantica Mining, which operates iron ore projects in Brazil. He also serves as director of the ABCI Institute (Brazilian International Trade Scholars) and researcher at Georgetown University, where his work focuses on the Brazilian government, its development agenda, and foreign investment. He is a qualified attorney and a member of the Brazilian Bar Association, the Portuguese Bar Association, and the New York State Bar Association. Previous professional experience includes a number of consultancies on government-business relations in Brazil, legal practice with a Brazilian law firm, and serving as legal officer to Nobel Peace laureate Martti Ahtisaari at the United Nations Office of the Special Envoy in Vienna. In addition to his legal practice, Mr. Gomes has also had solid political experience. He has worked for former state congressman Luis Carlos Gambogi and worked on a number of political campaigns, most recently serving on Aécio Neves’ 2006 re-election campaign to the governorship of Minas Gerais. Mr. Gomes holds an LL.B. from Faculdade de Direito da Universidade Federal de Minas Gerais, an LL.M. from the London School of Economics and Political Science (Graduate Merit Award and AlBan scholar), an LL.M. from Georgetown University (Instituto Ling scholar), and is currently concluding his doctoral thesis at Georgetown University (CAPES-Fulbright scholar). |
