Name Description

John Morschel

Mr. John Powell Morschel, DipQS, FAICD, has been Independent Non-Executive Chairman of the Board of Australia and New Zealand Banking Group Ltd since March 1, 2010. He has been on the Company's Board since October 2004. He is ex-officio Member of the Audit Committee, Governance Committee, Human Resources Committee, Risk Committee and Technology Committee of the Company. He has a background in banking, financial services and property and brings the experience of being a Chairman and Director of Australian and international companies. He is former Chairman of Rinker Group Limited (Chairman and Director 2003–2007), Leighton Holdings Limited (Chairman and Director 2001–2004) and CSR Limited (Director 1996–2003, Chairman 2001–2003). His former Directorships include: Singapore Telecommunications Limited (2001–2010), Rio Tinto Plc (1998–2005), Rio Tinto Limited (1998–2005), Westpac Banking Corporation (1993–2001), Lend Lease Corporation Limited (1983–1995) and Tenix Pty Ltd (1998–2008). He is Fellow of the Australian Institute of Company Directors.

Michael Smith

Mr. Michael (Mike) Roger Pearson Smith, OBE, has been Chief Executive Officer and Executive Director of Australia and New Zealand Banking Group Limited since October 1, 2007. Mr. Smith is an international banker with over 30 years of experience in banking operations in Asia, Australia and internationally. Until June 2007, he was President and Chief Executive Officer, The Hong Kong and Shanghai Banking Corporation Limited, Chairman, Hang Seng Bank Limited, Global Head of Commercial Banking for the HSBC Group and Chairman, HSBC Bank Malaysia Berhad. Previously, Mr. Smith was Chief Executive Officer of HSBC Argentina Holdings SA. Mr. Smith joined the HSBC Group in 1978 and during his international career he has held a wide variety of roles in Commercial, Institutional and Investment Banking, Planning and Strategy, Operations and General Management. His current Directorships include ANZ National Bank Limited (from 2007) and the Financial Markets Foundation for Children (from 2008). He is Member of Chongqing Mayor’s International Economic Advisory Council (from 2006), Australian Bankers’ Association Incorporated (from 2007), Business Council of Australia (from 2007), Asia Business Council (from 2008), Financial Literacy Advisory Board (from 2008), Visa International Senior Client Council (from 2009) and Shanghai International Financial Advisory Council (from 2009). Graham Hodges

Mr. Graham K. Hodges is Deputy Chief Executive Officer of Australia and New Zealand Banking Group Ltd. He previously served as Acting Chief Executive Officer - Australia from May 2009 to November 2009. He was Chief Executive and Director of ANZ National Bank Limited responsible for ANZ's New Zealand businesses. Prior to this, he held the positions of Group Managing Director, Corporate, Managing Director, Small to Medium Business and Head of Corporate Banking for Australia and New Zealand. He has a Bachelor of Economics (Hons) from Monash University.

Shayne Elliott

Mr. Shayne Cary Elliott serves as Chief Financial Officer of Australia and New Zealand Banking Group Ltd since June 1, 2012. He was Company's Chief Executive Officer - Institutional and Group Managing Director - Institutional. Mr. Elliott has been Head of Business Development with EFG-Hermes, the investment bank in the Middle East. Previously, Mr. Elliott had a 20 year career with Citigroup, most recently as CEO Global Transaction Services Asia Pacific and Chief Executive Officer Corporate Bank Australia/NZ and Country Corporate Officer. He has held other senior roles with Citigroup in Egypt, New York, London and New Zealand. Mr. Elliott holds a Bachelor of Commerce, Management Studies and Finance from the University of Auckland.

Philip Chronican

Mr. Philip (Phil) Chronican is Chief Executive Officer of Australia of Australia and New Zealand Banking Group Ltd. Mr. Chronican is responsible for ANZ’s Australian geography with specific responsibility for the Bank's Retail, Commercial and Wealth Management businesses. Mr. Chronican will also be Segment Leader for ANZ’s Retail businesses globally. During a 27-year career with Westpac, Mr. Chronican established a reputation as one of Australia's banking executives. Until July 2009, he was Group Executive for Westpac Institutional Bank, who is responsible for the global corporate and institutional banking business. Previously, Mr. Chronican was Chief Financial Officer from 2001 to 2005. Formerly, he has held a number of senior financial roles at Westpac including with the Retail Banking Group, where he was responsible for the development of retail strategy, financial planning and control and leadership of the retail bank change program.

Andrew Geczy

Mr. Andrew Geczy has been Chief Executive Officer - International and Institutional Banking of Australia and New Zealand Banking Group Ltd since August 19, 2013. He is a senior international banker with 25 years experience in wholesale banking, markets and asset management. Between 2009 and 2013, Mr. Geczy was a senior executive at Lloyds Banking Group where he was CEO Wholesale Banking and Markets. In this role, Mr. Geczy had global responsibility for Corporate and Institutional Banking, Sales and Trading, Capital Markets, Structured Corporate Finance, Transaction Banking, and Portfolio Management. He joined Lloyds Banking Group from the specialist investment advisory and asset management firm, Manresa Partners, which he founded in 2005 with offices in London, New York, Hong Kong, and Dublin. Previously Mr. Geczy was with Citigroup where he held a number of leadership roles in Corporate and Institutional Banking between 1991 and 2005. He was Global Head of Structured Corporate Finance from 2001 with responsibilities covering more than 80 countries including growth business in Asia. He was also a member of Citigroup’s Global Fixed Income Management Committee, the Global Banking Operating Committee, and Board Member of Citigroup Europe PLC and other Citigroup affiliates. Mr. Geczy began his career in accounting with Price Waterhouse and KPMG having completed a Master of Science at the University of Virginia.

David Hisco

Mr. David Duncan Hisco has been Chief Executive Officer of New Zealand for Australia and New Zealand Banking Group Ltd since October 13, 2010. Previously, he was Managing Director of Esanda, Australasia's provider of asset finance. David joined Esanda from ANZ's Personal Division where he was Managing Director, Retail Banking. Prior to this, David was Managing Director of ANZ Consumer Finance's Merchant Payments business for Australia and New Zealand. David's appointment to Commercial Banking is not his first experience with the business, having held a variety of management roles in Business Banking from 1985 to 1993, and senior finance company roles including General Manager UDC (1998-2000). He holds a Bachelor of Business (Accounting) from Deakin University, a Graduate Diploma in Business Administration from Monash University, and an Executive Master of Business Administration from Monash University (Mt Eliza). He is a past recipient of the FINSIA annual scholarship. He is a founding Director of the charity Second Bite, a Fellow of the Financial Services Institute of Australasia and an Associate of the Australian Society of Accountants.

Joyce Phillips

Ms. Joyce Phillips serves as Chief Executive Officer of Global Wealth and Private Banking of Australia and New Zealand Banking Group Ltd since March 1, 2012. She was Group Managing Director - Strategy, M&A from July 10, 2009 to March 1, 2012. Previously, Ms. Phillips was President and Chief Operating Officer at American Life Insurance Company. Prior to joining American Life Insurance in 2007, Ms. Phillips was with Citigroup where she was Head of International Retail Banking responsible for Citigroup’s global retail banking franchise in 42 countries. Her other roles with Citigroup include Country Business Manager, Citibank Global Consumer in Japan and Chief Executive Officer of Citicorp Diners Club in Japan. Ms. Phillips joined Citigroup in 1999 from GE Capital where she held various management positions in the Global Consumer Finance Division. She has a Master of Business Administration from the Stern School of Business, New York University.

He was previously Managing Director Transaction Baking in Institutional. Mr. Bob Santamaria, BCom, LLB (Hons), has been Group General Counsel and Company Secretary of Australia and New Zealand Banking Group Ltd since August 27, 2007. Mr. Santamaria joined ANZ in 2007. He had previously been a Partner at the law firm Allens Arthur Robinson since 1987. He was Executive Partner Corporate, responsible for client liaison with some of Allens Arthur Robinson’s corporate clients. He brings to ANZ a background in leadership of a law firm, together with experience in securities, mergers and acquisitions. He holds a Bachelor of Commerce and Bachelor of Laws (Honours) from the University of Melbourne. He is also an Affiliate of Chartered Secretaries Australia.

Susie Babani

Ms. Susie Babani is Group Managing Director of Human Resources of Australia and New Zealand Banking Group Ltd. Ms. Babani joins ANZ from HSBC in London where she was Global Head of Human Resources with HSBC Insurance. Ms. Babani has held a series of senior human resources and business roles with HSBC including Chief Operating Officer, Business Process Offshoring, East Asia, Executive Vice President, Human Resources with HSBC Bank USA and Global Head of Human Resources with HSBC Asset Management. She has worked in the United Kingdom, China, Canada and the United States.

Mr. John W. Priestley, BEc, LLB, FCIS, has been Company Secretary of Australia and New Zealand Banking Group Ltd since April 19, 2004. He is a qualified lawyer, joined ANZ in 2004. Graeme Liebelt

Mr. Graeme Richard Liebelt has been Director of Australia and New Zealand Banking Group Ltd since July 1, 2013. He was previously Chief Executive Officer at Orica Limited, a global mining services company with operations in more than 50 countries. He was Chief Executive Officer between September 2005 and February 2012 during a 23 year executive career with Orica. Mr Liebelt is currently a Director of Amcor Limited and The Australian Foundation Investment Company Limited. Paula Dwyer

Ms. Paula Jane Dwyer has been Independent Non-Executive Director of Australia and New Zealand Banking Group Ltd since April 1, 2012. She is a member of the Audit Committee, Risk Committee and Human Resources Committee. Ms. Dwyer is an established non-executive director with experience in financial services and accounting background, and has previously held executive roles in the investment management, corporate finance and accounting industries. Mr. Lee is one of Asia’s most respected business leaders and has considerable knowledge of the region. He has a background in engineering and brings to the Board his international business and management experience across a wide range of sectors including food and beverages, properties, publishing and printing, telecommunications, financial services, education, civil aviation and land transport. He is also the Chairman of Fraser & Neave, Limited (from 2007), and Civil Aviation Authority of Singapore (from 2009). Ian Macfarlane

Mr. Ian John Macfarlane, AC, has been Independent Non-Executive Director of Australia and New Zealand Banking Group Limited since February 16, 2007. He is Chairman of the Risk Committee and Member of the Governance Committee and Audit Committee of the Company. During his 28 year career at the Reserve Bank of Australia including a 10 year term as Governor, Mr. Macfarlane made a contribution to economic policy in Australia and internationally. He has a deep understanding of financial markets as well as a long involvement with Asia.
