Name Description

John Beck

Mr. John M. Beck is Executive Chairman of the Board of Aecon Group Inc., effective June 11, 2014. Prior to his appointment as Executive Chairman of Aecon in June 2014, Mr. Beck served as Chairman and Chief Executive Officer of Aecon, a position he held for over 40 years. Mr. Beck has been a member of the Board since 1963. Mr. Beck has also served as Chairman of the Board of the Ontario Power Authority and as a director of the Canadian Council for Public Private Partnerships. Mr. Beck is currently a member of the Board of the Ontario Financing Authority, the Canadian Olympic Foundation, the Advisory Council for the School of Public Policy at the University of Calgary and the Macdonald-Laurier Institute for Public Policy and is a member of the Canadian Council of Chief Executives. In recognition of his distinguished achievements and career-long service to the engineering profession, Mr. Beck has been inducted as a Fellow into the Canadian Academy of Engineering. A graduate in Civil Engineering from McGill University, Mr. Beck has more than 50 years of experience in the construction industry in Canada and internationally. His background includes corporate leadership in numerous construction activities including heavy civil projects such as bridges, highways, airport infrastructure, precast concrete manufacturing as well as buildings, commercial and industrial projects, and public-private partnerships for the development of infrastructure, such as airports and toll roads.

Terrance McKibbon

Mr. Terrance L. McKibbon is President, Chief Executive Officer, Director of Aecon Group Inc. Teri McKibbon is at the forefront of one of Canada’s leading construction and infrastructure development companies. Under his leadership, Aecon remains a partner of choice for complex, interdisciplinary mega projects. More than 30 years’ experience integrating and managing construction-related companies has provided Mr. McKibbon with demonstrated expertise in, and a comprehensive understanding of, the diversity and complexity of Aecon’s operating environment. He has been with the company since 1996. Named to the role of Chief Executive Officer in June 2014, and President in June 2013, Mr. McKibbon has held successive positions within Aecon, including Chief Operating Officer (2011) and Executive Vice President and CEO of Aecon’s Infrastructure division (2005). He has been a member of the Executive Committee of Aecon Group Inc. since 2006. In addition to being a member of the Aecon Board of Directors, Mr. McKibbon is a Trustee of the Operating Engineers Training Fund and a member of the Canadian Council of Chief Executives. He is a former Trustee of the Labourers’ International Union of North America (Washington D.C.), and former President of both the Pipeline Contractors Association of Canada and the Ontario Hot Mix Producers Association. He has also served as a Board member of the Ontario Road Builders Association and the Utility Contractors Association of Ontario. Mr. McKibbon is certified by the Canadian Construction Association as a Gold Seal Project Manager.

Brian Tobin

Hon., Brian V. Tobin is Vice Chairman of the Board, Lead Independent Director of Aecon Group Inc. He served as the Federal Minister of Industry from October 2000 to January 2002. Previously he served as the Premier of Newfoundland and Labrador from 1996 to 2000 and won two consecutive majority governments in provincial elections held in February 1996 and February 1999. Mr. Tobin served as a Member of Parliament from 1980 to 1996 and served as Minister of Fisheries and Oceans in the federal cabinet from 1993 to 1996. Mr. Tobin serves as Chairman of the board of New Flyer Industries Inc. and director of Element Financial Corp. He is the former CEO and President of Consolidated Thompson Iron Mines Limited which was sold in 2011 to Cliffs Natural Resources Inc. In addition, Mr. Tobin is the Vice Chairman of BMO Capital Markets, and the Vice Chairman and Lead Director of Aecon. Mr. Tobin is ICD.D certified.

David Smales

Mr. David Smales is Executive Vice President, Chief Financial Officer of Aecon Group Inc., Mr. Smales came into effect on October 30, 2012. The agreement sets out Mr. Smales’ duties and responsibilities as well as annual compensation, benefits and incentives. The agreement includes non-solicitation and non-competition provisions ending 12 months from termination as well as confidentiality provisions that extend beyond expiration. The agreement provides for a severance payment in the event of termination without just cause in the form of a continuation of salary and benefits including pension plan contributions for a period of 12 months, subject to any greater entitlement under Ontario law. In the event of a change of control of the Corporation, if Mr. Smales is dismissed or elects to resign during the ensuing 12 months, Mr. Smales is entitled to receive a payment equal to 12 months salary plus the cash incentive paid over the previous fiscal year and the continuation of all benefits for a period of 12 months.

Paula Palma

Ms. Paula Palma is Executive Vice President and Chief People and Information Officer of the company. Since August 13, 2014, and supersedes her original employment agreement dated September 7, 2012. The agreement sets out Ms. Palma’s duties and responsibilities as well as annual compensation, benefits and incentives. The agreement includes non-solicitation provisions ending 12 months from termination as well as confidentiality provisions that extend beyond expiration. The agreement provides for a severance payment in the event of termination without cause in the form of a continuation of salary and benefits including pension plan contributions for a period of 18 months. In the event of a change of control of the Corporation, if Ms. Palma is dismissed during the ensuing 12 months, Ms. Palma is entitled to receive a payment equal to 18 months salary plus the cash incentive paid over the previous three fiscal years and the continuation of all benefits for a period of 18 months.

L. Brian Swartz

Mr. L. Brian Swartz is Executive Vice President - Legal and Commercial, Corporate Secretary of Aecon Group Inc., He has served as Executive Vice-President Legal and Commercial and Corporate Secretary of Aecon since June 2012 and Senior Vice-President, Legal and Commercial Services from June 2006 to June 2012. He has been with Aecon since 1997. Mr. Swartz is Chair of the Aecon Project Review Committee, a member of the Executive Committee and serves on the majority of the boards of directors for its wholly owned subsidiaries. Mr. Swartz has executive responsibility for managing a broad portfolio of corporate services including legal, corporate secretarial, risk management, bonding, office/facility services, and strategic planning services to the Aecon group of companies. He has been actively involved in many major infrastructure initiatives throughout the world. He is Past Chair of the CBAO Construction Law Executive. He is a member of the Board of Directors of the Canadian Employers Council and the Canadian Construction Association. Mr. Swartz is also a member of the Editorial Board of the International Journal of Corporate Counsel (London UK). Mr. Swartz earned his LLB from Osgoode Hall Law School in 1981 and in 2003 received a Cert. Arb from University of Windsor Law School and a certificate in Advanced Management from the Schulich School of Business, York University.

Joseph Carrabba

Mr. Joseph A. Carrabba is Director of Aecon Group Inc., with effect from July 15, 2013. He is the former Chairman, President and Chief Executive Officer of Cliffs Natural Resources Inc., where he served in executive capacities from 2005 to 2013. Prior to joining Cliffs Natural Resources Inc., Mr. Carrabba gained broad experience in the mining industry throughout Canada, the United States, Asia, Australia and Europe. He served for over 20 years in a variety of leadership capacities at Rio Tinto, a global mining company, including as President and Chief Operating Officer of Rio Tinto’s Diavik Diamond Mines, Inc. in the Northwest Territories. Mr. Carrabba holds a Bachelor of Arts from Capital University in Ohio and a Master of Business Administration from Frostburg State University in Maryland.

Susan Jenah

Ms. Susan Wolburgh Jenah is Director of the Company. She is a corporate director and lawyer by training. She brings over 30 years of domestic and international regulatory experience, as well as capital markets and financial services industry knowledge. She served as the founding president and chief executive officer of the Investment Industry Regulatory Organization of Canada (IIROC) until October, 2014, leading the merger of the Investment Dealers Association of Canada (IDA) and Market Regulation Services Inc. to create IIROC in 2008. Prior to joining the IDA in 2007 as president and chief executive officer, she held numerous executive roles at the Ontario Securities Commission from 1983 to 2007, including vice-chair and head of international affairs. Ms. Wolburgh Jenah is a director of Laurentian Bank of Canada, is a member of the board of governors of the U.S. Financial Industry Regulatory Authority (FINRA) and is chair of the board of the Aequitas NEO Exchange. She is currently chair of the initial board of the Ontario Retirement Pension Plan Administration Corp. (ORPPAC). She also serves on the Humber River Hospital Board, as well as on the board of the Global Risk Institute.

Monica Sloan

Ms. Monica E. Sloan is Director of Aecon Group Inc., with effect from June 11, 2013. She is the Managing Director of JKS Holdings Ltd., a private operating and investment business and is the former Chief Executive Officer and Managing Director of Intervera Ltd., a data quality product and solutions firm servicing the energy and utilities industry. Prior to Intervera, Ms. Sloan was an Independent Strategy and Management Consultant for ME Sloan Associates focused on the Canadian energy, oil and gas sector. Ms. Sloan also served as President of Kelman Technologies from 1997 to 1999 and was founding President of Telus Advanced Communications from 1994 to 1997. She also serves as director of Methanex Corporation, the world’s largest supplier of methanol, and the Balancing Pool established by the Government of Alberta. Ms. Sloan holds a Master of Engineering from Stanford University and a Master of Business Administration from Harvard Business School and is ICD.D certified.

Michael Butt

Mr. Michael A. Butt is Independent Director of Aecon Group Inc. He is the Chairman and Chief Executive Officer of Buttcon Limited (“Buttcon”), general contractors, and is Executive Chairman of Buttcon Energy Inc. Mr. Butt has been a member of the Board of Directors since 1994. Mr. Butt has a Bachelor of Applied Science in Civil Engineering from the University of Toronto. Shortly after the transfer in 1996 of Pearson Airport from the Federal Government to the Greater Toronto Airports Authority (“GTAA”), Mr. Butt was elected Chairman of the Board of Directors of the GTAA and remained in that capacity until December 2004. Mr. Butt is a Fellow of The Canadian Society for Civil Engineering and a Fellow of the Canadian Design Build Institute. He was also honoured with the Hall of Distinction award from the University of Toronto Engineering Alumni Association.

Anthony Franceschini

Mr. Anthony P. Franceschini is an Independent Director of Aecon Group Inc., since March 2009. He is a graduate of the Civil Engineering program at the University of Waterloo and has established an accomplished career in the consulting, engineering and design industry. Mr. Franceschini is the retired President and Chief Executive Officer of Stantec Inc., a Toronto Stock Exchange listed issuer specializing in providing professional consulting services in, among others, planning, engineering, architecture, interior design, project management and project economics for infrastructure and facilities projects. Mr. Franceschini joined Stantec Inc. in 1978 and was instrumental in the growth of the company into a 10,000-person professional services firm, serving as President and Chief Executive Officer from June 1, 1998 to May 14, 2009.

James Hole

Mr. James D. Hole is Independent Director of Aecon Group Inc. He became a director of Aecon following the completion of the acquisition of Lockerbie & Hole Inc. (“Lockerbie”). Mr. Hole graduated with a Bachelor of Engineering Science degree from the University of Western Ontario in 1967 and joined Lockerbie as a Project Manager in 1969. During his career with Lockerbie, Mr. Hole worked in various positions and helped lead Lockerbie into new territories and markets, including the industrial and municipal market sectors. Mr. Hole was the President and Chief Executive Officer of Lockerbie from 1994 to April 2005 and during that time played an integral part in Lockerbie’s growth and prosperity.
