Name Description

Keith Barron

Dr. Keith M. Barron, Ph.D.., is Executive Chairman of the Board, President, Chief Executive Officer of Aurania Resources Ltd. Dr. Barron is an exploration geologist with over 27 years experience in the mining sector. He holds a PhD in Geology from the University of Western Ontario and a BSc. (Hons) in Geology from the University of Toronto. Dr. Barron became a director of the Company and Chairman of the Board in July of 2007. In 2001 he privately co-founded Ecuador gold explorer Aurelian Resources Inc., which was listed on the TSX-V in 2003 and discovered the Fruta del Norte gold deposit in 2006. The company was subsequently bought by Kinross Gold in 2008. Dr. Barron is the founder and a director of Guyana uranium explorer U3O8 Corp. Dr. Barron is also currently a member of the board of directors of Firestone Ventures Inc. and is a former board member of Shear Diamonds Ltd. and Kimber Resources Inc. At the Prospectors and Developers Association of Canada convention in March 2008 he was awarded the Thayer Lindsley International Discovery Award and he was also jointly named the Northern Miner’s Mining Man of the Year 2008. Dr. Barron has not entered into a non-competition or non-disclosure agreement with the Company. Dr. Barron dedicates approximately 50% of his time to the Company and is an independent contractor of the Company.

Donna McLean

Ms. Donna R. McLean is Chief Financial Officer, Secretary of Aurania Resources Ltd. Ms. McLean has over 25 years of experience in a number of financial and accounting capacities, including Chief Financial Officer and Treasurer. Ms. McLean has a BA degree from Queens University and has completed the 4th level of the CGA program. Ms. McLean became the Chief Financial Officer of Company in September 2010 and Secretary in May 2012. She is an independent contractor of the Company and devotes approximately 50% of her time to the Company. Ms. McLean has consulted to numerous publicly traded mining companies including Intrepid Mines Ltd. (April 2005 to January 2009), and Xmet Inc. (September 2009 to September 2010). Ms. McLean is founder and President of DMc Corporate Services Inc. a private company that provides financial and administrative services to established and emergent businesses, operating in a variety of sectors and industries. Ms. McLean has not entered into a noncompetition or non-disclosure agreement with the Company.

Jean Pallier

Mr. Jean Paul Pallier is Chief Geologist of Aurania Resources Ltd. Mr. Pallier is a geoscientist with over 13 years experience in the mining industry. He holds an MSc in Geology from INPL-Nancy Université and has completed graduate work at Nancy Université. Mr. Pallier has been a contractor of the Company since September 2009 and an employee of AuroVallis, the Company’s Swiss subsidiary, since July 2010. He has worked on gold exploration projects in French Guiana in the capacity of field geologist progressively through to Project Manager. Mr. Pallier contributed to the discovery and the development of Camp Caiman (1.6 Moz gold resource) in French Guiana. He has experience in uranium exploration, having led an exploration team in Mongolia for Western Prospector Group Ltd.

Elaine Ellingham

Ms. Elaine Ellingham is Director of Aurania Resources Ltd. Ms. Ellingham is a professional geoscientist, P. Geo., with over 25 years of experience in the mining industry. Ms. Ellingham has an MSc and BSc in Geology and an MBA, all from the University of Toronto. Ms. Ellingham became the Chief Executive Officer of the Company in September 2010 and a director in October 2008. On May 31, 2012, Ms. Ellingham resigned as President and Chief Executive Officer of the Company. Ms. Ellingham was previously a consultant providing geological and management services to a number of international mining clients. She has a range of experience in mineral exploration, corporate development and investor relations for mining companies, including Campbell Resources Inc., Rio Algom Exploration Inc., and St. Joe Canada Inc. She is currently a Director of Richmont Mines Inc. (TSX), and served as a Senior VP of Investor Relations and Communications with IAMGOLD Corporation (TSX) from October 2008 to April 2009. Ms. Ellingham has not entered into a non-competition or non-disclosure agreement with the Company.

Gerald Harper

Dr. Gerald Harper is an Independent Director of Aurania Resources Ltd. Dr. Harper is a geoscientist, P. Geol, and P.Eng. with more than 40 years of world wide, resource industry experience, having worked for several world mining companies, managing exploration activities, developing mines and managing operating mines. He holds a BSc and PhD in geology from University of London. Dr. Harper became a director of the Company in October, 2008. He is President and Chief Executive Officer of MinFocus Exploration Corp. (TSX-V), a Canadian company currently focused on the continued growth of a portfolio of Platinum Group Element resource assets through exploration, acquisition and joint ventures in Northwest Ontario, Canada. Dr. Harper is also President of Gamah International Limited, a mineral industry consulting firm, well known for its research and databases on mineral industry financings. He was President of the Prospectors and Developers Association of Canada from 1998 to 2000 and still represents the Association on several committees. Dr. Harper was Senior Vice President, Mongolian Operations of Western Prospector Group Ltd., until June 2009 when a subsidiary of China National Nuclear Corporation made a takeover bid for control of the company. He was a founder (in 2007) and until he left Mongolia, the President and Chairman of the Board of Directors of the Mineral Industry Safety Association of Mongolia. Dr. Harper is also a director of NWM Mining Corporation. Dr. Harper has not entered into a non-competition or non-disclosure agreement with the Company.

Marvin Kaiser

Mr. Marvin K. Kaiser, CPA., is an Independent Director of Aurania Resources Ltd. Mr. Kaiser is a Certified Public Accountant with 40 years of experience in the mining industry. Mr. Kaiser graduated from Southern Illinois University with a BSc degree. Mr. Kaiser became a director of the Company in October, 2008. He spent 13 years with The Doe Run Company, an international natural resource company focused on the mining, smelting, recycling and fabrication of metals, where he held positions as Executive Vice President and earlier as Chief Administrative Officer. Previously, he was Chief Financial Officer of Amax Gold Inc., a publicly listed gold mining company, from 1989 to 1993. He has served on the School of Accountancy Advisory Board at Southern Illinois University since 1988 and serves as a director of the Southern Illinois University Foundation. Mr. Kaiser currently serves as a director of Gryphon Gold Corporation, Uranium Resources Inc. and Brigus Gold Corp. (formerly Apollo Gold Corporation). Mr. Kaiser has not entered into a non-competition or non-disclosure agreement with the Company.
