Name Description

Mac Van Wielingen

Mr. Mac H. Van Wielingen is an Independent Chairman of the Board of ARC Resources Ltd. He is a founder of ARC and has served as Chairman of the Board of Directors since 2002, prior thereto he was Vice Chairman and Director. He is Chairman and a founder of ARC Financial Corporation, a private equity investment management company focused on the energy sector in Canada. Previously, Mr. Van Wielingen was a Senior Vice President and Director of a major national investment dealer, responsible for all corporate finance activities in Alberta. Mr. Van Wielingen is also Chairman of the Canadian Centre for Advanced Leadership in Business (CCAL) at the Haskayne School of Business at the University of Calgary. Mr. Van Wielingen holds an Honours Business Degree from the University of Western Ontario Business School and has studied post-graduate Economics at Harvard University.

Myron Stadnyk

Mr. Myron M. Stadnyk is President, Chief Executive Officer, Director of ARC Resources Ltd. He has overall Management responsibility for the Corporation. Mr. Stadnyk joined ARC in 1997, as the Corporation’s first operations employee, and in 2005 was appointed Senior Vice President, Operations and Chief Operating Officer. From 2009 to December 31, 2012, he held the position of President and Chief Operating Officer. Prior to joining ARC, Mr. Stadnyk worked with a major oil and gas company in both domestic and international operations. He holds a Bachelor of Science in Mechanical Engineering from the University of Saskatchewan and is a graduate of the Harvard Business School Advanced Management program. Mr. Stadnyk joined ARC’s Board of Directors in 2013. He is a member of the Association of Professional Engineers and Geoscientists of Alberta, Saskatchewan, Manitoba and British Columbia and currently serves as a Governor for the Canadian Association of Petroleum Producers.

P. Van Dafoe

Mr. P. Van R. Dafoe is Chief Financial Officer, Senior Vice President - Finance of ARC Resources Ltd. He oversees the finance, treasury, accounting, tax and marketing teams at ARC. Mr. Dafoe joined ARC in 1999 as the Controller, after 13 years with various companies in the finance and accounting areas of the oil and gas industry. Prior to being appointed to the role of Senior Vice President and Chief Financial Officer in 2014, Mr. Dafoe held the position of Senior Vice President, Finance. He has a Bachelor of Commerce (Honours) from the University of Manitoba and obtained his Certified Management Accountant's designation in 1995.

Van Dafoe

Mr. Van Dafoe has been appointed as Chief Financial Officer, Senior Vice President of ARC Resources Ltd., with Effective February 5, 2014. Mr. Sinclair will continue on in an advisory role until his retirement in the later part of 2014. Mr. Dafoe is currently the Senior Vice President, Finance, a position he has held since June 2011. First joining ARC in 1999 as Controller, Mr. Dafoe has taken on increasingly senior positions and has a proven track record as a strong and insightful leader. Working under Mr. Sinclair's mentorship, he has overseen ARC's financial strategy and execution with direct responsibility for all finance, marketing, taxation and risk management activities. Mr. Dafoe has a Bachelor of Commerce degree (honors) from the University of Manitoba and is a Certified Management Accountant with over 25 years of industry experience. This CFO succession process has been deliberately planned over the past few years.

Terry Anderson

Mr. Terry M. Anderson has been appointed to the position of Chief Operating Officer, Senior Vice President of ARC Resources Ltd., with effect from December 16, 2013. He is Senior Vice President and Chief Operating Officer of ARC Resources with responsibility for the execution of all aspects of ARC's operations and capital program. He has over 20 years of operations and engineering experience. Prior to joining ARC in 2000, he worked at a major oil and gas company. Mr. Anderson holds a Bachelor of Science in Petroleum Engineering from the University of Wyoming. He is a member of the Association of Professional Engineers and Geoscientists of Alberta, Saskatchewan and British Columbia.

David Carey

Mr. David P. Carey is Senior Vice President - Capital Markets of ARC Resources Ltd. He is Senior Vice President, Capital Markets of ARC Resources and is responsible for all facets of investor relations and corporate governance. Mr. Carey brings over 30 years of diverse experience in the Canadian and International energy industries covering exploration, production and project evaluations. Prior to joining ARC in 2001, Mr. Carey held senior positions with Athabasca Oil Sands Trust and a major Canadian oil and gas company. He holds both a Bachelor of Science in Geological Engineering and a Master in Business Administration from Queen's University. Mr. Carey is a member of the Association of Professional Engineers and Geoscientists of Alberta.

Terry Gill

Mr. Terry Gill is Senior Vice President - Corporate Services of ARC Resources Ltd. He is Senior Vice President, Corporate Services of ARC Resources and oversees all human resources, information technology and legal services related activities. Prior to joining ARC in 2007, Mr. Gill spent eight years with a major national distribution company as a senior executive. He also has spent 15 years in the oil and gas industry and has broad experience in all areas of talent management. Mr. Gill holds a Bachelor of Physical Education in Coaching Leadership from the University of Alberta and has coached high performance athletes at an elite level.

Karen Nielsen

Ms. Karen Nielsen is Vice President, Operations of ARC Resources Ltd., since August 2013. She is Vice President, Operations of ARC Resources and is responsible for overseeing the execution of all aspects of ARC’s capital program. She has 25 years of experience in the oil and gas industry with expertise in exploitation, drilling, completions and production operations in western Canada. Prior to joining ARC in 2013, Ms. Nielsen held the position as Vice President, Engineering at a mid-sized Canadian oil and gas producer. She has a Bachelor of Science degree (Distinction) in Electrical Engineering from the University of Saskatchewan. Ms. Nielsen is a member of the Association of Professional Engineers and Geoscientists of Alberta and British Columbia.

Mr. Wayne Lentz is Vice President - Strategy and Business Development of ARC Resources Ltd. He is Vice President, Strategy and Business Development of ARC Resources and is responsible for strategic planning and related activities. He brings over 25 years of experience in the oil and gas business covering production, engineering and operations. Prior to joining ARC in 1999, Mr. Lentz worked with a major oil and gas company in both domestic and international operations. He holds a Bachelor of Science in Petroleum Engineering from the University of Alberta. Mr. Lentz is a member of the Association of Professional Engineers and Geoscientists of Alberta.

Jay Billesberger

Mr. Jay Billesberger is Vice-President - Information Technology of ARC Resources Ltd. He is Vice President, Information Technology of ARC Resources and is responsible for all information technology related activities. Mr. Billesberger has over 15 years of experience in information technology. Prior to joining ARC in 2000, he worked with various oil and gas and mid-stream companies. He has a Bachelor of Science in Computer Information Systems from DeVry Institute of Technology.

Sean Calder

Mr. Sean Calder is Vice President - Production of ARC Resources Ltd. He is Vice President, Production of ARC Resources, and manages all aspects of field production operations and health, safety and environment. He has over 18 years of broad industry experience including, field operations, drilling and completions and facility management. Mr. Calder joined ARC in 2005, and since this time has taken on roles of increasing responsibility. Prior to joining ARC, he worked at a major oil and gas company. Mr. Calder has a Bachelor of Applied Petroleum Engineering Technology degree from the Southern Alberta Institute of Technology (SAIT). He is a member of the Association of Professional Engineers and Geoscientists of Alberta as well as the Association of Science and Engineering Technology Professionals in Alberta.

Neil Groeneveld

Mr. Neil Groeneveld is Vice President - Geosciences and Exploration of ARC Resources Ltd. He is Vice President, Geosciences and Exploration of ARC Resources and is responsible for the execution of ARC's geophysical and geological activities. He has over 20 years of experience in the western Canadian oil and gas industry and brings a broad background in oil and gas development, exploration and operations. Prior to joining ARC in 2003, Mr. Groeneveld held senior positions with large and intermediate oil and gas companies. He holds a Masters of Science in Geology from the University of Regina. Mr. Groeneveld is a member of the Association of Professional Engineers and Geoscientists of Alberta.

Grant Zawalsky

Mr. Grant A. Zawalsky has been appointed as Corporate Secretary of ARC Resources Ltd., with effective December 31, 2013. Mr. Zawalsky is a partner at Burnet, Duckworth & Palmer LLP, and has over 30 years of experience in securities and corporate law including debt offerings, mergers and acquisitions, corporate governance and regulatory compliance. He has a Bachelor of Commerce degree and an LL.B from the University of Alberta. Mr. Zawalsky has extensive experience as Corporate Secretary at small to mid-cap companies in the energy industry. He is currently a Director for a number of public and private energy companies including, Nuvista Energy, Whitecap Resources and Zargon Energy.

John Dielwart

Mr. John P. Dielwart is Non-Independent Director of ARC Resources Ltd. In June 2013, Mr. Dielwart joined ARC Financial Corporation as Vice-Chairman and Director. Prior to this, Mr. Dielwart held the position of Chief Executive Officer of ARC until January 1, 2013. As a founding member of the Corporation in 1996, Mr. Dielwart played an instrumental role in its growth and success over the past 17 years. Prior to joining ARC in 1994, Mr. Dielwart spent 12 years with a major Calgary based oil and natural gas engineering consulting firm, as Senior Vice-President and a Director, where he gained extensive technical knowledge of oil and natural gas properties in Western Canada. Prior thereto he began his career with a major oil and natural gas company in Calgary. Mr. Dielwart received a Bachelor of Science with Distinction (Civil Engineering) degree from the University of Calgary. Mr. Dielwart is member of the Association of Professional Engineers and Geoscientists of Alberta (APEGA) and is a Past-Chairman of the Board of Governors for the Canadian Association of Petroleum Producers (CAPP).

Frederick Dyment

Mr. Frederick J. Dyment is Independent Director of ARC Resources Ltd. Mr. Dyment has over 30 years experience in the oil and gas business and is currently an independent businessman. His past business career included positions as President and CEO for Maxx Petroleum and President and CEO of Ranger Oil Limited. Mr. Dyment received a Chartered Accountant designation from the Province of Ontario in 1972. Mr. Dyment currently sits as a Director on the Boards of Drilling Group International Inc., Tesco Corporation, Transglobe Energy Corporation and WesternZagros Resources Ltd.

Timothy Hearn

Mr. Timothy J. Hearn is an Independent Director of ARC Resources Ltd. Mr. Hearn is a retired Chairman, President and Chief Executive Officer of Imperial Oil Limited. He has over 40 years experience in oil and gas with Imperial Oil. During his time with Imperial Oil, he held increasingly senior positions including President of Exxon Mobil Chemicals, Asia Pacific, and Vice President of Human Resources for Exxon Mobil Corporation. Mr. Hearn holds a Bachelor of Science from the University of Manitoba. Mr. Hearn is a director of the Royal Bank of Canada and Viterra Inc. He brings corporate board experience to ARC. In addition to his work on corporate boards, Mr. Hearn is the Chairman of the Calgary Homeless Foundation and the Advisory Board of the Public Policy School at the University of Calgary. Previously, he has served as the Chairman of the board of directors of the C.D. Howe Institute and was a member of the Canada Council of Chief Executives.

James Houck

Mr. James C. Houck is an Independent Director of ARC Resources Ltd. He has over 30 years of diversified experience in the oil and gas industry. Most recently, he held the position of President and Chief Executive Officer of the Churchill Corporation, a construction and individual services company. Prior thereto he was President and Chief Executive Officer of Western Oil Sands. The greater part of his career was spent with ChevronTexaco Inc., where he held a number of senior Management and Officer positions, including President, Worldwide Power and Gasification Inc., and Vice President and General Manager, Alternate Energy Department. Earlier in his career, Mr. Houck held various positions of increasing responsibility in Texaco's conventional oil and gas operations. Mr. Houck has a Bachelor of Engineering Science degree from Trinity University in San Antonio and a Masters in Business Administration from the University of Houston.

Harold Kvisle

Mr. Harold N. Kvisle is an Independent Director of ARC Resources Ltd. He is currently the President and Chief Executive Officer of Talisman Energy. He has over 35 years of energy industry experience and has worked in both the oil and gas and utilities and power industries. Mr. Kvisle joined TransCanada Corporation in 1999 where he held the position of President and Chief Executive Officer until 2010. Prior to joining TransCanada, he was the President of Fletcher Challenge Energy Canada Inc. Previously, he held engineering, finance and management positions with Dome Petroleum Ltd. Mr. Kvisle holds a Bachelor of Science in Engineering degree from the University of Alberta and a Masters in Business Administration from the University of Calgary.

Kathleen O'Neill

Ms. Kathleen M. O'Neill is an Independent Director of ARC Resources Ltd. She is a Corporate Director and has extensive experience in accounting and financial services. Previously, she was an Executive Vice-President of the Bank of Montreal (BMO) Financial Group with accountability for a number of major business units. Prior to joining BMO Financial Group in 1994, she was a partner with PricewaterhouseCoopers. Ms. O’Neill is an FCA (Fellow of the Institute of Chartered Accountants) and has an ICD.D designation from the Institute of Corporate Directors. Ms. O’Neill was a member of the Steering Committee on Enhancing Audit Quality sponsored by the Canadian Institute of Chartered Accountants and the Canadian Public Accountability Report.

Herbert Pinder

Mr. Herbert C. Pinder, Jr., is Independent Director of ARC Resources Ltd. He is the President of the Goal Group, a private equity management firm located in Saskatoon, Saskatchewan. Previously he managed a family business as President of Pinder Drugs. He is an experienced corporate director and brings a varied business background to ARC. Mr. Pinder has a Bachelor of Arts degree from the University of Saskatchewan, a Bachelor of Law degree from the University of Manitoba and a Masters in Business Administration degree from Harvard University Graduate School of Business.

William Sembo

Mr. William G. Sembo is an Independent Director of ARC Resources Ltd., since November 6, 2013. He recently retired from his role as Vice Chairman at RBC Capital Markets LLC. With over 40 years of industry experience, Mr. Sembo has spent the majority of his career in energy investment banking. He has expertise in investment banking, corporate credit and mergers and acquisitions. Prior to joining RBC in 1986, Mr. Sembo held Corporate Finance and Financial Planning positions with Toronto Dominion Bank and Asamera Inc., respectively. Mr. Sembo has a Bachelor of Arts in Economics from the University of Calgary. He brings extensive capital markets expertise as well as a broad base of corporate governance experience to ARC, having served as a director for both private and public boards as well as numerous not-for-profit organizations.
