Biographies

Name Description

Henri de Castries

Mr. Henri de Castries has served as Chairman of the Board, Chief Executive Officer as well as Member of the Management Committee and Executive Committee of Axa SA since April 29, 2010. He is a graduate of the Ecole des Hautes Etudes Commerciales (HEC) and obtained a law degree before completing preparatory studies at the Ecole Nationale d’Administration (ENA). After graduating from ENA, Mr. de Castries began his career with the French Finance Ministry Inspection Office. Mr. de Castries joined Axa SA’s Corporate Finance Department on September 1st, 1989. He was appointed Corporate Secretary in 1991 and Senior Executive Vice-President for the Group’s asset management, financial and real-estate businesses in 1993. In 1997, Mr. de Castries was appointed Chairman of The Equitable Companies Incorporated (now AXA Financial, Inc.). From May 2000 to April 2010, Mr. de Castries was Chairman of the Axa SA Management Board. He holds a number of positions in companies which are part of the Axa group, and is also a Director of Nestle.

Denis Duverne

Mr. Denis Duverne has been Deputy Chief Executive Officer in charge of Finance, Strategy and Operations, Member of the Management Committee and Executive Committee and Director at Axa SA since April 29, 2010. From February 26, 2003 until April, 29, 2010 he was a Member of the Management Board of Axa SA, in charge of Finance, Control and Strategy until January 2010 and then Finance, Strategy and Operations from January 2010. Mr. Duverne is a graduate of the Ecole des Hautes Etudes Commerciales (HEC). After graduating from the Ecole Nationale d'Administration (ENA), he started his career in 1984 as commercial counsellor for the French Consulate General in New York before becoming director of the Corporate Taxes Department for the French Ministry of Finance in 1986. In 1988, he became Deputy Assistant Secretary for Tax Policy for the French Ministry of Finance and, in 1991, he was appointed Corporate Secretary of Compagnie Financiere IBI. In 1992, he became a member of the Executive Committee of Banque Colbert, in charge of operations. In 1995, Mr. Duverne joined the AXA Group and assumed responsibility for supervision of AXA's operations in the United States and the UK and managed the reorganization of AXA companies in Belgium and the United Kingdom. Mr. Duverne currently holds several other mandates within the Axa SA group, including Chairman and Chief Executive Officer of AXA America Holdings, Inc. (United States), and Chairman of AXA Millesimes (SAS), among others.

Norbert Dentressangle

Mr. Norbert Dentressangle has been Vice Chairman of the Board and Lead Independent Directorof Axa SA since April 29, 2010. He is also Chairman of the Company's Compensation and Human Resources Committee. Prior to that, he served as an Independent Member of the Supervisory Board from May 4, 2006 until April 22, 2008 and as Independent Vice Chairman of the Supervisory Board from April 22, 2008 till April 29, 2010. In 1979, Mr. Dentressangle founded the Norbert Dentressangle Group, a transportation and logistics services specialist, and served as its Chairman until 1998. He is currently Chairman of the Supervisory Board. Mr. Norbert Dentressangle is also Chairman of Dentressangle Initiatives, the holding company which, in addition to his majority stake in Norbert Dentressangle S.A., also holds equity interests in real estate, industrial and business services firms.

Gerald Harlin

Mr. Gerald Harlin has served as Group Chief Financial Officer and Member of the Executive Committee of Axa SA since July 10, 2008. He previously served as Deputy Financial Director, Executive Vice-President Finance and Control of Axa SA until January 2010. He joined the AXA Group in 1990 as corporate treasurer. In 1991, he became head of corporate finance, a position he held until 1994. He was subsequently appointed CFO of AXA Asset Management Europe and managing director of AXA Banque in 1994. In 1997, he became chief Investment Officer of AXA France and then in 2000 market program manager of AXA France in charge of CRM and product marketing. In 2001, he was named CFO of AXA France, a position he held until March 2003. Before joining the AXA Group, Mr. Harlin occupied various responsibilities in Total’s corporate finance department.

Veronique Weill

Ms. Veronique Weill has been a Member of the Executive Committee and Group Chief Operating Officer of Axa SA since January 1, 2009. She joined the AXA Group in June 2006 as AXA Business Services CEO and Group Executive Vice President, Operational Excellence, and became Group Executive Vice President IT & Operational Excellence in January 2008. She had previously spent more than 20 years at JP Morgan, notably as Group head of Operations for Business Banking and global head of IT & Operations for Asset Management and Private Clients. She graduated from Institut d'Etudes Politiques de Paris and from La Sorbonne University in Literature.

Mr. George Stansfield has served as Group General Counsel, Head of Group Human Resources and Member of the Executive Committee at Axa SA since November 1, 2010. He has been General Counsel of Axa SA since 2004 with responsibility for the Group's global legal and compliance matters. Prior to joining AXA's Group Legal Department in Paris in 1996, he practiced law for 11 years in New York City where he was a corporate attorney in the Legal Department of AXA Equitable specialized in merger & acquisition transactions involving financial institutions, securities law and general corporate matters. Mr. Stansfield graduated from Georgetown University Law Center with his Law degree in 1985 and from Trinity College with a degree in History in 1982. He was admitted to the New York Bar in 1986 and has been licensed as an attorney in New York since that time. In 1993, he spent a year on a management exchange program at Meiji Life in Tokyo.

Jacques de Vaucleroy

Mr. Jacques de Vaucleroy has served as Chief Executive Officer for the Northern, Central and Eastern Europe business unit, Global Head of Life & Savings and Health as well as Member of the Management Committee and Executive Committee of Axa SA since January 1, 2011. Mr. de Vaucleroy has a Bachelors degree in Law from the Universite Catholique de Louvain and a Master's degree in Corporate Law from the Vrije Universiteit Brussel. Mr. de Vaucleroy has 24 years of experience in banking, insurance and asset management. From January 2001 to June 2002, he was Managing Director, member of the Executive Committee of ING Belgium (formerly Banque Bruxelles Lambert), responsible for Retail/Private Banking and Insurance activities in Belgium as well as in Luxembourg, France, Switzerland, Spain and Portugal. From June 2002 to December 2003, Mr. de Vaucleroy joined ING Insurance in the United States as Head of Distribution and from January 2004 to April 2006, he was Group President of ING Insurance in the United States, responsible for the Annuity, Life, Mutual funds and Broker-Dealers business units. From April 2006 to May 2009, he was Member of the Executive Board of ING Group and CEO for Insurance and Investment Management Europe. From June 2009 to October 2009, Mr. de Vaucleroy was CEO of ING Investment Management and Member of the ING Insurance Management Board and the ING Group Executive Committee.

Jean-Laurent Granier

Mr. Jean-Laurent Granier has served as Chief Executive Officer of the Mediterranean and Latin America Region business unit, Chairman & Chief Executive Officer of AXA Global P&C and Member of the Management Committee and Executive Committee at Axa SA since January 1, 2012. He in charge of overseeing the worldwide operations of AXA Corporate Solutions. He joined UAP in 1990 until its merger with AXA in 1997. He worked in various positions at AXA France, where he was in particular Head of Technical and Financial Operations of AXA Conseil from 1998 to 2000. Appointed Head of Life Insurance in 2000, he became Manager of AXA France Solutions in 2001 and then Chief Executive Officer of AXA Particuliers/Professionnels in 2002. Mr. Granier is a graduate of Ecole Polytechnique and ENSAE and is a member of the Institut des Actuaires Francais (French Institute of Actuaries). Peter Kraus

Mr. Peter Kraus has been Chairman & Chief Executive Officer of AllianceBernstein (United States) as well as Member of the Management Committee and Executive Committee of Axa SA since April 29, 2010. Mr. Kraus earned a BA from Trinity College and an MBA from New York University. Mr. Kraus has more than thirty years of experience in accounting and the financial markets, including investment banking, asset management, and private wealth management. He was an audit partner at Peat Marwick Mitchell & Co before joining Goldman Sachs in 1986. During his 22-year tenure at Goldman Sachs, Mr. Kraus also served as co-head of the Financial Institutions Group (FIG). He worked in FIG Tokyo from 1990 to 1991. He was named a partner at Goldman Sachs in 1994 and managing director in 1996. Mr. Kraus was co-head of Goldman Sachs' Investment Management Division for more than seven years and in addition to this role, he was a member of the firm's Management Committee, head of firm-wide strategy and Chairman of the Strategy Committee. In 2008, Mr. Kraus was appointed executive vice-president at Merrill Lynch, where he was responsible for overseeing the firm's business strategy and investments, global growth plans and opportunities. Mr. Kraus joined AllianceBernstein in December 2008 as Chairman and Chief Executive Officer. He also holds other mandates within the Axa SA group, including Director of AXA Financial, Inc. (United-States), AXA Equitable Life Insurance Company (United-States), MONY Life Insurance Company (United States) and MONY Life Insurance Company of America (United States). Nicolas Moreau

Mr. Nicolas Moreau has been Chairman & Chief Executive Officer of AXA France, Head of worldwide operations of AXA Assistance and AXA Global Direct as well as Member of the Management Committee and Executive Committee at Axa SA since March 2012. He is a graduate of the Ecole Polytechnique and has an actuarial degree from the Centre d'Etudes Actuarielles. From 1988 to 1991, he was an auditor with Arthur Andersen in Paris. In 1991, he joined AXA as Vice-President of the Finance Department and was appointed Senior Vice-President of the AXA Group Finance Department in 1994. In 1997, Mr. Nicolas Moreau joined AXA Investment Managers and became Chief Executive Officer of AXA Rosenberg in 1999. In March 2000, he became Chief Operating Officer of AXA Investment Managers. He was appointed Vice-Chairman of AXA Rosenberg in January 2001. Mr. Moreau also coordinated the private equity business as well as the relationship between AXA Investment Managers and the insurance companies of the AXA Group. In April 2002, Mr. Nicolas Moreau was promoted as Chief Executive Officer of AXA Investment Managers and, following his appointment as Group Chief Executive Officer of AXA UK, he became non-executive Chairman of the Board of AXA Investment Managers. Mr. Nicolas Moreau was appointed to the Board of AXA UK plc in July 2006. From 2006 to 2010, he was Group Chief Executive of AXA UK. Since 2003, he has been a member of the AXA Executive Committee and since April 2010, a member of the AXA Management Committee. On October 2010, he was appointed Chief Executive Officer of AXA France and Chairman & Chief Executive Officer on March 2012. On January 1st, 2012, Mr. Nicolas Moreau took on the additional responsibility of overseeing the worldwide operations of AXA Assistance and AXA Global Direct.

Mark Pearson

Mr. Mark Pearson has been Member of the Management Committee and Executive Committee and President and Chief Executive Officer of AXA Financial, Inc at Axa SA since January 1, 2011. He served as Chief Executive Officer of AXA Life Japan and AXA Japan Holdings from July 10, 2008. He has also been Head of Life & Savings Operations in the United States. He joined the AXA Group in 1995 when AXA acquired a controlling interest in National Mutual (today AXA Asia Pacific Holdings). He was then CEO of National Mutual Asia, and thanks to this operation became CEO of AXA China Region, AXA's Hong Kong-based subsidiary. In 2001, he was appointed CEO of AXA Asia Life, the platform for AXA life activities in Asia. Mr. Pearson had previously spent more than 20 years in the insurance sector, assuming many senior manager positions at National Mutual and Friends Provident. He is a Fellow of the Chartered Association of Certified Accountants.

Mr. Thomas Buberl has served as Member of the Executive Committee and Chief Executive Officer of AXA Konzern AG at Axa SA since January 16, 2012. He joined the Company from Zurich Financial Services (ZFS) where he was Chief Executive Officer for Switzerland from 2008. Before joining ZFS, he worked for the Winterthur Group from 2005 to 2008 as Member of the Management Board of Winterthur in Switzerland, first as Chief Operating Officer and then as Chief Marketing and Distribution Officer. Before joining Winterthur, he worked at Boston Consulting Group from 2000 till 2005 as consultant for the banking and insurance sector in Germany and abroad. He holds a 'Diplomkaufmann' degree from WHU Koblenz (WHU - Otto Beisheim School Management), Germany, a Masters of Business Administration from Lancaster University, United Kingdom and a Doctorate in Philosophy in Economics from the Universitaet St. Gallen, Switzerland.

Paul Evans

Mr. Paul Evans has served as Member of the Executive Committee of Axa SA and Chief Executive Officer of AXA UK since October 1, 2010. He joined AXA UK in January 2000 following a career with PricewaterhouseCoopers in London and Toronto, Canada, where he spent two years. He was appointed Chief Executive of AXA Life UK in May 2003 and Deputy Group CEO, AXA UK in June 2010. Mr. Evans was previously Group Finance Director of AXA UK, responsible for finance, treasury, taxation, strategy and procurement. Mr. Evans graduated from Imperial College London, having obtained a BSc in Mathematics. Mr. Frank Koster has been appointed Member of the Executive Committee, Chief Executive Officer of AXA Belgium at AXA SA as of September 1, 2014. Frank Koster joins AXA from ING where his most recent position was Chief Executive Officer of ING Insurance Asia Pacific since 2009. Frank Koster joined ING Group in 1996 where he held various positions in the Netherlands and in Asia among which Chief Marketing Officer of ING Insurance Korea from 2001 to 2003, Chief Executive Officer of ING Vysya Life Insurance from 2004 to 2006 and Head of Group Communication and Corporate Affairs in the Netherlands from 2006 to 2009. Frank Koster holds a master degree of Medicine from the University of Amsterdam. Frank lived in Belgium from 1979 to 1988 and completed his college studies in Antwerp, Belgium.

Jean-Louis Laurent Josi

Mr. Jean-Louis Laurent Josi has served as Member of the Executive Committee of Axa SA and Chief Executive Officer of AXA Japan since January 1, 2011. He joined the AXA Group with Winterthur's integration in 2006 to manage as a member of the Executive Committee AXA Belgium’s multidistribution activity. He was previously managing director and COO of a Belgian bank, before being in charge of Life Underwriting, and then Retail & SME for Winterthur-Europe Assurances. In 2008 he was appointed CEO of AXA Gulf & Middle East. Jean-Pierre Clamadieu

Mr. Jean-Pierre Clamadieu has been an Independent Director of Axa SA since October 10, 2012. Mr. Clamadieu is a graduate of the Ecole Nationale Superieure des Mines of Paris and Ingenieur du Corps des Mines. He began his carrier in various positions within the French Civil Service, in particular for the Ministry of Industry and as technical adviser in the Ministry of Labour. In 1993, he joined the Rhone-Poulenc Group and held various executive positions. In 2003, he was appointed Chief Executive Offi cer of the Rhodia Group and in 2008, Chairman & Chief Executive Offi cer. In September 2011, further to the combination between the groups Rhodia and Solvay, Mr. Clamadieu became Vice-Chairman of the Executive Committee of Solvay and Chairman of the Board of Directors of Rhodia. Since May 2012, Mr. Clamandieu has been Chairman of the Executive Committee and member of the Board of Directors of Solvay. He is also a Director of Faurecia and SNCF.

Ramon de Oliveira

Mr. Ramon de Oliveira has served as an Independent Director of Axa SA since April 29, 2010. He is also the Chairman of the Company's Finance Committee and a Member of the Audit Committee. Prior to that, he served as an Independent Member of the Supervisory Board of Axa SA from April 30, 2009. He is a graduate of the University of Paris and of the Institut d'Etudes Politiques (Paris). Starting in 1977, Mr. de Oliveira spent 24 years at JP Morgan & Co. From 1996 to 2001, Mr. de Oliveira was Chairman and CEO of JP Morgan Investment Management. Mr. de Oliveira was also a member of the firm's Management Committee since its inception in 1995. Upon the merger with Chase Manhattan Bank in 2001, Mr. de Oliveira was the only executive from JP Morgan & Co. asked to join the Executive Committee of the new firm with operating responsibilities. Between 2002 and 2006, Mr. de Oliveira was an Adjunct Professor of Finance at Columbia University. He is the Managing Director of the consulting firm ROC Partners, based in New York. He holds a number of other positions, including Chief Executive Officer of Investment Audit Practice, LLC.

Jean-Martin Folz

Mr. Jean-Martin Folz has served as an Independent Director of Axa SA since April 29, 2010. He is also Chairman of the Company's Ethics and Governance Committee and Member of the Finance Committee and Compensation and Human Resources Committee. He previously served as a Member of the Supervisory Board of Axa SA from May 14, 2007. He is a graduate of Ecole Polytechnique and ingenieur des Mines. Between 1975 and 1978, he has held various French government cabinet positions with his last position being head of cabinet of the Secretary of State for Industry. In 1978, he joined Rhone-Poulenc to run the Saint-Fons plant, and was then promoted to Senior Executive Vice-President of Rhone-Poulenc for the Specialty Chemicals business unit. In 1984, he became Senior Executive Vice-President and then Chief Executive Officer of Jeumont-Schneider (a Schneider subsidiary). In 1987, he was appointed Chief Executive Officer of Pechiney and Chairman of Carbone Lorraine (in 1988). In 1991, he became Group Chief Executive Officer of Eridania Beghin-Say and Chairman of Beghin-Say. Mr. Jean-Martin Folz joined PSA Peugeot Citroen in 1995 and became Chairman of the Management Board in 1997. He left PSA in February 2007. From June 2007 to March 2010, he was Chairman of the AFEP. Mr. Folz is also a Director or Member of the Management Committee of Compagnie de Saint-Gobain, Societe Generale, Alstom and Solvay (Belgium). Since November 8, 2011, Mr. Jean-Martin Folz has been Chairman of the Board of Directors of Eutelsat Communications.

Isabelle Kocher

Ms. Isabelle Kocher has served as an Independent Director of Axa SA as of April 29, 2010. She is also a Member of the Company's Compensation and Human Resources Committee. She is a graduate of the Ecole Normale Superieure (ENS-Ulm) and member of the Corps des Mines. From 1997 to 1999, she was in charge of budget of Telecommunication and Defense at the French Ministry of Economy. Suet Fern Lee

Ms. Suet-Fern Lee has served as an Independent Director of Axa SA since April 29, 2010. She is also a Member of the Company's Finance Committee. She graduated with a double first in Law from Cambridge University in 1980 and qualified as a Barrister-at-Law at Gray's Inn London in 1981. She was admitted to the Singapore Bar in 1982. She is President-Elect of the Inter-Pacific Bar Association (IPBA) and has been a council member of the International Bar Association. She is Chairman of the Asian Civilizations Museum Board, a member of the National Heritage Board, a member of the Advisory Board to the Law School at Singapore Management University, a trustee for Nanyang Technological University and a Fellow of the Singapore Institute of Directors. She is Senior Partner at Stamford Law Corporation (Singapore), amongst other positions.

Stefan Lippe

Dr. Stefan Lippe has been an Independent Director of AXA SA since April 25, 2012. He is a Member of the Company's Audit Committee. He is a graduate in mathematics and business administration from the University of Mannheim. He obtained his doctorate in 1982 while working as a scientific assistant to the chair of insurance business management, being awarded the Kurt Hamann foundation prize for his thesis. In October 1983, he joined Bavarian Re (a former Swiss Re subsidiary). From 1985, he was involved in the casualty department’s operations in the German-speaking area. In 1986, he became Head of the non-proportional underwriting department. He was appointed member of the Management Board in 1988 when he assumed responsibility for the Company’s casualty line of business in the German-speaking area. In 1993, he became Chairman of the Management Board of Bavarian Re. Mr. Stefan Lippe was appointed a member of Swiss Re’s Executive Board in 1995, as Head of the Bavarian Re Group. In 2001, he was assigned the role of Head of the Property & Casualty Business Group and appointed a member of Swiss Re’s Executive Committee. Beginning in 2005, he led Swiss Re’s Property & Casualty and Life & Health Underwriting activities; and in September 2008, he took over as Chief Operating Officer of Swiss Re and was also appointed Deputy Chief Executive Officer of Swiss Re. In February 2009, he was appointed Chief Executive Officer of Swiss Re. In December 2011, Mr. Stefan Lippe announced he would step down from his role as Chief Executive Officer of Swiss Re (effective February 1, 2012) and retire in 2012. In 2011, Mr. Stefan Lippe co-founded Acqupart Holding AG and Acqufi n AG and serves currently as Vice-Chairman of the Board of Directors of both companies.

Francois Martineau

Mr. Francois Martineau has served as an Independent Director of Axa SA since April 29, 2010. He is also Member of the Company's Ethics and Governance Committee and Compensation and Human Resources Committee. Prior to that, he served as an Independent Member of the Supervisory Board of Axa SA from April 22, 2008. He is a graduate of the University Paris IV (Philosophy Degree), University Paris I (Law Master), and of Institut d'Etudes Politiques de Paris. Mr. Martineau has been Attorney since 1976. In 1981, he was 'Secretaire de la Conference'. In 1985, he was a lecturer at the University Paris I (Civil Procedure). In 1995, he was a Professor at the Paris Bar School (EFB) and since 1998, he is Honorary Professor at the Law and Political Sciences School of Lima (Peru). In 1996, he became an Expert at the Council of Europe and fulfilled various missions in Eastern Europe countries regarding the reform of the Code of the Judicial Organization, the reform of the magistrates' and lawyers' training and the revision of the Code of Civil Procedure. Since 1987, Mr. Martineau has been a Partner of the law firm SCP Lussan & Associes, and Managing Partner since 1995. He is also the Vice Chairman of Bred Banque Populaire, Assurances Mutuelles Le Conservateur and Associations Mutuelles Le Conservateur, and a Director of Conservateur Finance, AXA Assurances IARD Mutuelle and AXA Assurances Vie Mutuelle.

Dominique Reiniche

Ms. Dominique Reiniche has served as an Independent Director of Axa SA as of April 29, 2010. She is also a Member of the Company's Finance Committee. Prior to that, she served as an Independent Member of the Supervisory Board of Axa SA from April 20, 2005 till April 29, 2010. Ms. Reiniche is a graduate of the Essec Business School with an MBA. In 1978, she joined Procter & Gamble and in 1983 became Associate Advertising Manager. In 1986, she joined Kraft Jacobs Suchard and was appointed Marketing & Strategy Manager. In 1992, she joined Coca-Cola Entreprise as a Marketing & Key Accounts Manager. In 1998, she was appointed Chairman and Chief Executive Officer of Coca-Cola Entreprise and Vice-Chairman of Coca Cola Enterprises - Europe Group in 2002. From January 2003 to May 2005, she was Chairman of Coca-Cola Enterprises - Groupe Europe. Since May 2005, Ms. Reiniche has been Chairman Europe of The Coca-Cola Company. She is also Vice-Chairman of UNESDA (Union of European Beverages Associations), member of the Executive Committee and member of the Board of FDE (Food & Drink Europe) (formerly CIAA – Confederation of the Food and Drink Industries of the EU) and Director of Peugeot.

Markus Schenck

Dr. Marcus Schenck has served as a Director of Axa SA as of April 27, 2011. He is a Member of the Company's Audit Committee. He is a graduate of Economics from Friedrich-Wilhelms-Universitaet Bonn (Germany) / Berkeley (United States) and holds a Doctorate degree in Economics from the University of Cologne (Germany). In 1991, he joined McKinsey & Co. in Germany as consultant. Initially, he worked on assignments in different industries including steel, tourism, retail and banking. As a Senior Engagement Manager he was a member of the financial institutions practice. In 1997, he started as a senior associate for Goldman, Sachs & Co. oHG in Frankfurt am Main (Germany). In 2001, he became Managing Director and Partner in 2002. From 2005 to 2006, he was head of investment banking of the German speaking region. Since December 2006, Dr. Schenck has been the Chief Financial Officer of E.ON AG (Germany) in charge of accounting, controlling, finance, risk, taxes and M&A and is also a Member of the Management Board of E.ON AG.
