Name Description

John Cunningham

Mr. John E. Cunningham, IV, is Independent Chairman of the Board of Blucora Inc. He has served as a director of Blucora since 1998 and as the Chairman of the Board of Directors since 2011. Mr. Cunningham also served as Lead Independent Director of Blucora prior to serving as Chairman. Mr. Cunningham has been a general partner of Clear Fir Partners, L.P., a venture capital investment partnership, since February 1998. He previously served as Chief Executive Officer of RealCom Office Communications Inc., a national telecom services company. Mr. Cunningham also formerly served as a board member and non-executive Chairman of Citel Technologies, Inc., a telecommunications company. Currently, Mr. Cunningham serves as a board member of RealNetworks, Inc., AudienceScience, Inc., Qliance, Inc., and Guanxi, Inc. and as an advisor to Petra Growth Fund II and Fund III.

John Clendening

Mr. John S. Clendening has been appointed as President, Chief Executive Officer, Director of the Company., effective 4 April 2016. He served as Executive Vice President and Co-Head, Investor Services Division at Charles Schwab & Co. Inc. in San Francisco from 2012-2015. Mr. Clendening also served as Executive Vice President, Shared Strategic Services from 2007-2011 and as Chief Executive Officer and Executive Vice President of Charles Schwab Bank from 2007-2009. From 2004-2007, Mr. Clendening served in executive roles with the Investor Services Division and Independent Investor Business Unit with Charles Schwab & Co., Inc. Prior to joining Charles Schwab & Co., Mr. Clendening served in various leadership roles at eMac Digital LLC and Living.Com. Mr. Clendening was also Chief Marketing Officer and Senior Vice President, Consumer Banking Group and Senior Vice President, Marketing and Strategy, Credit Card Division for First Union Corporation. He also served at The Coca-Cola Company, Frito-Lay, Inc. Division of PepsiCo, SEARS Specialty Merchandising Group and Booz-Allen & Hamilton, Inc. Mr. Clendening received a BA in economics from Northwestern University and an MBA from Harvard Graduate School of Business Administration.

Eric Emans

Mr. Eric Michael Emans is Chief Financial Officer, Treasurer of Blucora Inc. Before being named to these roles, Mr. Emans had served as the Company’s Chief Accounting Officer, beginning in January 2008. Mr. Emans joined the Company as Corporate Controller in September 2006, but had previously held various positions at the Company from September 2003 to December 2005, including Manager, Revenue Assurance and Senior Manager, Finance. From December 2005 to September 2006, he served as Director, Mobile Operations, at Corbis Corporation, a provider of visual content and rights services. He began his career as an auditor at Deloitte & Touche LLP. Mr. Emans is a graduate of Western Washington University and the University of Washington.

Bernard Luthi

Mr. Bernard Luthi has been appointed as President of Monoprice, Inc., a subsidiary of the Company, effective beginning in July 2014. Mr. Luthi joins Monoprice from Buy.com, Inc. where he has served as Chief Operating Officer and Chief Marketing Officer since 2012. Prior to joining Buy.com, Mr. Luthi was Senior Vice President, Marketing, Merchandising, Web Management, and Customer Service for Newegg, Inc. Mr. Luthi worked at Newegg from 2006 to 2011, and he also previously held roles in marketing and category management at PC Mall, Inc. and Ingram Micro, Inc. Mr. Luthi has a B.A. in Business Administration from California State University, Los Angeles.

Pamela Turay

Ms. Pamela Turay has been appointed as Chief Human Resource Officer of the Company., effective October 3, 2016. With more than 20 years business experience in human capital leadership, Ms. Turay will lead Blucora's efforts in the design, development, and execution of human resources strategies and initiatives, including talent management, learning and development, compensation and benefits, performance management, succession planning, organizational transformation, and change management. Most recently, Ms. Turay served as Senior Vice President of Human Resources and Development for Jackson Hewitt Tax Service. Previously, she also served in roles such as Chief People Officer for Gibson Guitar Corp, and Senior Vice President Human Resources and Corporate Sales, and Vice President Talent Management and Development at Harry & David.

George Allen

Mr. George M. Allen is Executive Vice President - Corporate Development of Blucora Inc. He served as a consultant since October 2011. He is responsible for overseeing the Company’s corporate and business development efforts, including mergers and acquisitions. From May 2010 to May 2012, Mr. Allen was the founder and managing partner of Geronimo Capital LLC, an investment research firm focused on the telecom, media, and technology mid-cap investment sector. Prior to founding Geronimo Capital, Mr. Allen served as principal for nine years at Warburg Pincus, a global private equity firm where he oversaw private equity investments in telecom, media, and technology companies. He began his corporate development career as an associate analyst at Goldman Sachs Asia with assignments in both Hong Kong and New York. Mr. Allen is a graduate of Yale University.

Brett Clark-Bolt

Mr. Brett Jefferson Clark-Bolt is Executive Vice President-Human Resources of Blucora, Inc. Mr. Clark-Bolt served as Senior Vice President for Senn Delaney, a Heidrick & Struggles’ company. During his tenure, he led product strategy and advised clients on transforming organizational culture to drive high performance. Before joining Senn Delaney, Mr. Clark-Bolt was the CEO of MOC1 Solutions, LLC, a software company focused on improving auto dealership service operations for some of the largest dealer groups throughout the United States. Prior to MOC1 Solutions, he served as an Engagement Manager at McKinsey & Co. Mr. Clark-Bolt also served as an officer in the U.S. Army and Air Force. Mr. Clark-Bolt is a graduate of the University of California, Santa Barbara and Harvard Business School.

Mark Finkelstein

Mr. Mark A. Finkelstein has been appointed as Chief Legal and Administrative Officer of Blucora, Inc., effective September 30.2014. Mr. Finkelstein will oversee the Company's legal, compliance, and human resources departments and serve as an advisor on legal and corporate strategy matters. The Company's General Counsel & Secretary and its Vice President of Human Resources will report directly to him. Mr. Finkelstein brings more than 25 years of legal, operations and leadership experience to the organization. Most recently, he served as General Counsel, Corporate Secretary and Executive Vice President of Corporate Development at Emeritus Corporation, an NYSE-listed healthcare company with more than 30,000 employees. Prior to joining Emeritus, he served as a strategy advisor for private investment management firms in the United States and Europe and as the Chief Executive Officer and a member of the Board of Directors of Novellus Capital Management, a specialized asset management firm. From 1986 to 2006, he practiced law with the Seattle law firm of Graham & Dunn P.C., where he specialized in mergers and acquisitions, complex financing strategies, and other corporate transactions. Mr. Finkelstein received his B.A. with High Honors in Economics from The University of Michigan and his J.D. from The University of Michigan Law School. He is currently a member of the Board of Directors of Columbia Banking System, Inc.

Mathieu Stevenson

Mr. Mathieu Stevenson serves as Chief Marketing Officer of the Company. A tested marketing leader who previously served in various roles at McKinsey & Company, HomeAway Inc. and Capital One, Stevenson comes to Blucora after having served most recently as Chief Strategy Officer for Catalina Marketing Corporation, where he led corporate strategy and developed personalized digital media campaigns to drive lift and loyalty for the world's leading CPG retailers and brands. With nearly 15 years' experience in corporate marketing, he has worked in multiple industries and driven both business-to-business and business-to-consumer strategies, with much of that experience coming in the financial services industry.

Nathan Garnett

Mr. Nathan W. Garnett is General Counsel, Secretary of Blucora, Inc. Mr. Garnett served as the Company’s Vice President, Deputy General Counsel, and focused on securities reporting, corporate governance, commercial and regulatory matters, and mergers and acquisitions. Mr. Garnett joined Blucora’s legal department in September 2009 from the law firm of Perkins Coie LLP, where he specialized in technology transactions. He has also served as Associate General Counsel and Assistant Secretary at drugstore.com, inc., a publicly traded e-commerce company that is now part of Walgreen Co. Mr. Garnett is a graduate of the University of Washington and the University of Washington School of Law.

Lance Dunn

Mr. Lance G. Dunn is Director of Blucora, Inc. Mr. Dunn has served as a director of Blucora since 2012. Mr. Dunn was a co-founder and Chief Executive Officer of TaxACT, Inc. (formerly 2nd Story Software, Inc.) until January 31, 2012, when TaxACT was acquired by Blucora. From the closing of this acquisition until August 2012, Mr. Dunn served as TaxACT’s Vice President, Development. Prior to co-founding TaxACT in 1998, Mr. Dunn was Vice President of Software Development at Parsons Technology, Inc., where he played a significant role in the development and growth of Parson’s tax software.

David Chung

Mr. David H. S. Chung is an Independent Director of Blucora Inc. Mr. Chung was elected to the Board of Directors at the 2013 annual meeting of stockholders. Mr. Chung is a private investor with over 18 years of experience in private equity and public market investing. From May 2006 to December 2012, Mr. Chung was a Partner at Blum Capital Partners, L.P., a San Francisco-based investment firm focused on private equity and public strategic block investments. Prior to Blum Capital, Mr. Chung was a founder of Perspective Value Partners from 2005 to 2006, a Partner at Standard Pacific Capital from 2002 to 2004, and a Director/Principal at KKR from 1995 to 2002. Previously, Mr. Chung was a management consultant at McKinsey & Co. and an investment banker at Hambrecht & Quist. He is currently a Director of Payless Holdings, Inc. and an alternate Director of Xtralis Holdings, Inc. He also serves on the Board of Trustees of the Fine Arts Museums of San Francisco, the Hamlin School, and Cathedral School for Boys.

Steve Hooper

Mr. Steven W. Hooper is an Independent Director of Blucora Inc., since April 2011. Mr. Hooper is a founding partner of Ignition Partners, a venture capital firm, where he has invested in telecommunications and wireless companies since Ignition’s founding in March 2000. From 1999 to 2000, Mr. Hooper served as Chairman and Chief Executive Officer of Nextlink Communications, Inc. From 1998 to 1999, Mr. Hooper served as Chief Executive Officer of Teledesic LLC. From 1994 to 1997, Mr. Hooper served as CEO of AT&T Wireless Services, Inc. Prior to joining AT&T Wireless, Mr. Hooper was an executive with McCaw Cellular Communications, Inc., where he, among other roles, served as CEO for a variety of McCaw-affiliated companies. In addition, Mr. Hooper represents Ignition Partners as a director on the boards of a number of privately-held companies in which Ignition has invested and served as a trustee of Seattle University from 1995 to 2009.

Elizabeth Huebner

Ms. Elizabeth J. Huebner is an Independent Director of Blucora Inc., since May 11, 2009. Ms. Huebner retired from a 26-year career in the finance sector in 2006. Prior to retiring, Ms. Huebner was Chief Financial Officer from 2000 to 2006 at Getty Images, Inc., a provider of visual content and rights services. Prior to her service as Chief Financial Officer of Getty Images, Ms. Huebner was Chief Financial Officer of Primus Knowledge Solutions, Inc. Ms. Huebner also formally served on the Board of Directors of Procera Networks, Inc.

Andrew Snyder

Mr. Andrew M. Snyder is an Independent Director of Blucora, Inc. since August 2011. Mr. Snyder is CEO of Cambridge Information Group, Inc. (“CIG”) and Chairman of CIG’s subsidiaries, ProQuest LLC, R. R. Bowker LLC, and Navtech, Inc. Mr. Snyder also served on the Board of Directors of Navtech when it was an independent, publicly-held company, beginning in November 2005 and continuing through its merger with a CIG subsidiary in November 2007. Mr. Snyder has been employed by CIG since 2003 and has served as President or CEO since 2004. Prior to joining CIG, Mr. Snyder worked for the Goldman Sachs Group, most recently as Vice President in the Principal Investment Area, where he focused on traditional media, technology, and services investing for the firm’s investment fund. He also currently serves on the Board of The Association of American Publishers, and the Board of Overseers of Penn Libraries.

Christopher Walters

Mr. Christopher W. Walters is an Independent Director of Blucora Inc. Mr. Walters currently serves as the Chief Operating Officer of The Weather Company where he oversees the technology, finance, legal, and human resources teams at its Atlanta-based headquarters. Prior to joining The Weather Company in March of 2012, he served at Bloomberg L.P. in a variety of roles since 2008. Most recently, Walters was COO of the Bloomberg Industry Verticals Group where he was responsible for operations, strategy, business development, and expansion of the premium web-based subscription businesses. Prior to this position, he launched Bloomberg Government and led news and multimedia strategy for Bloomberg's collection of media properties across TV, online, mobile and syndication. Prior to Bloomberg, Walters was a partner at McKinsey & Company in New York where he advised media, entertainment, and investment companies. His career began in 1996 as a marketing strategist at Hallmark Cards. He earned his undergraduate degree from the University of Vermont, and his MBA at the University of Chicago.

Mary Zappone

Ms. Mary Zappone is an Independent Director of Blucora, Inc. Ms. Zappone most recently served as the President and Chief Executive Officer of Recovercare, LLC. Prior to joining Recovercare, Ms. Zappone worked at Alcoa, Inc. from 2006 to 2011, serving in a variety of roles, most recently as President of the Alcoa Oil & Gas Group, where she was responsible for operations, strategy, business development, and expansion of the aluminum alloy product systems business. During her career, Ms. Zappone has also held other senior-level positions at Tyco International, General Electric, and Exxon, and also worked at McKinsey & Company, where she advised companies in improving operating performance, capital investment, and merger and acquisition strategies. She earned her undergraduate degree from Johns Hopkins University, and her MBA in Finance at Columbia Business School. Ms. Zappone is a board member of the American Heart Association and Supplies Over Seas. Ms. Zappone has been elected as a Class III director for a term ending at the 2017 annual meeting of stockholders, and will serve on the Compensation Committee.
