Name Description

Vincent Forlenza

Mr. Vincent A. Forlenza is Chairman of the Board, President, Chief Executive Officer of the Company. He is a global medical technology company headquartered in Franklin Lakes, New Jersey. Mr. Forlenza joined BD in 1980 and has held leadership positions in the United States and Europe. These include appointments as Senior Vice President, Technology, Strategy and Development; President of BD Biosciences; and Executive Vice President and President, BD Diagnostics. Mr. Forlenza was named President in January 2009, assumed additional responsibility as Chief Operating Officer in July 2010, and became Chief Executive Officer in October 2011 and Chairman of the Board in July 2012. Mr. Forlenza is active in various professional and community associations. He is the current chairman of the Advanced Medical Technology Association (AdvaMed) Board of Directors. He has served on both the AdvaMed Board and its Executive Committee since 2010 and is the past chair of the association’s Board Committee on Technology and Regulation. In addition, he served as chairman of the Board for AdvaMedDx, a division of AdvaMed focused on the unique needs and issues facing diagnostics manufacturers. As AdvaMedDx chair, Forlenza oversaw significant growth of the division and helped establish AdvaMedDx as the leading advocate for the value of diagnostics. Mr. Forlenza currently serves on the Board of Trustees at The Valley Health Systems and previously served as Chairman of The Valley Hospital. He is a member of the Advisory Board for the P.C. Rossin College of Engineering and Applied Sciences at Lehigh University and is a member of the Board of Trustees at Lehigh. Mr. Forlenza obtained his bachelor’s degree in chemical engineering from Lehigh University in 1975 and his MBA from Wharton Graduate School, University of Pennsylvania in 1980.

Christopher Reidy

Mr. Christopher R. Reidy is Chief Financial Officer, Executive Vice President, Chief Administrative Officerof the Company. Prior to which he was Chief Financial Officer, Executive Vice President, Principal Accounting Officer of Becton Dickinson And Co. He joins BD from ADP Corporation, where he served as Corporate Vice President and CFO for six years. Prior to ADP, Mr. Reidy’s more than 30 years of experience includes serving as CFO at NBA Properties, Inc.; Vice President, Controller & Chief Accounting Officer and division CFO roles at AT&T Corporation; and Audit Partner at Deloitte & Touche. Mr. Reidy, a Certified Public Accountant, earned his MBA from Harvard University and his B.S. in accounting from St. Francis College.

William Kozy

Mr. William A. Kozy is Chief Operating Officer, Executive Vice President of the Company. He was President-BD Diagnostics from November 2003 to June 2006, President-BD Clinical Laboratory Solutions and Company Operations from May 2002 to November 2003 and prior thereto, Senior Vice President- Company Operations.

Ellen Strahlman

Dr. Ellen Strahlman, M.D., has been appointed as Executive Vice President, Research and Development and Chief Medical Officer of Becton Dickinson and Company, effective April 22, 2013. Dr. Strahlman joins BD from GlaxoSmithKline, where she served as Senior Vice President and Chief Medical Officer since 2008 and more recently worked in the Office of the CEO as Senior Medical Advisor and Global Head of Neglected Tropical Diseases. As GSK's Chief Medical Officer, Dr. Strahlman had accountability for safety and patient matters for all programs in development and commercialized products in the Vaccines, Pharmaceutical and Consumer businesses, as well as organizational responsibility for medical affairs, regulatory affairs, clinical safety and other areas. Prior to GlaxoSmithKline, Dr. Strahlman has held executive leadership roles at Merck, Novartis, Pfizer, and Bausch & Lomb that included oversight of the development and commercialization of proprietary and generic pharmaceuticals, drug delivery systems and medical devices. Dr. Strahlman obtained her M.D. from the Johns Hopkins University School of Medicine, her M.H.Sc. from the Johns Hopkins School of Public Health and her B.A. degree from Harvard University.

Linda Tharby

Ms. Linda M. Tharby is the Executive Vice President and President - Life Sciences since October 1, 2014 of the Company. Prior to which she was Group President from October 2013 to October 2014; and Worldwide President — BD Medical, Diabetes Care from July 2008 to October 2013.

Nabil Shabshab

Mr. Nabil Shabshab is Senior Vice President, Chief Marketing Officer of the Company, since August 2011. and prior thereto he was, Executive Vice President, Global Portfolio Management of Diversey, Inc.

Ms. Burzik currently serves as Chairman of the Board of Directors of the American College of Wound Healing and Tissue Repair, Vice Chair of the San Antonio Branch of the Dallas Federal Reserve Board and as Operating Partner of Targeted Technology Fund II, LP. Previously, Ms. Burzik was President of Applied Biosystems; President of Ortho-Clinical Diagnostics, Inc., a Johnson & Johnson company; and held senior executive roles at Eastman Kodak Company. R. Andrew Eckert

Mr. R. Andrew "Andy" Eckert has been appointed as Independent Director of the Company effective September 26, 2016. He is the CEO of Valence Health, Inc., a health care information technology and services company that provides clinical integration, population health and value-based care solutions to the health care industry. Prior to Valence, Mr. Eckert was CEO of TriZetto Corp. prior to its acquisition by Cognizant Technology Solutions inNovember 2014. He has held CEO roles with multiple other companies, including CRC Health Group, Inc., Eclipsys Corporation, SumTotal Systems Inc. and ADAC Laboratories, Inc. He also serves as Chairman of the Board of Directors for Varian Medical Systems, Inc.

Claire Fraser

Ms. Claire M. Fraser Ph.D., is an Independent Director of Becton Dickson And Co. Since 2007, she has been Director of the Institute for Genome Sciences and a Professor of Medicine at the University of Maryland School of Medicine in Baltimore, Maryland. From 1998 to 2007, she served as President and Director of The Institute for Genomic Research, a not-for-profit center dedicated to deciphering and analyzing genomes. Dr. Fraser also serves on the Board of the American Association for the Advancement of Science.

Claire Pomeroy

Rebecca Rimel

Ms. Rebecca W. Rimel is an Independent Director of Becton Dickinson And Co. Since 1994, she has served as President and Chief Executive Officer of The Pew Charitable Trusts, a public charity that works to improve public policy and inform the public. Ms. Rimel previously served as Assistant Professor in the Department of Neurosurgery at the University of Virginia Hospital and also as Head Nurse of its medical center emergency department. Ms. Rimel also is a director of BioTelemetry, Inc. and a director/trustee of various Deutsche mutual funds.

Bertram Scott

Mr. Bertram L. Scott is an Independent Director of Becton Dickinson And Co. Mr. Scott is the President and Chief Executive Officer of Affinity Health Plan. He will be retiring from Affinity Health Plan on December 31, 2014. He previously served as President, U.S. Commercial of CIGNA Corporation from June 2010 to December 2011. Prior thereto, Mr. Scott served as Executive Vice President of TIAA-CREF from 2000 to 2010 and as President and Chief Executive Officer of TIAA-CREF Life Insurance Company from 2000 to 2007.
