Name Description

Stefan Pierer

 Mr. Stefan Pierer has been Chairman of the Supervisory Board at Brain Force Holding AG since February 24, 2010. He also has served as Chairman of the Remuneration and Nomination Committee of the Company since February 24, 2010. Previously, he had served as Member of the Supervisory Board at the Company since May 28, 2008. In addition to his duties at the Company, he occupies the position of Chief Executive Officer at KTM Power Sports AG and CROSS Industries AG. Mr. Pierer also acts as Chairman of the Supervisory Board of Pankl Racing Systems AG and was Member of the Management Board of Unternehmens Invest AG till July 26, 2012. He acted as Member of the Supervisory Board at Austria Email Aktiengesellschaft until June 30, 2010, as well as Deputy Chairman of the Supervisory Board and Member of the Supervisory Board at BEKO HOLDING AG until March 11, 2011.

Michael Hofer

 Dr. Michael Hofer has been Chairman of the Management Board and Chief Executive Officer (CEO) at Brain Force Holding AG since October 19, 2009. He is responsible for Operations, Marketing, Legal Management and Public Relations (PR) at the Company. Before that, Dr. Hofer served as Company's Member of the Supervisory Board from May 28, 2008. In addition to his duties at Brain Force Holding AG, he has acted as Managing Director of Hofer Management GmbH. After completing his Doctorate in Philosophy (PhD) studies at Universitaet Wien (Vienna University) of Economics and Business, Dr. Hofer served in various management positions at the Cross Group starting. In 1991 he was named Product Manager at Eternit-Werke Ludwig Hatschek AG and also assumed the position of Managing Director of Trumag Trunkenbolz VertriebsgmbH. In 1996, he served as Executive Officer of Welsermuehl Holding AG. From 1997 to 2005, he worked in various positions for KTM Sportmotorcycle AG in the fields of organization, Information Technology (IT), accounting, human resources and sales logistics. He also served on the company’s management board for two and one half years. Before being named the (CEO) of the Company, he was Sole Managing Director of Eternit-Werke Ludwig Hatschek AG for about four years in the period 2005 to 2009.

Friedrich Roithner

 Mr. Friedrich Roithner has been Deputy Chairman of the Supervisory Board of Brain Force Holding AG since May 28, 2008. Additionally, he acts as Chairman of the Audit Committee, as well as Member of the Remuneration and Nomination Committee of the Company. Furthermore, he has served as Member of the Management Board at CROSS Industries AG since July 1, 2010, as well as Member of the Management Board at KTM Power Sports AG as of January 1, 2011. He acted as Member of the Management Board of Unternehmens Invest AG until June 30, 2010 and Member of the Supervisory Board at BEKO HOLDING AG until March 11, 2011. Hannes Griesser

 Mr. Hannes Griesser has been Chief Financial Officer and Member of the Management Board at Brain Force Holding AG since January 1, 2012. He is responsible for Finance & Administration, Investor Relations, Human Resources and Internal Communications at the Company. He is Investor Relations Contact Officer at the Company. He is a business economist and has been in charge of Group accounting at the Company since September 2000. In July 2008 Mr. Griesser was named the authorized signatory of the Company. He was Managing Director of BRAIN FORCE SOFTWARE GmbH, Vienna, from December 2007 to December 2009, where he was in charge of financial matters. Before joining the Company, Mr. Griesser worked for several medium-sized tax consulting and auditing companies.

Josef Blazicek

 Mr. Josef Blazicek has been Member of the Supervisory Board at Brain Force Holding AG since May 28, 2008. In addition, he acts as Member of the Audit Committee of the Company. Mr. Blazicek occupies the position of Deputy Chairman of the Supervisory Board of CROSS Industries AG, Chairman of the Supervisory Board of BEKO HOLDING AG, as well as Member of the Supervisory Board of update software AG, Pankl Racing Systems AG and All for One Steeb AG.

Christoph Senft

 Dr. Christoph Senft has been Member of the Supervisory Board of Brain Force Holding AG since February 24, 2010. Prior to that, he acted as Chairman of the Supervisory Board of the Company from April 14, 2005. He is also Deputy Chairman of the Audit Committee and acted as Chairman of the Remuneration and Nomination Committee of the Company until February 24, 2010. Before that, he served as Member of the Supervisory Board at the Company from June 12, 2003. Additionally to his duties at Brain Force Holding AG, Dr. Senft has been owner and Advisory Board Member of MWS Industrieholding GmbH. The first years of his career were spent as software developer for IBM Austria, in Vienna, followed by four years as assistant professor at the Technical University in Vienna while working toward his doctorate. This was followed by a four-year term as management consultant for an American firm in Munich, Bain & Company Inc. In 1995, Dr. Senft started up an Internet company in Munich, TouchNet Gmbh, which was then sold to German-American firm, Primus Telecom AG at the end of 1998. He served as Head of CyberTron Telekom AG from 1999 until mid-2001, after having brought the company to the Vienna Stock Exchange in December 1999 as Spokesman for its Board of Directors. He served on CyberTron's Supervisory Board until mid-2002. Dr. Senft has worked in Munich since mid-2001 for a finance group, TransConnect Corporate Finance GmbH, and led their Investment Banking and Corporate Finance Departments until 2005. Since 2005, he has been involved in in-house venture capital fund activities, as well as in various investment activities. He holds a Doctorate degree in Computer Science from Technische Universitaet Wien (Technical University in Vienna) and a Master of Business Administration degree from Institut Europeen d'Administration des Affaires (INSEAD).
