Ian Bourne

 Mr. Ian A. Bourne is an Independent Chairman of the Board of Ballard Power Systems Inc. Mr. Bourne’s principal occupation is corporate director, and he has been the Chair of the Board of Ballard since May 2006. Mr. Bourne was also the lead director from October 2005 to February 2006. As of March 27, 2012, Mr. Bourne is interim CEO of SNC-Lavalin Group Inc. Previously, Mr. Bourne was the Executive Vice President and the Chief Financial Officer of TransAlta Corporation (electricity generation and marketing) from January 1998 to December 2006 and from January 1998 to December 2005, respectively. He has completed the Directors Education Program of the Institute of Corporate Directors and has received his ICD.D designation.

John Sheridan

 Mr. John W. Sheridan is President, Chief Executive Officer, Non-Independent Director of Ballard Power Systems Inc. He has been President and Chief Executive Officer of the Company since February 2006. Mr. Sheridan was also Chair of the Board from June 2004 to February 2006. He is presently working in AFCC Automotive Fuel Cell Cooperation Corp.; Dantherm Power; Premier’s Technology Council; Canadian Hydrogen Fuel Cells Association. Karim Kassam

 Mr. Karim Kassam is Vice President - Business & Corporate Development of Ballard Power Systems Inc., since January 2013. Since joining Ballard in 2008, Mr. Kassam’s responsibilities have included leadership of the Company’s strategic initiatives in business and corporate development, as well as formation of strategic alliances and key industry partnerships. His work includes growing Ballard’s presence in developing market segments and building relationships with strategic partners in markets such as Asia and Africa. Mr. Kassam has international experience, particularly in the Asia-Pacific region, across a range of sectors, including commercial real estate, government and retail. Mr. Kassam sits on the Boards of both the Chrysalix Energy Limited Partnership I and the Women’s Health Research Institute at the BC Provincial Health Services Authority. Previously, Mr. Kassam was a member of the Vancouver Economic Development Commission. He holds a Bachelor of Commerce degree from the University of Alberta, an MBA from Queens University, and is a designated CMA. He has completed the Executive Leadership Development program at Harvard Business School

Douglas Hayhurst

 Mr. Douglas P. Hayhurst has been appointed as Director of Ballard Power Systems, Inc., effective June 5, 2012. Mr. Hayhurst currently serves as director of Accend Capital Corporation, Canexus Corporation, Catalyst Paper Corporation and Layfield Group. Mr. Hayhurst was previously an executive with IBM Canada Business Consulting Services and a Partner with PricewaterhouseCoopers.

Carol Stephenson

 Ms. Carol M. Stephenson has been appointed as Director of Ballard Power Systems, Inc., effective June 5, 2012. Ms. Stephenson is Dean of the Richard Ivey School of Business. She also serves as director of General Motors Company, Intact Financial Corporation, and Manitoba Telecom Services Inc. Ms. Stephenson was previously CEO of Lucent Technologies Canada and was invested as an Officer into the Order of Canada in 2010.

Edwin Kilroy

 Mr. Edwin J. Kilroy is an Independent Director of Ballard Power Systems Inc., since 2002. Mr. Kilroy’s principal occupation is corporate director. Previously, Mr. Kilroy was the Chief Executive Officer of Symcor Inc. (business process outsourcing services), from January 2005 to November 2010. Previously, Dr. Park was the Chief Executive Officer and Chairman of the Board of Maxtor Corporation (storage solutions and hard disk drives) from November 2004 to May 2006. Dr. Park was also the Managing Director, Investment Partner and Senior Advisor of H&Q Asia Pacific (private equity investment) from November 2002 to September 2004.

David Smith

 Mr. David J. Smith is an Independent Director of Ballard Power Systems Inc., since 2006. Mr. Smith is a part-time Commissioner of the British Columbia Securities Commission (provincial securities regulator), a position he has held since July 2006. Mr. Smith was counsel with Lawson Lundell LLP (law firm) from May 2005 until April 2006, and prior to that, he was a partner at Lawson Lundell LLP and predecessor firms practicing corporate, commercial and securities law. He has completed the Directors Education Program of the Institute of Corporate Directors and has received his ICD.D designation.

David Sutcliffe

 Mr. David B. Sutcliffe is an Independent Director of Ballard Power Systems Inc., since 2005. Mr. Sutcliffe’s principal occupation is corporate director. Previously, Mr. Sutcliffe was the Chief Executive Officer of Sierra Wireless, Inc. (electrical and electronic industrial products) from May 1995 to October 2005. From May 2001 to April 2005, he was also the Chair of the Board of Sierra Wireless, Inc.
