 Mr. Keith C. Hill is Independent Chairman of the Board of BlackPearl Resources Inc. Mr. Hill is President and Chief Executive Officer of Africa Oil Corp., a publicly traded international upstream oil and gas exploration company, and has served in this position since January 2009. From February 2007 to January 2009, Mr. Hill was the President and Chief Executive Officer of BlackPearl. Mr. Hill was the President and Chief Executive Officer of Valkyries Petroleum Corp., a publicly traded upstream oil and gas company from August 2002 to July 2006. His other directorships includes: Africa Oil Corp. (2006 to present), Horn Petroleum Corp. (2011 to present), Petro Vista Energy Corp. (2008 to present), ShaMaran Petroleum Corp. (2007 to present), Tyner Resources Ltd. (2008 to present), TAG Oil Ltd. (2011 to present).

 Mr. John L. Festival is President, Chief Executive Officer, Director of BlackPearl Resources Inc., since January 8, 2009.
