D. Kyle Cerminara

Mr. D. Kyle Cerminara is Executive Chairman of the Board, Chief Executive Officer of Ballantyne Strong, Inc. Mr. Cerminara is the CEO, Co-Founder & Partner of Fundamental Global Investors, an SEC registered investment advisor that manages equity and fixed income hedge funds. Mr. Cerminara is also Co-Chief Investment Officer of Capital Wealth Advisors, a wealth advisor and multi-family office affiliated with Fundamental Global Investors. Mr. Cerminara serves on the Boards of Directors of blueharbor bank, a publicly traded community bank headquartered in Mooresville, North Carolina and Relm Wireless, a publicly traded radio manufacturer headquartered in West Melbourne, Florida. Mr. Cerminara’s previous experience includes roles as a Portfolio Manager at Sigma Capital Management, Director, and Sector Head of the Financials Industry at Highside Capital Management, Portfolio Manager, and Director at CR Intrinsic Investors, Vice President, Associate Portfolio Manager, and Analyst at T. Rowe Price, and Analyst at Legg Mason.

Nathan Legband

Mr. Nathan D. Legband is Chief Financial Officer, Principal Financial & Accounting Officer, Vice President, Treasurer of the Company effective September 2, 2014. Mr. Legband joined Ballantyne Strong as Corporate Controller in June 2012. In this role, Mr. Legband has been responsible for the preparation of all SEC filings, coordinating internal and external audit functions, implementing forecasting and budgeting processes, and managing the treasury function, among other responsibilities. Prior to joining Ballantyne Strong, Mr. Legband served in a number of finance department positions for West Corporation, a leading provider of technology-enabled communication services, from 2008-2012. During his time at West Corporation, Mr. Legband served as the Director of Accounting/Controller for the West Asset Management segment and then Senior Director of Accounting and Financial Analysis for the Communication Services segment. Mr. Legband began his career as an Audit Manager in the Omaha and Denver offices of Deloitte & Touche LLP. Mr. Legband is a CPA and has a Bachelor of Science Degree in Business Administration from Creighton University.

Ray Boegner

Mr. Ray F. Boegner is President - Cinema Business of the Company. He was Senior Vice President of Ballantyne Strong, Inc. Previously Senior Vice President of Sales; Vice President of Sales prior to November 1996; joined Company in 1985.

Stephen Schilling

Mr. Stephen L. Schilling is President - Digital Media business of Ballantyne Strong, Inc. Mr. Schilling most recently served as Managing Partner of S2 Ventures LLC, a management consulting company that works with technology companies, from 2011 to 2015. Prior to that, Mr. Schilling’s experience includes serving as President and CEO of Cypress Communications, a provider of premium in-building broadband communications services, from 2007 to 2011, and as President, CEO and Founder of Netfice Communications, from 1998 to 2006. Mr. Boegner has been with the Company since 1997 serving in a variety of sales and marketing positions with the most recent being Senior Vice President. Mr. Boegner has been an officer of the company since 1997.

Samuel Freitag

Mr. Samuel C. Freitag is Director of Ballantyne Strong, Inc. He has been an independent private investor since January 2004. From July 2002 to December 2003, he was President of McCarthy Capital Corporation, a private equity fund manager with approximately $300 million in capital. From 1986 until 1997, he held various positions with George K. Baum Merchant Bank, LLC, including serving as Senior Managing Director and Director, Investment Banking. Mr. Freitag has served as a director of Ballantyne since June 2011 and has been a member of the Audit, Compensation, and Nominating and Corporate Governance committees.

William Welsh

Mr. William F. Welsh, II, is the Director of Ballantyne Strong, Inc. He resigned as Independent Chairman of the Board of the Company effective January 1, 2015. He was Chairman/CEO of Election Systems & Software from 1993 until his retirement in October 2003. He has served as a director of Lindsay Corporation (NYSE: LNN) since 2001. Mr. Welsh has served as a director of Ballantyne since 2000. The Nominating and Corporate Governance Committee believes that Mr. Welsh's prior executive level leadership and experience as a Chief Executive Officer give him the operational and breadth of knowledge to understand Ballantye's business operations. His service on other boards of directors also provides a high level of in strategic matters and corporate governance. All of these qualities are supportive of the Nominating and Corporate Governance Committee's selection of Mr. Welsh as a director.

Marc LeBaron

Mr. Marc E. LeBaron is an Independent Director of Ballantyne Strong, Inc. He has served as Chairman/CEO of Lincoln Industries from 2001 to present. He previously served as President of Lincoln Industries from 1982 until becoming Chairman/CEO. He is also a director of Assurity Life Insurance Company. Mr. LeBaron has served as a director of Ballantyne since 2005. The Nominating and Corporate Governance Committee believes that Mr. LeBaron's 30-plus years of organizational leadership experience, his ability to identify and implement business strategy and knowledge of corporate governance give him the operational and breadth of knowledge which qualify him to serve as a director.

Donde Plowman

Dr. Donde Plowman is an Independent Director of Ballantyne Strong, Inc. She has been the Dean of the University of Nebraska-Lincoln's College of Business Administration and a Professor of Management since July 2010. She was previously the head of the Department of Management at the University of Tennessee from 2007 to 2010. She previously held the position of Professor of Management at the University of Texas in San Antonio from 2007 to 2010, and Associate Dean for graduate programs and research and director of the Ph.D. program at the College of Business from 2000 to 2003. Dr. Plowman has published more than 40 articles and book chapters on management topics and has served as a management training consultant. Dr. Plowman has served as a director of Ballantyne since June 2011. The Nominating and Corporate Governance Committee believes that Dr. Plowman's experience in business management academics, senior level academic leadership and management experience qualify her to serve as a director.

James Shay

Mr. James C. Shay, CPA is an Independent Director of Ballantyne Strong, Inc. He is the Senior Vice President, Finance and Strategic Planning, and Chief Financial Officer for Great Plains Energy, Inc. (NYSE: GXP) and Kansas City Power & Light Company, a position he has held since July 2010. Previously, Mr. Shay served as Chief Financial Officer for Northern Power Systems from 2009 to 2010, Managing Director of Frontier Investment Bank from 2007 to 2009, Chief Financial Officer for Machine Laboratory, LLC (after its acquisition from BHA) from 2004 to 2006 and in various positions with BHA from 1992 until its acquisition of Machine Laboratory LLC in 2004. Mr. Shay is a Certified Public Accountant.

Ndamukong Suh

Mr. Ndamukong Suh is Independent Director of the Company. Mr. Suh has been a defensive tackle for the Miami Dolphins organization since the 2015 season. Prior to signing with the Miami Dolphins organization, Mr. Suh was a defensive tackle with the Detroit Lions organization from his rookie season in 2010 to his departure in 2015. Mr. Suh has been an investor and partner in numerous real estate and aviation projects and a strategic development partner and investor in numerous businesses. Mr. Suh is the founder of the Ndamukong Suh Family Foundation. Mr. Suh graduated from the University of Nebraska in 2009 with a Bachelor's degree in Engineering focused on Construction Management.
